which may be more restrictive than County regulations. The undersigned assumes responsibility for compliance with any
applicable deed restrictions.
UNLICENSED CONTRACTORS AND CONTRACTOR RESPONSIBILITIES. If the owner has hired a contractor or
contractors to'undertake wo�K, they may be required to be licensed in accordance witH state and local regulations. If the
contractor is not licensed as required by law, both the owner and contractor may be cited for a misdemeanor violation

contractor, that may be an indication that he is not properly licensed and is not entitled to permitting privileges in Pasco

TRANSPORTATION IMPACT/UTILITIES,IMPACT AND RESOURCE RECOVERY FEES:. The undersigned understands
that Transportation Impact Fees and Recourse Recovery Fees may apply to the construction of new buildings, change of
use in existing buildings, or expansion of existing buildings, as specified in Pasco County Ordinance number 89-07 and
90-07, as amended. The undersigned also understands, that such fees, as may be due, will be identified at the time of
permitting It is further understood that Transportation Impact Fees and Resource Recovery Fees must be paid prior to
receiving a "certificate of occupancy" or final power release. If the project does not involve a certificate of occupancy or
final power release, the fees must be paid prior to permit issuance. Furthermore, if Pasco County WateNSewer Impact
fees are due, they must be paid prior to permit issuance in accordance with applicable Pasco County ordinances.
CONSTRUCTION LIEN LAW(Chapter 713, Florida Statutes, as amended) If valuation of work is$2,500.00 or more, I
certify that I, the applicant, have been provided with a copy of the "Florida Construction Lien Law—Homeowner's
Protection Guide" prepared by the Florida Department of Agriculture and Consumer AfFairs. If the applicant is someone

other good and valuable consideration, the receipt and sufficiency of which is hereby acknowl- ;
edged, the Owner and the Contractor agree as follows: i

ARTICLE 1. THE CONTRACT DOCUMENTS i
i
1.1 The"Contract for Construction,"which constitutes the entire agreement between ;
Own�r and Contractor, consists of this Agreement and all exhibits hereto; the General Terms ;
and Conditions; special conditions, if any; the bid, the bid proposal submitted by�Contractor and !
post-bid�modifications, if any, set forth on Exhibit A; the Construction Documents; any amend- �
ments or addenda executed by the Owner and the Contractor hereafte�; Owner-approved ;
change orders or field orders; and the additional documents listed on Exhibit A, if any. �

1.2 Documents not included or express contemplated in this Article 1 do not, and shall ;
not, form any part of the Contraet for Cons#ruction. Without limiting the generality of the fore- �
going, shop drawings and other submittals from the Contractor or its subcontractors and suppli- i
ers do not constitute a part of the Contract for Construction. �

1.3 At all times the Contractor is pertorming services, it shall comply with the require- ;
ments of the Contract for Construction.

ARTICLE 2. THE WORK
i
2.1 The Contractor represents and warrants that it has (i) fhoroughly reviewed the Con- �
struction Documents, if applicable, for the Project and all other documents related thereto made ;
available, or on file with Owner; (ii) visited and thoroughly inspected the Project Site and any ;
structure(s) or other man-made features to be modified and familiarized itself with local condi- �
tions under which the Project will be construeted and operated; (iii) familiarized itself with sur-

veys and other as-builfi drawings provided by Ovvner the Professional-that indicate the location
of all existing buildings, utilifiies, conditions, sfreets, equipment, components and ofher aftributes
having or likely fio have an impact on fihe Project; (iv) familiarized itself with pertinent Projecfi
dates and special requirements, including the Projecfi schedule; (v) reviewed and analyzed all
Project geotechnical, Hazardous Substances, structural, chemical, electrical, mechanical and
construction materials tesfis, invesfigafiions and recommendations provided by Owner or the
Professional; and (vi) gathered any ofiher information necessary for a thorough understanding of
fihe Project. If ttie Pr.oject involves modifications to any existing sfiructure(s) or other man-made
feature(s) on the Projeet site, fihe Contractor represents that it has also revie�nred all as-built and
record dravuings, plans and specifications provided by Owner or the Professional and thoroughly
inspected the existing sfructure(s) and man-made feature(s) to identify existing deficiencies and
ascertain the specific locations of per�inent sfiructural componenfs. Claims by Contractor result-
ing from Contractor's failure fo fiamiliarize itself�nrifih fihe Site or pertinent documents shall be
deemed waived.
2.2 The Contractor shall furnish or cause fio be furnished, and paid from the Construction
Contract Price, the Work. The general nature of the scope of the Work the Contractor is to com-
plete is outlined in the bid documents.
2.3 The Contractor agrees to provide all services required #o professionally complete the
Work in an expeditious and economical manner consistent wifih the Contract for Construction
and the best interests of the Owner.
2.4 The Contracfior shall, in consultation with the Qwner, Professional(s), and the sub-
contractors, endeavor to develop, implement and maintain a spirit of cooperation, collegiality,
and open communicafion among the parties so that the goals �nd objectives of each are clearly
understood, potential problems are resolved promptly, and, upon completion, the Project is
deemed a success by all par�ies. -
2.5 ConstructionServices
2.5(a) The Contractor shall supenrise and direcfi the work at the Site. The Con-
tractor shall, at a minimum, staff the Project Site with personnel who shall:
(i) supervise and coordinate the Contractor's personnel and act as its primary liaisori with fihe
Owner and Professional;
(ii) coordinate trade contracfiors and suppliers, and supervise Site construction services;
(iii),be familiar with all trade divisions and trade contractor's scopes of Work, all applicable build-
ing codes, and the Contract for Construction;
(iv) check, review and coordinate shop drawings and materials delivered to the Site, regularly
review the Work to determine its compliance with the Contracf for Construction, periodically con-
fer with the Professional and any other Owner consultants to assure acceptable levels of quality;
(v) prepare and maintain Project records, including process documents and daily logs;
(vi)�schedule and conduct weekly progress meetings with subcontractors to review such matters
as job site safety,job procedures, construction progress, schedule, shop drawing status, and
other information as necessary and provide prior notification of, and minutes from, such meet-
ings to the Owner and the Professional;
(vii) schedule and conducf�nreekly progress meefiings vvith the Owner and Professional to review
such matters as construcfion progress, schedule, shop drav►ring sfiatus, and other information as
necessary;
(viii) make provision for Project security to protecfi fihe Project sifie and materials stored off-site
againsf theft, vandaiism, fire and accidents as required by the General Terms and Conditions; ,
and
2.5(b) The Contractor shall promptly reject any Work(i) which does not conform
fo the Construction Documents, if applicable; or (ii) �nrhich does not comply vuith any applicable
law, statute, building code, rule or regulafiion of any public authority flr agency of which it is
a,vvare.
2.5(c) The Contractor shall comply vvith Owner's policies applicable to this
Agreement as referenced herein by reference.
2.5(d) The Contractor shall cause its subcontractors and suppliers to comply with
the Project Construcfion Schedule and applicable sub-schedules. The Contractor shall obtain
and review schedules from subcontractors and suppliers, coordinate sub-schedules with the
Construction Schedule, and enforce compliance vvith all applicable schedules to ensure timely
completion of the Work. If at any time a Project is delayed, the Contractor shall immediately no-
tify the Owner of the probable cause(s) and possible alternatives, and make recommendations
to minimize expense and/or delay to the.Owner.
2.5(e) Contractor and its subcontractors shall participate in, and cooperafie with,
construction phase commissioning, validation, and other quality assurance and quality control
processes.
ARTICLE 3. THE OWRIER'S REPRESENTATIVE -
The Owner's Representative for this Project is set forth on Exhibit A. The Owner's repre-
sentative shall be the contacfi person in dealing with the Contractor on all design and technical
matters, and will administer the Contract for Construction. Unless otherwise directed by Owner,
the Owner and Contractor shall communicate with each other in the first instance through the
Owner's Representative. The Owner's instructions to the Contractor will be issued through the
designated Owner's Representative.
ARTICLE 4. TIME OF COMMEIVCEMENT AND COMPLETION
Contractor shall commence the Work within ten (10) calendar days after the date indi-
cated on the Notice to Proceed, and shall be completed within 60 days from the commencement
date.
ARTICLE 5. COMPENSATION OF CONTRACTOR
5.1 The Owner shall pay and the Confractor shall accept, as full and complete payment
for the Contractor's timely and complete performance of its obligations hereunder the fixed
price, not fio exceed $39,695.09. Such amount is fihe Construction Contract Price and includes
the aggregate amounfi of all allovvances and any unit price items to be furnished or installed.
5.2 Within fwenty (20) days after execufiion of the Contract for Construction, the Contrac-
tor shall prepare and present to fhe Ov►rner, the Contractor's Compensation Schedule a Com-
pensation Schedule shall.be based on the amounts set forfh above. Applications for payment
shall be submitted in detail sufficient for an audit thereof in accordance with Owner's policies on
the subject in effect at the time the Contractor commences construcfion of the Work.

mences construction of the Work, the Owner shall pay the Contractor the amount approved by
Prafessional, less retainage, unless there is a dispufe about the amounfi of compensation due to
fihe Confiractor.
AF2TICLE 6. LIQUIDATED DAiVIAGES FOR DELAY
6.1 Inasmuch as failure to Substantially Compfete the Work uvithin the fiime fixed in Exhi-
bifi A will resulfi in injury to the Owner, and as damages arising from such failure cannot be cal-
culated with any degree of certainty,.it is agreed that if the Work is not Substantially Completed �
within the time provided in Exhibit A, or within such further time, if any, as shall be allowed for
time extensibns in accordance with the provisions of the Contract for Construction, the Contrac-
tor shall pay to the Owner as liquidated damages for such delay, and not as a penalty, the
amount set forth in Exhibit A for each calendar day elapsing between the date fixed for Substan-
fiial Completion and the dafie such Substantial Completion is fully accomplished. The parties
agree that said liquidated damages are reasonable given existing circumstances, including, '
vuithout limitation, the range of harm that is foreseeable and the anticipation that proof ofi dam-
ages would be costly and impractical.
6.2 The liquidated damages shall be payable in addition#o any excess expenses or
costs payable by the Contractor to the Owner under the General Terms and Conditions, and
shall not preclude the recovery of damages by the Owner under other provisions of the Contract
for Construction, except claims related to Contractor's delays in Substantial Completion. Own-
er's right to receive liquidated damages shall in no manner affect the Owner's right to terminate
the Contract for Construction, as provided in the General Terms and Conditions or elsewhere in
,
the Contract for Construction. The Owner s exercise of the right to term inate shall not release
the Contractor from the obligation to pay said liquidated damages.
6.3 When the Owner reasonably believes (i)that Substantial Completion will be inexcus-
ably delayed; or(ii) that the Contractor will fail to.achieve Final Completion by the date of Final
Completion, the Owner shall be entitled, but not required, to withhold from any amounts other-
wise due the Contractor the daily amount specified for liquidated damages in this Article for
each calendar day of the unexcused delay. If and when the Contractor overcomes the delay in
timely achieving Substantial Completion or Final Completion, or any part thereof, for which the
Owner has withheld payment, the Owner shall promptly release to the Contractor those funds
withheld, but no longer applicable, as liquidated damages.
ARTICLE 7. INTENTIONALLY LEFT BLANK
ARTICLE 8. A.DDITIOR�AL COf�STRUCTIOfV SEFiVICES
8. 1 The Confiracfor shall provide such addifiional services as are initiafied and authorized
in vvrifing by fhe Ovuner prior to performance. The services described in this Article 8 are not in-
cluded in Work.Additional services include, but are not limited #o:
(i) services performed after fhe Dafie of Final Com.pletion, except when required as par�
� of the original Work. -
(ii) services for preparafiion for and aftendance at deposition,.discovery or court or other
dispute resolution proceedings on behalf of the O�nrner, excepfi when such proceedings involve
issues of fault, neglect or alleged liability of the Contractor, or its agents, employees, or consul-
tants.
(iii) Other services not included in the Work mutually agreed to by the Owner and the
Contractor in writing.
8.2 Paymenfs fio the Contractor for additional services shall be in accordance with appli-
- cable provisions of the Contract for Construction.
ARTfCLE 9. lf�TENTIORIALLY LEFT BLAiVK
' ARTICLE 10. MISCELLANEOUS PROVISIO�NS
, 10.1 Owner and Contractor, respectively, bind themsefves, their partners, successors, "
assigns and legal representatives to the other p�rty to this Agreement and to the partners, suc-
cessors and assigns of such other party with respect to all covenants of this Agreement. Con-
tractor shall not assign this Agreement, whether by operation of law or otherwise, without the
written consent of Owner.
10.2 The Contract for Construction shall be governed by, and consfirued under, the laws
- of the State of Florida, v�rithout regard to its choice of law provisions and venue shall lie in the
eourts in Pasco County, Florida.
10.3 The Contractor represenfs and warrants that it has not employed or retained any
company or person (other than a bona fide employee working solely for the Contractor)to solicit
or secure this Agreement, and that it has not paid or agreed to pay any person, company, cor-
poration individual or firm (other than a bona fide employee working solely for the Contractor)
�any fee, commission, percentage, gift, or any other consideration contingent upon or resulting
from the award or making of this Agreement.
10.4 The Contract for Construction may be unilaterally canceled by the Owner for refusal
by the Contractor to allow public access to all documents, papers, letters, or other material sub-
ject to the provisions of Chapter 119, Florida Statutes, and made or received by the Contractor
in conjunction herewith.
10.5 Owner's pertormance and obligation to pay hereunder is contingent upon an annual
appropriation by the City Council.
10.6 Intentionally Left Blank.
10.7 All capitalized terms used herein bufi not defined herein shall have fihe meaning as- '
cribed therefio in the General Terms and Conditions. �
10.8 Owner is an equal opportunity institution and as such, encourages the use of small
businesses including uvomen and minority-owned small businesses in the provision of construc- -
tion related services. Small businesses should have a fair and equal opportunity to compete for
dollars spent by the University of Florida fo proctare construction- related services. Competition ; ��,
ensures that prices are competitive and a broad vendor base is available. Contractor shall use '
good faith efforts to ensure opportunities are avaifable to small businesses including women and ,
rninorifiy-owned small businesses on the Project.
10.9 All exhibits referenced herein are afifiached hereto and incorporated herein by refer- :
ence.
10.10 This Contracfi for Construction represents the entire and integrated agreement be-
�v►reen fihe Owner and the Contracfor, and supersedes all prior negotiations, representations or
agreements, either written or oral, for the Project. This Contracfi for Constructi�n may be
amended only by written instruments signed by both the Owner and Contractor.
10.11 Any modifications to the Contract for Construction shall be set forth in writing and .
approved by the City Council.
10.12 Contractor shall provide Owner and its representatives access to the Work in
preparation and progress wherever located.
�0.13 The Contractor shall not by any means:
(i) induce any person or entity employed in the construction of the Project to
give up any part of the compensation to which thafi person or entity is entitled;
(ii) ofFer nor accept any bribes or kick-backs in connection with the Project from
or to any individual or enfifiy, including any of its trade contracfiors, subcontractors, consultants,
suppliers or manufa�turers of Project goods and materials; or
(iii} without the express written permission of the �wner in accordance vuith
��nrner's policies on the subject, in effect at the time Contractor commences construction, call
for or by exclusion require or recommend the use of any subcontractor, consultant, product, ma- �
� terial, equipment, system,�process or procedure in which the Contractor has a�direct.or indirect
proprietary or other pecuniary interest.
10.14 Until the Contract for Construction fierminates, Contractor shall carry the insurance
and payment and pertormance bonds described in the General Terms and Conditions.
