prevention and protection related activities such as inspections, plan review,administrative fees, and other
costs related to the aforementioned.
Complete Plans, Specifications and Fee Must Accompany Application. Commencement of work without written approval of
the Fire Department's Fire Marshal or required permits or opening up for commercial activity without an approved final
inspection shall be charged double permit fee per day of operation or a minimum of$100.00, whichever is greater. All
work shall be performed in accordance with City Codes and Ordinances.

NOTICE OF DEED RESTRICTIONS� The undersigned understands that this permit may be subject to "deed" restrictions"
which may be more restrictive than County regulations. The undersigned assumes responsibility for compliance with any
applicable deed restrictions.
UNLICENSED CONTRACTORS AND CONTRACTOR RESPONSIBILITIES: If the owner has hired a contractor or
contractors to undertake work, they may be required to be licensed in accordance with state and local regulations. If the
contractor is not licensed as required by law, both the owner and contractor may be cited for a misdemeanor violation
under state law. If the owner or intended contractor are uncertain as to what licensing requirements may apply for the
intended work, they are advised to contact the Pasco County Building Inspection Division—Licensing Section at 727-847-
8009. Furthermore, if the owner has hired a contractor or contractors, he is advised to have the contractor(s) sign
portions of the "contractor Block" of this application for which they will be responsible. If you, as the owner sign as the
contractor, that may be an indication that he is not properly licensed and is not entitled to permitting privileges in Pasco
County.
.CONSTRUCTION LIEN LAW (Chapter 713, Florida Statutes, as amended): If valuation of work is $2,500.00 or more, 1
certify that I, the applicant, have been provided with a copy of the "Florida Construction Lien Law—Homeowner's
Protection Guide" prepared by the Florida Department of Agriculture and Consumer Affairs. If the applicant is someone
: other than the "owne�", I certify that I have obtained a copy of the above described document and promise in good faith to
deliver it to the "owner" prior to commencement.
- CONTRACTOR'S/OWNER'S AFFIDAVIT: I certify that all the information in this application is accurate and
that all work will be done in compliance with all applicable laws regulating construction, zoning and land
development. Application is hereby made to obtain a permit to do work and installation as indicated. I certify
that no work or installation has commenced prior to issuance of a permit and that all work will be performed to
meet standards of all laws regulating construction, County and City codes, zoning regulations, and land
development regulations in the jurisdiction. I also certify that I understand that the regulations of other
government agencies may apply to the intended work, and that it is my responsibility to identify what actions I
must take to be in compliance.
If I am the AGENT FOR THE OWNER, I promise in good faith to inform the owner of the permitting conditions set forth in
this affidavit prior to commencing construction. I understand that a separate permit may be required for electrical work,
plumbing, signs, wells, pools, air conditioning, gas, or other installations not specifically included in the application. A
permit issued shall be construed to be a license to proceed with the work and not as authority to violate, cancel, alter, or
set aside any provisions of the technical codes, nor shall issuance of a permit prevent the Building Official from thereafter
requiring a correction of errors in plans, construction or violations of any codes. Every permit issued shall become invalid
unless the work authorized by such permit is commenced within six months of permit issuance, or if work authorized by
the permit is suspended or abandoned for a period of six (6) months after the time the work is commenced. An extension
may be requested, in writing, from the Building Official for a period not to exceed ninety (90) days and will demonstrate
justifiable cause for the extension. If work ceases for ninety(90) consecutive days, the job is considered abandoned.

In consideration of the mutual promises contained herein,C.W HAYES CONSTRUCTION COMPANY,a Florida corporation,of Oviedo,
Florida(AContractor)and Cox Fire Protection,Inc. of Tam�a.Florida (ASubcontractor),make the following agreement contained on this page and
the reverse hereof.
(I) Work Description. Subcontractor agrees to furnish all materials,labor,tools,equipment,scaffolding,hoisting and all other required items
necessary to complete all work as described in Exhibit AA attached hereto and made a part hereof in accordance with plans,specifications,general and
special conditions of the contract between the Owner and Contractor for project known as Zephyr Plaza/011ies Bar�ain Outlet 5931 Gall Blvd.
Ze�hvrhills.FL 33542.
(2) Samples and Shop Drawines. Subcontractor agrees to submit as soon as possible all samples of materials and shop drawings as required for
the approval of the Architects and Contractor.
(3)Pavment. The Contractor agrees to pay Subcontractor for the work covered by this contract,subject to extras and credits approved by the
Contractor in writing,the sum of_Thirty Five Thousand Thirtv Dollars and No Cents ($ 35,030.00).
(4)Manner of Pavment. Payment under this contract will be made by Contractor to Subcontractor as Contractor is paid by Owner in accordance
_with terms of payment beriveen Owner and Contractor,unless otherwise shown hereinafter. Contractor may at his option retain 10%of each estimate until
�final settlement. Final payment shall be made after completion of the work included in this subcontract,written acceptance by the Architect,and ful]
payment therefore by the Owner.
(5)Subcontractor's Invoices. Subcontractor agrees to furnish invoices and statements on Contractor's forms for periodic payment on or before
the 25`�day of each month and in default thereof agrees that Contractor need not accept for payment such invoices or statements until the same date in the
next succeeding month.
(6) Changes in Work. (a) Subcontractor shall make all alterations, fumish the material for and perform all extra work or omit any work
Contractor,Owner and/or Architect may require,without nullifying this agreement,at a reasonable addition to,or reduction from,the subcontract price,
hereinafter named and pro rata to the same. No changes are to be made,however,except upon written order from Contractor,and Contractor shall not be
held liable to Subcontractor for any extra]abor,materials,or equipment without such written order.(b)All change orders shall be invoiced individually.
Pricing for changes in the work is required immediately upon request. Labor rates for change orders shal]be payroll rates plus 10%markup for overhead
and profit.Material and equipment rates shall be invoice amounts plus 10%mark up for overhead and profit.Al]request for change orders to include
copies of time sheets,material and equipment invoices.(c)The subcontractor shall not be entitled to any claim or recovery of any kind hereunder,unless
same shall first be allowed to the Contractor hereto by the Owner.
(7)Prosress of Work. (a)Subcontractor shall begin work as soon as instructed by Contractor,and shall carry on said work promptly,efficiently,
and at a speed that will not cause delay n the progress of Contractor's work or other branches of the work carried on by other Subcontractors. Contractor
may require Subcontractor to prosecute in preference to other parts of the work such part or parts as Contractor may specify.
(b)Any damages for delay caused by Subcontractor shall be deducted by Contractor from the agreed price for said work as liquidated damages and not as a
penalty,subject,however,to the option of Contractor to terminate said employment for default as herein elsewhere provided.
(c)Contractor shall not be]iable to the Subcontractor for delay to Subcontractor's work by the act,neglect or default of the Owner,or the Architect,or by
reason of fire or other casualty,or on account of riots,or of strikes,or other combined action of the workmen or others,or on account of any acts of God,
or any other cause,beyond Contractor's control,or on account of any circumstances caused or contributed to by the Subcontractor;but Contractor will
cooperate with Subcontractor to enforce any just claim against the Owner or Architect for delay.
(d)Should Subcontractor be delayed in his work by Contractor then Contractor shall owe Subcontractor,thereof only an extension of time for completion
equal to the delay caused and then only if a written claim for delay is made to Contractor within forty-eight(48)hours from the time of the beginning of
the delay.
(8) Remarks: NO COST OR CHARGES BY SUBCONTRACTOR IN ADDITION TO THE AMOUNT SHOWN ABOVE WILL BE
CONSIDERED UNLESS A CHANGE ORDER DESCRIBING THE EXTRA WORK TO BE DONE AND THE COST OF THIS WORK IS APPROVED

(10)Indemnitv. Subcontractor shall indemnify the Contractor,Owner,Architect,and the respective related and affiliates ofeach,as well as the
officers,agents and employees of each(collectively refened to hereinafter as"indemnities")against all claims for damages arising from any act to persons
or property occasioned by the Subcontractor,his agents or employees. Subcontractor shall defend all suits brought against the"Indemnities"on account of
any such acts and shall reimburse"I�demnities"for any expense including reasonable attorney's fees sustained by"Indemnities"by reason of such acts.
(11)Material and Propertv Taxes. The contract price named herein includes any and all sales,use and excise taaces levied by the State and also
.any and all other federal State or municipal taxes levied or in force or that may be imposed during the life of this contract on any and all tangible personal
property sold or transfened to Contractor under this contract and the Subcontractor agrees to pay such tax or taxes on such properiy.The cost of which is
included in the contract price named herein.
� (12)Unemplovment and Social Securit� It is understood that the Subcontractor is to pay and hereby accepts exclusive liability for any
tax,assessment,or contribution for Unemployment Insurance or Social Security benefits levied by the Federal or any State Govemment on the salaries or
� wages of all persons employed by the Subcontractor;and the Subcontractor hereby agrees to comply with all rules,regulations and requirements of the
Federal and/or State Commission having jurisdiction thereover,in order to relieve the Contractor of this liability.
(13)Insurance. The Subcontractor shall maintain during the life of this contract Workman's Compensation and Public Liability Insurance,
including Bodily Injury and Property Damage coverage,in limits as called for in the specifications,fumishing to Contractor such certificates or copies of
policies containing all endorsement as Contractor may require.
(14)Cleanun. The Subcontractor shall clean up and remove from the premises all debris caused under this contract on a daily basis and leave
broom clean. Should the Subcontractor fail to clean up and remove from the premises all debris made by this Subcontractor,the Contractor shall have the
right to perform this work and backcharge to the account of the Subcontractor
(l 5)Permits. The Subcontractor shall,at its own cost and expense,apply for and obtain all permits and licenses required on connection with the
�vork covered by this contract. All materials furnished hereunder and the installation thereof shall comply in every respect with all Federal and State laws
and Municipal codes,ordinances,regulation,etc.,relating thereto in force in the locality in which this work is to be performed.
(16)Patents. The Subcontractor agrees to indemnify and save harmless the Contractor and Owner of said building or buildings against all
damages which they or either of them may sustain by reason of anything to be supplied hereunder being covered by a patent not owned by the
Subcontractor,and at the expense of the Subcontractor to defend any action brought against the Contractor or Owner founded upon the claim that any such
thing or any part thereof infringes on any such patent.
(17)Guarantee. Any written guarantees called for in the specifications covering work of this Subcontractor is to be furnished before final
' payment is made.
(18)Assi n� ment• The Subcontractor shall not sublet or assign this contract or any portion thereof or any payments d�e without first securing
written consent of the Contractor
(19)Bond. It is agreed that should Contractor request a performance and payment bond from Subcontractor at any time prior to the date work is
started under this contract,Subcontractor will fumish a bond from a company that is acceptable to the Contractor;and the premium on said bond to be paid
by change order to Subcontractor unless otherwise indicated in specifications.
(20)Headin�s. The headings to paragraphs in this agreement are for reference only and in no way affect the terms of this agreement.
(21)Default. Should Subcontractor fail in the performance of any of the agreements herein contained,the Contractor may at his option,after
serving twenty-four(24)hours'notice to Subcontractor at his place of business,terminate the Subcontractor's employment and prosecute the work on such
terms and conditions as in the sole opinion of Contractor shall be deemed necessary and shall deduct the cost hereof from any money then due or thereafter
to become due to the Subcontractor. If the Contractor so terminates Subcontractor's employment, Subcontractor shal]not be entitled to any further
payments under this agreement until the work covered by this agreement has been completed and accepted by the Architect and/or Owner. In the event
that the unpaid balance due exceeds the expenses incurred by Contractor,the difference shall be paid to Subcontractor. But if such expense exceeds the
amount of balance due,Subcontractor agrees to promptly pay the difference to Contractor.

' � (21.1)Attornevs'Fees and Costs. In the event of a dispute arising under this Agreement,whether or not a lawsuit or other proceeding is filed,
the prevailing party shall be entitled to recover its reasonable attorneys'fees and costs,including attomeys'fees and costs incurred in litigating entitlement
to attorneys'fees and costs,as well as in determining or quantifying the amount of recoverable attomeys'fees and costs. The reasonable costs to which the
prevailing party is entitled shall include costs that are ta�cable under any applicable statue,rule,or guideline,as well as non-taxable costs,including,but
not limited to,costs of investigation,copying costs,electronic discovery costs,telephone charges,mailing and delivery charges,information technology
support charges,consultant and expert witness fees,travel expenses,court reporter fees and mediator fees,regardless of whether such costs are otherwise
taxable.
(22)Notwithstanding any provisions of the general and special conditions of the contract with the Owner;work stoppages,slowdowns or failure
of the Subcontractor to begin or continue work because of strikes,picketing,boycott or other voluntary or involuntary cessation of work may be cause for
the Contractor to terminate this contract as hereinafter provided in Section(21).
EX�IIBIT "A"
(1) This Contract will become effective and in full force and effect only upon written notice by Contractor to Subcontractor to proceed.
(2) Subcontractor waives all rights against Contractor and Owner for damages caused by fire or other perils to the extent covered by insurance
for the work.
(3) AIA Document A201,General Conditions,2007 Edition,shall control where not conflicting with this subcontract agreement.
(4) All sections of the specifications apply to Subcontractor as applicable.
(5) The completion date for this project is TBD,20 16 and this Subcontractor will perform his work in such a manner that this date will be
met. The subcontractor is subject to a day liquidated damages for delays caused by subcontractor if such delays cause the contractor to become
liable to pay liquidated damages as prescribed in contract documents between Owner and Contractor.
(6) Subcontractor shall furnish sufficient manpower to meet Contractor's schedule,regardless of overtime considerations.
(7) Subcontractor represents to be completely familiar with goveming codes applicable to the work. Should any conflicts exist between the
contract documents and the governing codes,the codes will govem. Furthermore,for any changes required in the contract documents to conform to the
applicable codes,this work will be performed at no expense to the Owner,Architect,Engineer,or Contractor.
(8) The Subcontractor will not discriminate against any employee or applicant because of race,color,religion,sex,or national origin. The
subcontractor will take a�rmative action to insure that applicants are employed and that employees are treated during employment without regard to their
race,color,religion,sex,or national origin. Such action shall include,but not be limited to the following: employment,upgrading,demotion or transfer;
recruitment,or advertising;layoff or termination;training,including apprenticeship. The Subcontractor agrees to post in conspicuous places,available to
employees and applicants for employment,notices to be provided setting forth the provisions of this nondiscrimination clause.
(9) Subcontractor shall not proceed with any work under this subcontract if any conditions exist which in any way limit or void warranty
hereunder, except with prior written waiver of warranty by Contractor's project manager furthermore, Subcontractor to inspect all substrates prior to
performing his work to report any defects to the project superintendent. Installation of work constitutes acceptance of substrates.
(10) If Subcontractor's work requires excavation of any kind,for any purpose,Subcontractor shall be responsible for backfill and recompaction
of his excavations to the satisfaction of the job superintendent,Owner('s)representative or Engineer. Subcontractor agrees to pay for all re-testing.
(11) Subcontractor to provide all temporary facilities,and protection for his stored materials if required for the execution of his work.
(12) Subcontractor to provide all cutting and patching required for the installation of his work.
(13) Subcontractor to provide all necessary backing and supports for the installation of his equipment or Owner supplied equipment.
Subcontractor is responsible for installing.
(14) Subcontractor shall furnish and install ail items not specifically mentioned or shown in the plans and specifications but necessary for the
comp(etion of the installation of his work.
(15) Subcontractor shall take all precautions to protect the work of other trades from damage caused by his operation. Should damage occur,
� Contractor shall have the right to correct such damage at the Subcontractor's expense.
(16) Subcontractor will ensure that all his materials and equipment are being safeguarded by Subcontractor and that C.W Hayes Construction
Company will not be responsible for materials either misplaced or stolen under his contract.

(18) All required measurements shall be taken by the job superintendent and the Subcontractor's representative. I,
(19) Subcontractor shall submit to the Contractor a complete set of as-built drawings prior to receiving final payment. Subcontractor is to
update record set of drawings at jobsite on a daily basis.
(20) All work to be done in compliance with all O.S.H.A.safety standards and the subcontractor shall have their Materia]Safety Data Sheets
information on site prior to commencement of work and throughout their scope of work.
(21) If this contract is a unit price contract estimated quantities are based on take offs from plans. Payment will be made based on actual
.quantities installed and approved by C.W.Hayes Construction Company representative.
(22)Any materials,equipment or labor charged to the contractor's accounts when this subcontract includes such materials,equipment or labor
will be assessed a 12%mark up by contractor for processing which will be deducted from the subcontract amount.
(23)A qualified Subcontractor Superintendent must be on the jobsite at all times during the subcontractor's course of construction and during all
Subcontractor's inspections with Governing Authorities.

O. Wet pipe systems will be tested at check alarm,check valve assembly conformance and water flow indicators for conformance with connection
diagram. Test water flow alann signal.
P. All final tests will be conducted after fire alarm panel is activated and in test mode with inspector,fire alarm subcontractor,electrician and fire
department,etc.
Q. Dry pipe systems check valve installation for conformance to connection diagram;verify all proper installation of air compressors and tanks as
provided. Observe test of alarm signal time etc.
R. Confirm all alarm devices have been provided and are operable.
S. Ensure fire alarm tie of system is complete.
T Verify system is completely cleaned,painted insulated,tested and approved as required.
U. Provide a mounted box of spare heads.
V. Confirm that expansion requirements are provided for if needed.
W. Ver�fy all system supports,anchorage,sway and seismic bracing is in accordance to NFPA,IBC and all other pertaining codes.
X. Provide a 3 ring binder with plastic sleeves,to include As-built drawing,sprinklers head specifications and sizes with marked locations and all
