UNLICENSED CONTRACTORS AND CONTRACTOR RESPONSIBILITIES: If the owner has hired a contractor or

TRANSPORTATION IMPACTNTILITIES IMPACT AND RESOURCE RECOVERY FEES: The undersigned understands
that Transportation Impact Fees and Recourse Recovery Fees may apply to the construction of new buildings,change of
use in existing buildings, or expansion of existing buildings, as specified in Pasco County Ordinance number 89-07 and
90-07,as amended. The undersigned also understands,that such fees,as may be due,will be identfied at the time of
permitting. It is turther understood that Transportation Impact Fees and Resource Recovery Fees must be paid prior to
receiving a"certificate of occupancy"or final power release. If the project does not involve a certificate of occupancy or
final power release,the fees must be paid prior to permit issuance. Furthermore, if Pasco County Water/Sewer Impact
fees are due,they must be paid prior to permit issuance in accordance with applicable Pasco County ordinances.
CONSTRUCTION LIEN LAW(Chapter 713,Florida Statutes,as amended): If valuation of work is$2,500.00 or more,I
certify that I, the applicant, have been provided with a copy of the "Florida Construction Lien Law—Homeowner's
Protection Guide"prepared by the Florida Department of Agriculture and Consumer Affairs. If the applicant is someone
other than the"owner",I certify that I have obtained a copy of the above described document and promise in good faith to
deliver it to the"owne�'prior to commencement.
CONTRACTOR'S/OWNER'S aFFIDAVIT: I certify that all the information in this application is accurate and that all work
will be done in compliance with all applicable laws regulating construction,zoning and land development. Application is
hereby made to obtain a permit to do work and installation as indicated. I certlfy that no work or installation has
commenced prior to issuance of a permit and that all work will be pertormed to meet standards of all laws regulating
construction, County and City codes, zoning regulations, and land development regulations in the jurisdiction. I also
certify that I understand that the regulations of other govemment agencies may apply to the intended work,and that it is
my responsibility to identify what actions 1 must take to be in compliance. Such agencies include but are not limited to:
- Department of Environmental Protection-Cypress Bayheads, Wetland Areas and Environmentally Sensitive
Lands,WatedWastewater Treatment.
- Southwest Florida Water Management District-Wells, Cypress Bayheads, Wetland Areas, Altering
Watercourses.
- Army Corps of Engineers-Seawalls,Docks,Navigable Waterways.
- Department of Health & Rehabilitative Services/Environmental Health Unit-Wells, Wastewater Treatment,
Septic Tanks.
- US Environmental Protection Agency-Asbestos abatement.
- Federal Aviation Authoriiy-Runways.
I understand that the following restrictions apply to the use of fill:
- Use of fill is not allowed in Flood Zone"V"unless expressly permitted.
� - If the fill material is to be used in Flood Zone "A", it is understood that a drainage plan addressing a
"compensating volume"will be submitted at time of permitting which is prepared by a professional engineer
licensed by the State of Florida.
- If the fill material is to be used in Flood Zone "A" in connection with a permitted building using stem wall
construction,I cert'rfy that fill will be used only to fill the area within the stem wall.
- If fill material is to be used in any area, I certify that use of such fill will not adversely affect adjacent
properties. If use of fill is found to adversely affect adjacent properties,the owner may be cited for violating
the conditions of the building permit issued under the attached permit application,for lots less than one(1)
acre which are elevated by fill,an engineered drainage plan is required.
I If I am the AGENT FOR THE OWNER,I promise in good faith to inform the owner of the permitting conditions set forth in
this affidavit prior to commencing construction. I understand that a separate permit may be required for electrical work,
plumbing, signs, wells, pools, air conditioning, gas, or other installations not specifically inGuded in the application. A
' permit issued shall be construed to be a license to proceed with the work and not as authority to violate,cancel,alter,or
set aside any provisions of the technical codes,nor shall issuance of a permit prevent the Building Official from thereafter
requiring a correction of errors in plans,construction or viola6ons of any codes. Every permit issued shall become invalid
unless the work authorized by such permit is commenced within six months of permit issuance,or if work authorized by
the permit is suspended or abandoned for a period of six(6)months after the time the work is commenced. An extension
may be requested, in writing,from the Building Official for a period not to exceed ninety(90)days and will demonstrate
justifiable cause for the extension. If work ceases for ninety(90)consecutive days,the job is considered abandoned.

SERVICE CONTRACT AGREEMENT
This Agreement is dated as of 01.27.2017 , between CIII 2005-PWR9-Townview
SQuare• ("Owner"), and Colliers Arnold,Inc: d/b/a Colliers International Tampa Bay Florida
("Manager") its managing agent and Encon�Incornorated. ("Contractor").
In consideration of the mutual covenants contained herein; together with other good and
' valuable consideration,�the adequacy, sufficiency�and receipt of which is hereby�acknowledged,
and intending to be legally bound hereby,the parties agree as follows:
�� 1. SERVICES. Owner hereby employs Contractor and Contractor hereby agrees to perform
i •certain HVAC_Replacement services as set�forth in Ezhibif"A" attached hereto on the improved
premises�(the"Premises").described as: � �

Contractor agrees to provide all labor, materials, equipment, and supervision, and do all
things� necessary to provide the hereinafter described services in accordance with' the
specifications set forth in E�ibit"A"hereto: � ' i
l. TERM. The term of th'is Agreement shall commence on 01.27.2017 and continue
through 02.28.2017 `provided, however, this Agreement shall automatically terminate
upon. the sale by Owner of the Premises or upon the termination for any reasonr of the
Management Contract beiween Owner and Manager:
Either party hereto may at any time during the Term and without cause; terminate�this
Agreement upon thirty (30) days advance written notice to the other party. If, in the soie
judgment of Owner or Manager, Contractor fails to perform its duties under this Agreement,
Owner or Manager may provide Contractor with seven days notice citing the� defects in
Contractors performance, and if Contractor has not cured said.defects within the notice period
then this contract shall terminate and Contractor will be entitled only to a proration of its fees
through the date of termination; less any damages, losses, costs or expenses incurred by Owner or
Manager as the result of Contractor's defects in performance. .` _ ' , _ ,_.
3. COMPENSATION. Owner agrees to pay to Contractor as follows: Upon Managemerits
approval Realace HVAC $6,281.00. Exhibit "A". In tlie event this Agreement.is terminated
effective on any day other than the last day of a service period,the fee for such partial period shall
be equal to the amount of the periodic installment, divided by the total number of days in the
period and multiplied by the number of days in the period _service was provided prior to

Contractor agrees that it will not invoice Owner or Manager or expect payment of any moneys,
which exceed this Agreement: Any services which Owner or Manager request that fall outside the
attached Ezhibit"A" may only be autharized in writing by an authorized representative of Owner
or Manager in advance and prior to the completion of any such extra work.
4. RELATIONSAIP OF THE PARTIES. It.is understood and agreed that the relationship
between Owner and Contractor is that of independent.contractor and neither Contractor nor
anyone employed by or otherwise retained by Contractor shall be deemed for any purpose to be
the employee, agent,.servant or representative of Owner. All personnel furnished by Gontractor
will be.deemed employees of Contractor and will not for. any purpose-be considered employees or
� agents of Owner or Manager. Contractor agrees to take all direction relating to this Agreement
from Manager.
5. COMPLIANCE WITH STAT,UTES.; .ORDINANCES AND � REGULATTONS. In
performing the Services required under this Agreement, Contractor shall comply with all
applicable federal, state, county, and municipal statutes, ordinances and regulations, including
without limitation, any licensing, bonding, and permit requirements. If such compiiance is
impossible for reasons beyond its control, Contractor shall-immediately'notify Manager of that
fact and the reasons therefar, and Manager shall have tlie right�ta immediately terminate this
Agreement or take such other action as Owner may deem necessary or desirable.
6. LIENS. Contractor shall, for,itself,.and on behalf of all subcontractors, suppliers,materialmen
and others claiming by, through or under Contractor, keep the premises described herein free and
clear from all liens of any kind and shall defend, indemnify and save Owner and Manager
harmless against all costs, expenses, loss of use and damage resulting from the filing of liens,
including Owner's and Manager's attorneys fees. Upon the attachment of any lien or liens to the
Premises, Contractor agrees, within ten (10) days after receipt of notice from Owner regarding
such lien or liens, to pay, discharge or transfer the lien to cash, bond or other security in ,
accordance with Florida law, so that no lien affects or encumbers the Premises. In the event that
Contractor. fails to take timely action as.required by the previous sentence, Owner or Manager
shall have the right,at their sole option,to pay, discharge or transfer,.the lien to cash, bond or other
security in accordance with Florida law and to offset the cost of same,together with interest, costs
and attorneys fees incurred, against any sums owed to Coritractor under,this Agreement, with any
sums remaining unpaid after such offset being due and payable from Contractor within ten (10)
days after receipt of an invoice:from Owner or Manager.
7. SUSPECT / COUNTERFEIT.ITEMS. Notwithstanding other warranty pro�isions of this
Contract, Contractor expressly warrants that all items provided under this contract are suitable for
the intended or specified use and that no suspect or suspect counterfeit items, parts,;or materials
have been furnished or delivered to Manager under this Contract..Materials furnished and used to
'�comply with this Contract shall be free of hazardous, defective, or inferior materials according to
applicable federal; state, and local governmental regulations. If suspect/counterfeit materials are
furnished under this Contract, such materials will be removed by the Contractor as directed by the
Manager. Contractor shall promptly replace such materials with those acceptable to the Manager,

and Contractor shall be liable for all costs relating to impoundment, removal, disposal and
replacement.
Contractor shall indemnify the Manager, its officers, agents, and employees, and third parties
for any financial loss, injury, or property damage resulting directly or indirectly from material
components, or parts that are not genuine,�not original or'not otherwise suitable for the intended
purpose. This includes, but is not limited to, materials that are defective, suspect, or counterfeit;
materials that have been provided under false pretenses; and materials or items that-are materially
altered, damaged, deteriorated, degraded, or result in product failure. The rights of the Manager in
this clause are in addition to any other rights provided by law or contract.
8. RELEASE AND INDEMNITY. Contractor does hereby.release and waive any and all right
it has now, or may in the future have to recover against Owner and Manager, their general and
limited partners, officers, agents, servants, affiliates, or employees, for loss or damage to property,
or personal injury :or death (including, but not limited to, claims for damage to properiy of
Contractor and injury to, or death of employees or subcontractors of Contractor.and claims for
contribution or indemnity or for reimbursement of workers'-compensation benefits), caused by
any act or neglect of Owner or Manager in any way relating to or resulting from the Premises or
the Services performed or to be performed by Contractor under or in .connection with this
Agreement.
Contractor agrees to indemnify, defend and save Owner and Manager, from and against ,
any and all claims, suits and liabilities, based upon damage to, or destruction of, any property or
injury to any person (including death) including, but not limited to, Contractor's employees,
subcontractors or agents arising out of or attributable to tlie performance or non-performance by
the Contractor, its employees, subcontractors and. agents hereunder. The provisions of this
paragraph shall survive the expiration or termination of this Agreement with respect to any
, damage, death or injury occurring prior to termination. �
9. INSURANCE. Contractor shall at all times during the term of this Agreement, and any
extension or continuation of this Agreement, at its sole cost and expense, obtain and maintain the
insurance of the types and with the limits indicated on the insurance requirements set forth in
Ezhibit "B" attached hereto and made a part hereof ("Insurance Requirements"),�which shall
name Owner and Manager expressl}% as additional insureds, �and which shall insure Owner,
Manager, and Contractor against all of the various claims, liabilit'ies and attorney's fees described
in E�ibit "B" hereof. Simultaneously with the execution hereof by Contractor and each and
every time such coverages change or renew;Contractor shall provide Manager current certificates
of insurance or certified copies of policies (at Manager's sole option) acceptable to Manager as
written proof of�the aforesaid coverages. 'All insurance companies upon which policies in
satisfaction of the Insurance Requiremerits are written shall be,duly licensed to transact business
in Florida and shall be reasonably approved'by Manager and�Owner in writing.

10. MIS EL EO
C LAN US.
(a) In the event that any action, suit, or other proceeding is instituted to remedy, prevent,
or obtain relief from a breach of this Agreement or arising out of a breach of this Agreement,
andlor to: contest the validity hereof, the prevailing, party shall recover all of such party's
attorneys' fees incurred in,each and every+ such action, suit or other proceeding, including
-attorneys' fees in all administrative hearings and appeals.
(b) The rights and duties arising under this Agreement shall be governed by the laws of
the State in which the Premises is located,without regard to conflicts of law principles. Any legal
proceedings undertaken with respect to this Agreement shall be prosecuted in any court of
competent jurisdiction in the county in which the Premises is located.
(c) Contractor warrants and guarantees materials and labor provided by Contractor to
Owner hereunder against defects in materials and workmanship for a period of one year following
the date of completion thereof. Such warranty is in additibn to all other warranties implied or
otherwise'available at law and is in addition to any warranties provided to Contractor by the
suppliers of materials. �

(k) Contractor, by execution of this Agreement, is not authorized to use any trademarks,
copyrighted or otherwise proprietary materials of Owner or Manager in any of its marketing,
promotional or advertising. materials and agrees not to do so. Any information obtained by
Contractor regarding Owner or Manager's business operations, trade secrets or proprietary
processes or methodologies shall be kept strictly confidential and shall not be disclosed by
Contractor to any third party or parties.

(e) This Agreement constitutes the entire agreement between the parties with regard to the
matters set forth herein, and may be amended, assigned or subcontracted only by a document of
equal formality executed by both parties. ' I
(� All Exhibits hereto are incorporated into and made part of this Agreement. In the
event of any inconsistency between this Agreement and any of the Exhibits, this Agreement shall
control. �
(g) Invalidation in whole or in part of any provision of this Agreement by judgment or
court order will not affect any other provisions, all of which shall remain in full force and effect;
provided, however,that any court of competent jurisdiction is hereby empowered to, to the extent
practicable, to enforce any otherwise invalid provision contained in this Agreement when
necessary to avoid a finding of invalidity while effecting the intent of the parties pertaining to the
performance of this Agreement.
(h) This Agreement shall be subject and subordinate to all mortgages contracted by Owner
in which the Premises is the security, and to all renewals, extensions, modifications, amendment,
substitutions and replacements for any such mortgages. Such subordination shall be automatic
and require no confirmation or action by Contractor or Owner; provided, however, that upon
request of Owner, Contractor shall enter into such agreement of subordination or attornment as
any mortgagee to Owner may request from time to time, within five (5) days after delivery of
written notice and a copy of the instrument to Contractor. Additionally, within five (5) days of
any request by Owner or Manager, Contractor shall deliver to the requesting party a letter
confirming whether this Agreement is imfull force and effect and free from default, the amount of
any sums due hereunder and such other reasonable and truthful certifications as Owner or
Manager may require.
(i) Neither this Agreement nor the interests of the parties in this Agreement may be
� assigned, transferred, shared or divided in any manner by either party without the.prior written
consent of the other party. Notwithstanding the foregoing,however, Owner shall have the right to
transfer or assign its interest under this Agreement, without the consent of Contractor, to any
affiliate or subsidiary of Owner, or in connection with a sale or transfer of the Premises to a third

(j) Each of the parties represents and warrants that (a) it is fully authorized to enter into
this Agreement, (b) it has read and fully understands each of the provisions of this Agreement, (c)
it has had the opportunity to rely on the advice and representation of legal counsel of its own
choosing with respect to the matters set forth herein, (d) it has signed the Agreement voluntarily,
without any duress or undue influence on the part, or on behalf, of any party, and (e)the terms of
this Agreement are contractual and not merely recitals. In addition, each of the parties represents
and warrants that (a) it is duly organized and existing in good standing under the laws of one of
the states of the United States, (b) it has taken all necessary corporate and internal legal actions to
duly approve the making and performance of this Agreement and that no further corporate or
internal approval is necessary, and (c) the making and performance of this Agreement will not

Statement of Insurance Requirements '
Contractor shall carry and maintain in full force and effect insurance policies of the types, in the
minimum amounts and under the terms and conditions set forth below,with a company or
companies satisfactory to Colliers Arnold,Inc. d/b/a Colliers International Tampa Bay
Florida(Manager). Contractor's insurance shall be primary with respect to any claim, demand, or
suit and the insurance of the Owner and Manager will be considered excess over and above
Contractor's insurance naming Manager and Owner as additional insureds.
I. Forms of Insurance Coverage
A. Commercial General Liability Insurance, including,Bodily Injury,Property
Damage,Product Liability,Independent Contractors(if any), Completed
Operations and Contractual LiabiliTy and including contractual liability insurance
covering the Contractor's obligations under Section 8 of the service agreement.
Each Occurrence $1,000,000
B. Comprehensive Automobile Liability Insurance Bodily Injury and Property
Damage.
Combined Single Limit � $500,000
C. Worker's Compensation&Employer's Liability Insurance
Statutory amounts as required for Worker's Compensation by the laws of the State
of Florida or any other state where the work is being performed.
Employers' Liability $500,000
D. AlI Risk Properly Coverage
Contractor may also secure,pay for at its sole cost and maintain whatever All Risk
Property Coverage Insurance Contractor may deem necessary to protect Contractor
against loss of owned or rented capital equipment and tools, including any tools
owned by mechanics, and any tools, equipment, scaffolding, staging,towers and `
forms owned or rented for the benefit of Contractor. The requirements to secure
and maintain such insurance is solely for the benefit of Contractor. Failure of
Contractor to secure such insurance or to maintain adequate levels of coverage
shall not obligate the Owner or the Manager or their agents and employees for any
losses of owned or rented equipment. In the event Contractor chooses to carry All
Risk Property Coverage Insurance, Contractor's property insurance policy shall

include a waiver of subrogation clause as follows: "It is agreed that in no event
shall this insurance company have any right of recovery against the Owner or the
Managing Agent."
II. Terms and Conditions of Insurance Coverage
A. Excess Liability
If a contractor's primary limits do not meet the minimum requirements for
Commercial General Liability or Automobile Liability as set forth in Section 1,
then Excess Liability must be in place to meet minimum levels.
B. AdditionalInsured
The following must be named as an additional insured under the Commercial
General Liability Policy and evidenced on the Certificate of Insurance:
