All of the Work shall be in strict accordance with the following plans, specifications, drawings, and schedules: As Noted in Exhibit B attached hereto; and the following addenda: N/A All as prepared by Twelfth Street Studio. This Agreement, together with the plans, specifications, drawings, schedules, and addenda hereinbefore identified and which are hereby incorporated herein by reference shall be referred to as the Contract Documents. ARTICLE 3 SCHEDULE AND COMPLETION OF WORK: Time is of the essence. Subcontractor shall provide Contractor with any requested scheduling information of Subcontractor's Work. The Schedule of Work, including that of this Subcontract shall be prepared by the Contractor, and may be revised as the Work progresses. Subcontractor recognizes that changes may be made in the Schedule of Work and agrees to comply with such changes without additional compensation. Subcontractor shall coordinate its Work with all other contractors, subcontractors, and suppliers on the Project so as not to delay or damage their performance, work, or the Project. Sub-Contractor agrees to take all necessary precautions to protect its Work and that of all others on the project with which it may come in contact. Sub-Contractor further agrees to remedy at its expense all damage or loss to its work or that of others where it is responsible for such damage or loss. If the quality of the Sub-contractor's Work depends partially or completely upon the quality and performance of the work of other trades not covered by this Agreement, the Subcontractor agrees to carefully examine the other work, determine whether it has been completed in a suitable manner for the proper execution of the Subcontractor's Work, use all means necessary to discover any defects in the other work, and prior to commencing with the Subcontractor's Work, notify the Contractor in writing of any improper, inaccurate, incomplete or defective work discovered. Subcontractor shall allow the Contractor reasonable time to have the defective work remedied. Sub-Contractor shall promptly furnish Contractor with a full and complete list of Sub-Contractors, materialmen and suppliers and shall, prior to any change therein, secure the written approval of Contractor. No payment of any kind herein called for shall be due to Sub-Contractor until properly executed lien waivers applicable to such payment are provided to Contractor, and until Contractor has been paid by Owner for such Work. ARTICLE 4 CHANGES: Contractor, without nullifying this Agreement, may direct Subcontractor in writing to make changes to Subcontractor's Work. In the event an error, omission or other negligence on the part of the Sub-Contractor poses a threat to the safety of persons or property, Contractor has the right to immediately default the Sub-Contractor and take control of the Work. In that event, Contractor may proceed thereupon to complete the Work under the terms of said Contract or, at the option of the Contractor, the Work may be re-let or completed by any arrangement deemed necessary by the Contractor to obtain a satisfactory result. Irrespective of the method selected by the Contractor for completing the Work to the entire satisfaction of the Contractor and Architect, the entire cost and expense to Contractor may be deducted from any money due or to become due to the Sub-Contractor and, in addition, Sub-Contractor shall reimburse Contractor for any costs and expenses which are incurred over and above such money due or to become due. ARTICLE 6 INSURANCE: Subcontractors shall purchase and maintain during the entire Project and during the warranty period, insurance with the minimum limits and coverage shown below or, if greater — the requirements set forth in the Contract Documents, from insurance companies acceptable to Contractor. ARTICLE 8 WARRANTY: Subcontractor warrants its Work against all deficiencies and defects in materials and/or workmanship and agrees to satisfy same without cost to Owner or Contractor for a period of one (1) year from the date of Substantial Completion of the Project or per Contract Documents, whichever is longer. ARTICLE 9 SAFETY: It is the policy of the management of Contractor that all feasible and practical efforts be made to provide a safe and healthful place of employment for our employees and for yours; that all members of the work force do everything reasonable to protect personnel, equipment, and other assets from accidental losses. Contractor requires that suppliers and subcontractors comply with all local, state, and federal safety standards, codes and regulations. Were you able to attend? If so, sorry I missed you! With all Landscaping and Irrigation complete; parking, sidewalks and striping/signage complete are you in a position to convert the TCO to a CO at this point? We do have temporary wood stairs at the Exhibition Court that will be replaced with metal steps, 4'-0"wide with 12" treads and 5"risers. Other than that and some aesthetic adjustments we should be in good shape for the permanent CO. TCO ran out on October 18th so at the very least we would want to extend the TCO for another 30-days if the project is not ready for a Final CO based on your inspection. Thanks, Craig D.
