Subcontractor is required to have and to provide to Contractor evidence of that it possesses all licenses and permits that are necessary or otherwise required of Subcontractor to lawfully perform the work. This requirement applies to, and includes sub-subcontractors and all other entities that Subcontractor may hire. Subcontractor shall submit all shop drawings, submittal data, brochures and samples to Contractor and as many duplicate copies as Contractor may require and no later than ten (10) days after the Subcontract Date. The correctness of all measurements, coordination with other trades and materials, including field measurements, shall be the responsibility of Subcontractor, unless such responsibility is assumed by Contractor in writing. Subcontractor shall immediately review the Contract Documents and report any discrepancies to Contractor. Failure to perform this review in a timely manner shall result in a waiver of any and all claims by Subcontractor to the extent of any additional costs that could have been avoided by an immediate review of these documents by Subcontractor. 3. Subcontractor represents and agrees that it has carefully examined the Contract Documents relevant to the work and is thoroughly familiar with said plans and specifications and that the methods, sequences, and procedures described therein or reasonably inferred as necessary for said work are agreed upon and correct and sufficient to perform the work specified or reasonably inferred; that it has adequately investigated the nature and conditions of the Project site and locality; has familiarized itself with conditions affecting the difficulty of the work; and has entered into the Subcontract based on its own examination, investigation, and evaluation and not in reliance upon any opinions or representations of Contractor. Contractor shall have the right and power at all times to order the work objected to be removed or replaced or (at Contractor's sole option, if acceptable to the Owner) to receive from the Subcontractor in payment, a sum of money equivalent to the difference in value of the work performed and that required by the plans and specifications, drawings and details. Subcontractor agrees that the Subcontract Price includes all labor, materials, sales tax, other tax, equipment, insurance, and other services necessary for Subcontractor to comply with the requirements of this Subcontract. Subcontractor shall comply with all federal, state and municipal laws, codes, regulations and ordinances effective where the work under this Subcontract is to be performed, and shall pay all taxes and contributions imposed or required by any law for any employment insurance, pensions, old age retirement funds, or similar purposes, in respect to the work under this Subcontract and the employees of Subcontractor in the performance of said work. Subcontractor shall comply with the federal occupation Safety and Health Act of 1970 and related amendments. Subcontractor shall be responsible for compliance with all workmen and public safety laws, ordinances and regulation relating to the work and Subcontractor agrees to indemnify and hold harmless Contractor and Owner from all liability, cost and expense of whatever nature (including court costs and attorneys fees) arising out of the failure, in whole or in part, directly or indirectly, of the Subcontractor, its agents, employees or Sub-Contractors to so comply with such laws, regulations and standards. This indemnity obligation shall be in accordance with Paragraph 16. 5. If the proper performance of the work by Subcontractor depends upon the proper performance of work by Contractor or another Subcontractor whose work precedes in time the work of the Subcontractor, Subcontractor shall, prior to commencement of this work, report any deficiencies of such preceding work to Contractor in writing, and Subcontractor's commencement of work without having reported any such deficiency shall constitute an admission by Subcontractor that such preceding work was property done and Subcontractor shall not be entitled to any additional compensation for the proper performance of his work regardless of the condition of such preceding work. Subcontractor shall be responsible for determining for itself the field dimensions, material, and labor requirements relating to his work and shall not rely on estimates or statements of Contractor or the Contract Documents with respect to such matters. 6. Should Subcontractor at any time refuse or neglect to supply a sufficient number of properly qualified workmen or a sufficient quantity of materials of proper quality, or abandon the work or fail in any respect to prosecute the work covered by this Subcontract with promptness and diligence, or fail in the performances of any of the agreements herein contained; or, in the event that a petition in bankruptcy shall be filed by or against Subcontractor, Subcontractor shall make an assignment for the benefit of creditors or enter into any other form of creditor management or admit in writing an inability to meet any obligation as same became due or in the event that a fine monetary judgment shall be entered against Subcontractor and same remains unsatisfied for more than thirty (30) days, Contractor may, at its option, after 48-hours notice to Subcontractor, provide any such labor and materials, project manager costs, accounting costs, and other costs and deduct the cost, plus overhead and profit not to exceed ten percent(10%each),thereof from any money then due or thereafter to become due to Subcontractor under this Subcontract. 7. Subcontractor shall secure and protect its work and shall bear and be liable for all loss or damages of any kind which may happen to the work or any materials to be incorporated therein at any time prior to the final completion and acceptance thereof. Contractor shall not be responsible for any damages done to the work or property of the Subcontractor unless such damage shall be caused by the direct negligence of the Contractor. Subcontractor shall at all times keep the building and premises free from rubbish and debris caused by its operations and upon completion have the work free and clear from all obstructions and hindrances. 8. All changes in the Subcontractor's scope of work or Subcontract Price must be approved in writing by the Project Manager prior to the Subcontractor performing the work. Where major cost items are sub-subcontracts or vendors, they must also be completely itemized. Subcontractor shall be entitled to an extension of time for performing and completing the work covered by this Subcontract only upon the same terms, conditions and to the same extent as is actually allowed Contractor by Owner. Contractor shall not be liable to Subcontractor for delay, acceleration or any other damage, loss or injury caused by Contractor or any other person or entity, including other contractors, subcontractors, Owner's representatives, or material suppliers. If any claim or lien is made or filed with or against Contractor, the Owner, the Project or the Premises by any person claiming that the Subcontractor or any sub-subcontractor or other person performing work under this Subcontract has failed to make payment for any labor, services, materials, equipment, taxes or other items or obligations furnished or incurred for or in connection with the work, or if at any time there shall be evidence of such nonpayment or of any claim or lien for which, if established, Contractor or the Owner might become liable and which is chargeable to the Subcontractor, or if the Subcontractor or any sub-subcontractor or other person under subcontract causes damage to the work or to any other work on the Project, or if the Subcontractor fails to perform or is otherwise in default under any of the terms or provisions of this Agreement, Contractor shall have the right to retain from any payment then due or thereinafter to become due on this or any other project subcontractor is working on for Contractor an amount which it deems sufficient to (1) satisfy, discharge and/or defend against any such claim or lien or any action which may be brought or judgment which may be recovered thereon, (2) make good any such nonpayment, damage,failure or default, and (3) compensate Contractor and the Owner for and indemnify and hold them harmless against any and all losses, liability, damages, costs and expenses, including legal fees and disbursements,which may be sustained or incurred by either or both of them in connection therewith, in accordance with Paragraph 16. Contractor shall have the right to apply and charge sums otherwise due Subcontractor on this or any other project Subcontractor has with Contractor so much of the amount retained as may be required for the foregoing purposes. If the amount is insufficient therefore, the Subcontractor shall be liable to Contractor for the difference and pay the same to Contractor. In addition to other conditions contained herein, Subcontractor shall be liable to Contractor for such sums as Contractor may become obligated to pay to Owner, including, but not limited to liquidated damages due to Subcontractor's performance or nonperformance of the Subcontract. 9. Subcontractor agrees to turn said work over to Contractor in good condition and free and clear from all claims, encumbrances and liens for labor, services, or materials., Subcontractor shall provide all waivers/releases of lien for labor, service, or materials purchased for use in the prosecution of said work and shall furnish releases of lien from all Subcontractor' suppliers, Sub- Contractors and vendors, and agrees to protect and save harmless Contractor and owner from all claims, encumbrances, and liens growing out of the performance of the work and all maintenance required under the Contract Documents, If required by Contractor, the furnishing of such lien-waivers and releases shall be a condition precedent to any payment hereunder. 10. Subcontractor shall not sublet, assign or transfer this Subcontract or any work or payments due hereunder without Contractor's written consent, and such consent shall not relieve Subcontractor of its obligations hereunder. 11. Subcontractor guarantees his work against all defects of material or workmanship and guarantee that such work shall be in strict compliance with the Contract Documents for the period of time specified in the Contract Documents; if no guarantee is called for by the Contract Documents, Subcontractor's guarantee shall be for a period of one (1)year from the date of acceptance of the project by the Owner. Such guarantee to include all costs of repairing and replacing Sub-Contractor's work to comply strictly with the Contract Documents. Subcontractor further agrees to indemnify and save harmless Contractor from all claims resulting or arising out of such defects of materials or workmanship, or failure of his work to comply strictly with the Contract Documents. 12. The exclusive venue for any litigation arising hereunder shall be in a court of competent jurisdiction in Orange County, Florida,and the laws of Florida shall apply. Contractor, upon 10 days written notice, may terminate this Subcontract at any time and Contractor's sole obligation will be to pay Subcontractor for the value of the work performed as of the date of termination, less any credit Subcontractor can reasonably obtain. No overhead, lost prospective profits or any other direct or indirect/consequential damages associated with this Subcontract and/or its termination shall be allowed for that portion of the work which has not been performed at the time of termination. In the event any termination of Subcontractor for cause is determined to be improper, then Subcontractor agrees that the termination shall be a termination for convenience hereunder and, in such event, Subcontractor shall be entitled to payment for work performed through the date of termination as set forth herein, but shall not be entitled to (and hereby waives) any and all costs for overhead, lost prospective profits or any other direct or indirect/consequential damages associated with this Subcontract and/or its termination. The termination provisions in this paragraph shall not be applicable to any proper termination for cause as set forth in this Subcontract. 14. Summary of insurance requirements listed herein: Subcontractor must supply Workmen's Compensation, Employer's Liability, General Liability, Automobile Liability and Excess Liability in accordance with the attached Exhibit "D". All certificates of insurance must be project specific for each project subcontractor. Exemption from Workmen's Compensation is not allowed. In addition to maintaining coverage during the duration of the project, all insurance coverage must remain in effect from project substantial completion through the expiration of the warranty period. 15. Subcontractor shall indemnify, defend (including defense costs and attorneys fees) and hold harmless Contractor and Owner, from and against any and all claims, loss, demands or judgments for damage or expense (including attorneys fees and other costs of defense incurred by Contractor in defending against any claims or in enforcing this indemnity/defense obligation) arising out of or in connection with this Subcontract or the failure to observe or comply with the provisions of this agreement or the contract documents (hereinafter referred to as "indemnity/defense obligation"). This indemnity/defense obligation also includes Subcontractor's indemnity and defense of Contractor and Owner of and from any claims of damage (and any actual damage) to persons or property which are occasioned by, contributed to, or in any way caused, in whole or in part by Subcontractor, sub-subcontractors or of any tier or their respective employees. The monetary limitation on the extent of the indemnification provided hereunder by Subcontractor shall be the greater of $2 million per person injured or $4 million per occurrence, unless otherwise agreed in writing by Contractor. Subcontractor acknowledges and agrees that the monetary limitation on the extent of the indemnification bears a reasonable commercial relationship to the work under this Subcontract, and that this indemnity/defense obligation is specifically incorporated by this reference into the project specifications or bid documents, if any. The indemnification shall not include the indemnity/defense of claims or damages resulting from gross negligence, or willful, wanton or intentional misconduct of Contractor or its officers, directors, agents or employees, or for statutory violation or punitive damages except and to the extent the statutory violation or punitive damages are caused by or result from the acts of omissions of the Subcontractor, its agents, or employees, or any of the Subcontractor's sub- subcontractors,their agents or any tier or their respective employees. 16. Subcontractor must comply with Contractor, OSHA and other local or federal safety requirements while working on the job site. Subcontractor will maintain all required Hazcom and MSDS information on-site, and will be responsible for any costs or fines associated with lack of required OSHA information. Subcontractor is responsible for all necessary barricades, protection, identification signage and other precautions to protect all employees, trades and the public from any hazards associated with its performance of the work. Subcontractor must immediately notify Contractor in writing of any known safety or other hazards. Subcontractor must hold regular safety meetings with its employees and comply with Contractor's site safety rules. Subcontractor must identify and provide a competent person or manager and superintendent who shall be responsible for and present during all critical and other activities as required by Contractor or OSHA guidelines. These activities include, but are not limited to, Trenching (29 CFR 1926.652), Scaffolding, Fall Protection, Steel Erection and Confined Space work processes, and any other work processes in accordance with OSHA requirements. Subcontractor is responsible for all cost associated with its compliance with items contained herein. Subcontractor agrees to comply with all provisions of local and federal jurisdictional regulations regarding the"Storm Water Pollution Prevention Plan" (SWPPP) and"National Pollution Discharge Elimination Systems" (NPDES) concerning disuturbed soils, erosion control, pollutants and other items. Subcontractor acknowledges and agrees to comply with all Trench Safety Act Provisions and Florida Statute provisions for all Trench act notices, estimates and other requirements. Subcontractor agrees that this contract contains sufficient monetary consideration and agrees that it is working with full knowledge and in compliance with all federal, state, local and other jurisdictional requirements. Subcontractor agrees to comply with Contractor's"Subcontractors Disciplinary Procedures"system and further that it will correct any safety violations or other OSHA deficiencies per the Contractor's disciplinary policy. Subcontractor's officers and owners agree that they will personally address and correct any reasonable safety concerns, violations, OSHA citations or other unsafe conditions, if not corrected by the subcontractor's authorized representative. 17. On the 25th day of each month Subcontractor shall present to Contractor, on Contractor's standard application for payment form, a statement of the work done during the billing period, that Contractor may, at its option on each payment, retain 10%, or the additional percentage specified in the Contract Documents, of each estimate until final payment, which shall be made after completion of the work covered by this Subcontract and written acceptance thereof by the Architect, and full payment therefore by Owner. Each application must be accompanied by a release of lien and supplier's affidavit (if applicable). No payment will be processed or released without the proper releases of lien. Stored materials must be secured on site and approved by project superintendent and Owner/Lender prior to payment. 18. Contractor must first have received payment from the owner before it has any obligation to make any of the periodic progress payments or final payment. Receipt of such payments by Contractor from the owner shall be an absolute and continuing condition precedent to Contractor's obligation to make payments to Subcontractor.
