WITNESSETH: WHEREAS, Installation Assignor is in the business of, among other things, installing photovoltaic systems for homeowners; WHEREAS, Originator is in the business of, among other things, selling photovoltaic solar systems to homeowners; WHEREAS, Originator sold to Carlos LopezL (-DjWer") that certain Home Improvement Agreement dated 9/17/2023 6.46 PM attached as Exhibit "A" (the "Home Improvement Agreement"), whereby Buyer purchased, and Originator sold, a photovoltaic system (the "System") installed by Installation Assignor pursuant to the Home Improvement Agreement, and financed pursuant to the Retail Installment and Security Agreement (the "Credit Agreement") from Assignee subject to a security interest held by Assignee, all as described in further detail in the Credit Agreement; WHEREAS, in connection with the Home Improvement Agreement, Originator provided services in the form of finding and selling the Home Improvement Contract together with the Credit Agreement, and the Warranty Agreement attached as Exhibit "B" hereto (the WHEREAS, in connection with the Home Improvement Agreement, Installation Assignor and Buyer entered into the Warranty Agreement, whereby Installation Assignor agreed to provide warranties on the System, all as described in finther detail in the Warranty Agreement; WHEREAS, in connection therewith, Installation Assignor desires to assign, transfer and convey all of its right, title and interest in the Warranty Agreement to Assignee, and Assignee desires to accept such assignment, without constituting a novation, all on or after the date the System is connected to the electrical grid (the "Interconnection Date"J; WHEREAS, for the avoidance of doubt, it is made clear that the Installation Assignor will not assign, transfer, or convey any of its right, title, and interest in the Home improvement Agreement; NOW, THEREFORE, in consideration of the promises and the agreements contained in this Assignment and Payment Agreement, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, and intending to be legally bound, Originator, Installation Assignor and the Assignee agree as follows: 1. Assignor's Representations and Warranties. Installation Assignor represents, warrants, and agrees as follows as of the Effective Date: (a) Installation Assignor is the legal and equitable owner and holder of the Warranty Agreement; (b) The Warranty Agreement has not been assigned or hypothecated by Installation Assignor in any manner, except to Assignee; (c) Buyer has made all payments of principal, finance charges, and any other amounts due, if any, tinder the Home Improvement Agreement; (d) Any liens are valid against the property described in the Credit Agreement and the Warranty Agreement; (e) The collateral subject to the Credit Agreement and the Warranty Agreement has been well maintained and is in good operating condition and repair, ordinary wear and tear excepted, and is free from defects other than such minor defects as do not interfere with the intended use or materially adversely affect its resale value; (f) There are no defaults by Buyer or Installation Assignor presently existing tinder the Warranty Agreement, and Installation Assignor knows of no claims or offsets that Buyer may have against the payment of indebtedness under the Credit Agreement, or performance of the Warranty Agreement; (g) Installation Assignor has full right, power and authority to transfer and convey the Warranty Agreement and to execute this Assignment; and (h) Upon the Interconnection Date, Assignee will be the legal and equitable owner of the Warranty Agreement, free of all liens or other encumbrances. 5, Installation Assionor's Covenants. Installation Assignor covenants that, during the period beginning on the Effective Date and ending on the Interconnection Date: (a) Installation Assignor will not assign or hypothecate the Warranty Agreement in any manner, except to Assignee; (b) Installation Assignor will not amend or ten-ninate the Home Improvement Agreement or the Warranty Agreement without Assignee's written consent; (c) Installation Assignor will not breach its obligations under the Home Improvement Agreement or Warranty Agreement; and (d) Installation Assignor will give Assignee prompt written notice of any breach of Buyer's obligations under the Home Improvement Agreement, the Warranty Agreement or any related agreement. 6. Conditions to A1aMMg1j2g. If the representations and warranties made in Section 4 are not also true as of the Effective Date, or if Installation Assignor breaches any of the covenants contained in Section 5, notwithstanding anything in this Assignment and Payment Agreement to the contrary, Assignee will not be required to make any payments under the Installer Channel Partner Agreement or to assume the Warranty Agreement, and Installation Assignor will repay and refund Assignee any and all payments made by Assignee pursuant to the Installer Channel Partner Agreement or any Work Order, if any, in connection with the System. 7. Indemnification. Installation Assignor agrees to indemnify, defend and hold Assignee harmless from and against any and all liabilities, losses, damages, costs and expenses (i) incurred with respect to any action or cause of action accruing under the Warranty Agreement prior to the Interconnection Date, whether asserted by Buyer or any third party; (ii) relating to or resulting from a breach by Installation Assignor of any of the representations and warranties contained in Section 4 of this Assignment and Payment Agreement; or (iii) relating to or resulting from a breach by Installation Assignor of any of the covenants contained in Section 5 of this Assignment and Payment Agreement. 8, klavrnents Received hy Origginator or Installation Assignor. In the event Originator or Installation Assignor receives any payments tinder the CreditAgreement, Originator and Installation Assignor agrees to accept such payments as Assignee's agent and to hold them in trust on behalf of and for the sole benefit of Assignee and promptly deliver such payments to Assignee in the same form received, or in a form reasonably requested by Assignee, free of any withholding, setoff, claim or deduction of any kind within two (2) days of receipt of such payment. 9. Insurance. Assignee shall arrange for property insurance sufficient to protect its security interest in the System. Assignee shall arrange for liability insurance to cover its procurement of any warranty services in relation to the System. 10. Counter arts. This Assignment and Payment Agreement may be executed in multiple originals and/or counterparts, each is to be p deemed to be an original, and all of which, together, constitute one instruinent. 11. Further Acts. Each of Originator, Installation Assignor and Assignee covenants and agrees that from time to time on and after the Effective Date, it will do all things that may reasonably be required to confirm and assure the consummation of the transactions provided for under this Assignment and Payment Agreement, including without limitation the filing of any Uniform Commercial Code (UGC) financing statements. 12. Entire Agregiment. This Assignment and Payment Agreement supplements the Originator Channel Partner Agreement and the Installer Channel Partner Agreement contains the entire agreement among the Originator, Installation Assignor and Assignee regarding the subject matter dealt with under this Assignment and Payment Agreement and supersedes all prior agreements and understandings whether written or oral. No provision of this Assignment may be modified, waived, or discharged unless such waiver, modification, or discharge is agreed to in writing by an authorized representative of each of the Originator, Installation Assignor and Assignee. 13. GOVERNING LAW. WITHOUT GIVING EFFECT TO PRINCIPLES OF CONFLICTS OF LAWS, THIS ASSIGNMENT AND PAYMENT AGREEMENT IS GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF WHERE THE SYSTEM IS LOCATED. NOTWITHSTANDING THE FOREGOING, ISSUES RELATING TO THE CONSTRUCTION AND ENFORCEMENT OF THE CHANNEL PARTNER AGREEMENTS, INCLUDING WITHOUT LIMITATION, ORIGINATOR AND INSTALLATION ASSIGNOR'S OBLIGATION TO ACHIEVE FINAL COMPLETION, WILL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF TEXAS. 14. Severability. Should, for any reason, any provision of this Assigninent and Payment Agreement be held invalid or unenforceable in whole or in part, all remaining portions of this Assignment and Payment Agreement will be deemed severable and will remain binding and enforceable to the fullest extent permitted by law; and if any unenforceable provision can be cured of such invalidity by curtailment or revision, the parties agree to minimal curtailment or revisions as may be required to render that portion of the Assignment and Payment Agreement valid. 15. BindinEf%et. This Assignment and Payment Agreement, and all of its terms and provisions, is binding upon and will inure to the benefit of the Originator, Installation Assignor and Assignee, and their respective successors and permitted assigns, as the case may be.
