CONSTRUCTION AGREEMENT

1996, between ZEPHYRHILLS MUNICIPAL AIRPORT AUTHORITY
(hereinafter referred to as OWNER) and PROUD PELICAN CONSTRUCTION,
INC., a Florida corporation (hereinafter referred to as CON'l'RACTOR)
wherein the parties agree as follows:
I. CONTRACTOR agrees to construct upon the OWNER'S property
in Pasco County, Florida, ten (10) T-Hangars in accordance with the
contract documents (to be approved by the parties prior to the
commencement of construction) by reference made a part of this
agreement. The construction to be performed by CONTRACTOR includes
concrete slab on which prefabricated metal buildings (T-Hangars)
supplied by Fulfab, Inc. will be installed by CONTRACTOR including
all materials, labor, equipment, and services provided or to be
provided by CONTRACTOR to fulfill its contractor's obligation.
II. The contract documents include the following:
A. this agreement;
B. plans, elevations and drawings for the ten (10) T-
Hangars to be supplied by Fulfab, Inc. of Canton, Ohio, for its
LT42N Model;
C. Advertisement for Bid with all attachments and
requirements, city of Zephyrhills Municipal Airport, Bid File 11-
95-23, and Bid Form submitted by CONTRACTOR;
D. Zephyrhills Municipal Airport - Tee Hangar Project,
Specifications for 10 Unit Nested Tee - Hangar;

E. General Requirements,
Drywall/Steel Studs, Electric, and Metal
supplied by CONTRACTOR;
F. architectural drawings to be prepared by John White,
Architect, Brooksville, Florida, for design of the concrete slab on
which the T-Hangars will be erected;
G. site engineering plans and drawings to be supplied
by Civil-Tech, Inc. of Brooksville, Florida, engineer for the
project for the building footprint only. All other site
engineering is to be done by the OWNER.
III. CONSTRUCTION PRICE AND COST OF CONSTRUCTION FUNDS The
total price for the construction to be paid by the OWNER to the
CONTRACTOR is the sum of One Hundred Sixty-Eight Thousand six
Hundred and No/100 Dollars ($168,600.00) to be paid not later than
thirty (30) days after substantial completion of the work to be
performed by the CONTRACTOR and issuance of Certificate of
Occupancy.

V. Construction will commence when all required permits have
been obtained in order for the CONTRACTOR to proceed with the work.
VI. Obligations of the respective parties to obtain permits
necessary for commencement of construction are as follows:
A. CONTRACTOR is required to obtain the building permit
and authorization or permit from Southwest Florida Water Management
District necessary for the commencement of construction;
B. all other permits required in connection with the
work and commencement of the work shall be supplied by the OWNER.
C. CONTRACTOR will not be required to pay impact fees
or permitting fees to the City of Zephyrhills.
VII. WARRANTIES AND OBLIGATIONS OF THE CONTRACTOR The
warranties and obligations of the CONTRACTOR with reference to its
obligations under this agreement are as follows:
A. that the materials, equipment, and workmanship
furnished under the contract will be completed in accordance with
the contract documents and requirements of the project architect
and engineer;
B. that the costs of the work will be completely paid
for by CONTRACTOR prior to the time the OWNER is required to pay
the contract fee. Affidavit of full completion of construction and
payment of all costs of the work will be submitted by the
CONTRACTOR to the OWNER prior to payment of the contract price;

C.
the CONTRACTOR shall supervise and direct the work
using the CONTRACTOR'S best skill and attention. The CONTRACTOR
will be solely responsible for and have control over the
construction means, methods, techniques, sequences, and procedures
and for coordinating all portions of the work under the contract;
D. CONTRACTOR shall be responsible to the OWNER for
acts and omissions of the CONTRACTOR'S employees, subcontractors
and their agents and employees and other persons ,performing
portions of the work under a contract with the CONTRACTOR;
E. the CONTRACTOR shall keep the premises and
surrounding area free from accumulation of waste materials or
rubbish caused by its operations. At completion of the work, the
CONTRACTOR shall remove from and about the project waste material,
rubbish, the CONTRACTOR'S tools, construction equipment, machinery,
and surplus materials;
F. the OWNER shall have access to the work for
inspection by its agents and employees at reasonable times,
provided however that such inspections shall not interfere with the
orderly progress of the work;
G. the CONTRACTOR shall provide general liability
insurance,
automobile
liability
insurance,
and
workers'
compensation insurance as required and specified in the OWNER'S
"Insurance Requirements for Contractors" in the bid requirements;
H. the CONTRACTOR shall provide performance and payment
bonds in compliance with the OWNER'S Instructions to Builders which
are a part of the bid requirements in the full amount of the

contract price and in accordance with the requirements of Section
255.05 and/or 713.23, Florida statutes, as applicable. Approval of
the bonds and surety must be obtained from the OWNER.
VIII.
ACCESS TO CONSTRUCTION SITE
The OWNER shall provide
adequate access to the construction site for use by the CONTRACTOR,
its employees and agents necessary for performance of the work.
IX.
CHANGES IN THE WORK
Changes in the work must be in
writing, agreed to by the parties, and must state the amount of the
adjustment in the contract price, if any. If a change requires an
adjustment in the time for completion of the work, the extension
agreed to must be stated.
