as Trustees of the JO~~ R. HUFF AND BARBARA E. HUFF LIVING TRUST,
hereinafter called the "Lessor," and MICHAEL J. PICKERING, M.D.,
hereinafter called the "Lessee;"
WITNESSETH:
1. Property Term and Rent. The Lessor does hereby let,
lease and demise unto the Lessee the real property and premises
located in Pasco County, Florida, described as follows:
Lots 1 and 2, STADIUM PARK, as recorded in
Plat Book 19, Page 145, Public Records of
Pasco County, Florida;

for five (5) years beginning the 1st day of ~er, 1996, and
ending the 31st day of A~guat, 200l, fer a mo~thly rent?l SUID of
TWO THOUSAND DOLLARS ($2,000.00), payable monthly in advance
without demand, and with the first month's rent to be paid on or
before the ensealing of these presents. This lease shall not go
into effect unless Lessee is able to sell Lessee's building at
38058 Arbor Ridge Drive, Zephyrhills, Florida.
2. Damages. The Lessee at Lessee f s own expense must
repair any damage to the property which may occur by reason of
Lessee's negligence or the negligence of Lessee's invitees, clients
or guests.

The Lessee shall be responsible for all
repairs, maintenance and repairs of all
cooling, heating, plumbing and electrical systems, all roofs,
windows, gutters and down spouts and all other repairs to the
property of any kind or nature, including parking lot maintenance.
4. Alterations. The Lessee is specifically authorized
to make such changes to the premises as are reasonably necessary to
convert the use of the property to that of a medical dialysis
facility. Upon termination of the Lease all improvements are to be
left in place.
5. Insurance. Utilities. Taxes and Other Charges. Lessee
shall be responsible for all utilities supplied to the premises and
shall pay all taxes levied on the premises. The first and last
years' taxes shall be prorated based on legal possession. Lessee
shall pay for all necessary permits, licenses and occupational
taxes. Lessee shall provide full casualty insurance naming Lessor
as an insured for the full replacement value and shall provide
liability average with Lessee as an insured in an amount of at
least $250,000.00 per person and $500,000.00 per occurrence.
6. Subleasing and Assignment. The Lessee is authorized
to sublease or assign the premises for use as a medical dialysis
facility but may not sublease or assign for any other use without
written permission from Lessor. This Lease is contingent upon
Lessee negotiating a lease, sublease or assignment with CDC.

7. Hold Harmless. The Lessor shall be held harmless for
any injury to any person coming upon the premises as the licensee
or invitee of the Lessee.
8. Forfeiture. Should the Lessee relinquish possession
of and cease making rent payments on the premises prior to the
expiration of the term of the Lease, the Lessee shall forfeit all
claims to any refund of any monies paid.
9. Return of Premises. Upon the termination of this
Lease, the Lessee shall deliver up the premises in as good a
condition as when received except for normal wear and tear and
damages by fire or lightning or other natural cause excepted.
10. Option to Purchase. In consideration of the sum of
FIFTEEN THOUSAND DOLLARS ($15,000.00), which shall be paid on or
before the 1st day of September, 1996, the Lessor hereby grants to
the Lessee the exclusive option to purchase the premises for a
price of THREE HUNDRED THIRTY-FIVE THOUSAND DOLLARS ($335,000.00).
Such option shall expire at midnight, the 31st day of August, 1999,
if not previously exercised by Lessee. If the option is not
exercised, no part of the FIFTEEN THOUSAND DOLLARS ($15,000.00)
option price shall be refunded. If the option is exercised, the
Lessor shall convey by Warranty Deed and shall pay for all state
documentary stamps to be affixed to the deed. This property shall
be closed on or before the 30th day of September, 1999, unless
title should proye to be unmerchantable, in which event Lessor
shall have sixty (60) days after notification to cure and the sale
shall be closed within ten (10) days of notice of curing having
been given to Lessee. The Lessor shall provide the Lessee with a

policy of title insurance showing no material adverse exceptions.
Lessee shall receive a credit toward the purchase price of the full
FIFTEEN THOUSAND DOLLARS ($15,000.00) option money. The Lessor
agrees to pay equally to ANTHONY & ASSOCIATES, INC., and LEWIS
ABRAHAM REALTOR a total commission of ten percent (10.0%) of the
sales price for their services. SEVEN THOUSAND FIVE HUNDRED DOLLARS
($7,500.00) of the option money shall be paid equally to the
Realtors when received as part of their total commission, or, if a
purchase does not take place, shall constitute the full commission
payable to them. The balance of the commission shall be paid at
closing. Lessee shall pay the purchase price in cash at the
closing. The obligation to pay rent shall terminate at closing.
11. Payment of Rent. All rents are payable to Lessor at
such place as Lessor shall from time to time designate in writing
to Lessee.
12 . Eviction Process. It is expressly understood and
agreed, by and between the Lessor and Lessee that if the rent or
any part thereof shall be in arrears for thirty (30) days or more,
or if the Lessee defaults in any of the covenants or agreements
herein contained, the Lessor at his option may declare the said
tenancy granted hereunder ended and enter into the said premises,
either with or without process of law, to expel, remove and put out
Lessee using such force as may be necessary in so doing, without
being liable to prosecution or damages.
13. Attorney Fees. It is agreed that in the event that
it is necessary for the Lessor to employ an attorney for the
collection of any delinquent rentals or for either party to employ

an attorney to enforce any obligation created hereunder that the
court may award a reasonable attorney's fee to the prevailing party
to be taxed as part of the costs of such suit.
IN WITNESS WHEREOF, the parties to this Lease have set
