Scope: Cornerstone Tree Farm shall furnish all materials, tools, equipment and labor necessary to execute the installation shown on the applicable drawing (s) by Avid Group labeled Zephyr Commons Landscape and Irrigation t� dated 5/21/2008 detailed on the accompanying material list labeled Zephyr Commons Bid Sheet. Irrigation modifications may be necessary due the existing locations of the wells and sleeves as per verbal agreements with project manager. These irrigation modifications are included in the scope of work of this contract. It is understood by Cornerstone Tree Farm, Inc. and Primerica Group One, Inc.that changes or substitutions in the landscape may occur at Primerica's Group One. Inc.'s approval;at such a time,unit prices will prevail. 2. Time of Completion: Cornerstone Tree Farm shall complete the installation of the scope of work of Phase One (area around Publix) forty-five (45) days from the commencement of work, contingent upon grade availability. 3. Workmanship: All operations shall be completed in a substantial and workmanlike manner. Drawings and details are to serve as a guide and shall be followed as close as practical but minor on site adjustments may be made. 4. Revision: This proposal is subject to revision after 30 days as the availability of many materials is not constant. This proposal is based on the current price of labor and materials and can be adjusted for any unanticipated increases in same. 5. Concealed Contingencies: This proposal is subject to extra charge for concealed contingencies such as rock,debris,poor drainage situations,etc., not readily apparent in estimating the material and work specified. 6. Soil Conditions: Cornerstone Tree Farm's contract is based on all grades being within one tenth of one foot of finish grade.Plant material to be installed in plant ready soil provided by purchaser. 7. Guarantee: All plants shall be guaranteed to be in a satisfactory growing condition and to live for a period of 365 days from planting except plants receiving mechanical damage,plants damaged by acts of God, plants subjected to extreme weather conditions not typical of the area, or for annuals. All seeding and sodding areas shall be guaranteed to show satisfactory growth with no bare spots larger than one square foot for a period of 60 days from seeding or sodding. Major erosion or washouts are not the responsibility of Cornerstone Tree Farm. The irrigation system shall be guaranteed to be free from material defect and craftsmanship for a period of 365 days from installation date except systems or portions of systems receiving mechanical damage or damage from acts of God. If landscape and irrigation maintenance is contracted by Cornerstone Tree Farm, Inc., the warranty period will be extended throughout the life of the maintenance contract with Cornerstone Tree Farm, Inc. 8. Replacements: All plants that fail to survive under the guarantee shall be replaced once at the end of the guarantee period with the same type and size as originally specified. Maintenance: Cornerstone Tree Farm shall begin maintenance immediately after each plant is planted and shall continue until the installation of any one area is complete. Cornerstone Tree Farm shall give sod areas their initial application of water. Owner shall begin maintenance of plants and/or turf immediately after the installation is completed in an area. It is the owner's responsibility to water, to weed, to provide insect and disease treatment, fertilization, mulching, and pruning as necessary for the continuous vigor of the plant or turf. Failure to provide adequate maintenance by owner shall void guarantee and replacements. 10. Materials: Cornerstone Tree farm shall supply all materials as specified but shall have to right to substitute materials of equal of greater value when necessary. 11. Unavoidable Interruptions: Cornerstone Tree Farm shall not be held responsible or liable for any loss, damage, or delay caused by weather conditions, strikes, vandalism or lack of adequate time or by any other cause beyond the contractor control. 12. Property Lines: Owner shall be responsible for the location of all property lines and corners. l3. Damage: Owner shall locate and Cornerstone Tree Farm will not assume responsibility for damage done to any type of underground object, including gas and water lines,electric and telephone wires or conduit or to sidewalks or drives or other objects unless designated prior to the beginning of work on appropriate drawings. Theft of plants or materials after they are placed on site will be the owner's responsibility. 14. Permits: All zoning, building, and construction permits necessary shall be obtained and paid for by the owner. 15. Sod Field Measurements: Sod will be field measured to determine square footage for billing. I (we) hereby acknowledge receipt of the Supplemental Conditions of Contract, Summary Sheet, and applicable drawings.
