Chapter 633, Florida Statutes,authorizes the City to charge and collect user fees to pay for the costs of fire
prevention and protection related activities such as inspections, plan review,administrative fees,and other
wsts related to the aforementioned.
Complete Plans, Specifications and Fee Must Accompany Application. Commencement of work without written approval of
the Fire Department's Fire Marshal or required permits or opening up for commercial activity without an approved final
inspection shall be charged double permit fee per day of operation or a minimum of$100.00, whichever is greater. All
work shall be performed in accordance with City Codes and Ordinances.

UNLICENSED CONTRACTORS AND CONTRACTOR RESPONSIBILITIES. If the owner has hired a contractor or
contractors to undertake work, they may be required to be licensed in accordance with state and local regulations If the
contractor is not licensed as required by law, both the owner and contractor may be cited for a misdemeanor violation
under state law If the owner or intended contractor are uncertain as to what licensing requirements may apply for the
intended work, they are advised to contact the Pasco County Building Inspection Division—Licensing Section at 727-847-

TRANSPORTATION IMPACT/UTILITIES IMPACT AND RESOURCE RECOVERY FEES The undersigned understands
that Transportation Impact Fees and Recourse Recovery Fees may apply to the construction of new buildings, change of
use in existing buildings, or expansion of existing buildings, as specified in Pasco County Ordinance number 89-07 and
90-07, as amended The undersigned also understands, that such fees, as may be due, will be identified at the time of
permitting It is further understood that Transportation Impact Fees and Resource Recovery Fees must be paid prior to
receiving a "certificate of occupancy" or final power release If the project does not involve a certificate of occupancy or
final power release, the fees must be paid prior to permit issuance Furthermore, if Pasco County Water/Sewer Impact
fees are due, they must be paid prior to permit issuance in accordance with applicable Pasco County ordinances.
CONSTRUCTION LIEN LAW(Chapter 713, Florida Statutes, as amended) If valuation of work is $2,500 00 or more, I
certify that I, the applicant, have been provided with a copy of the "Florida Construction Lien Law—Homeowner's
Protection Guide" prepared by the Florida Department of Agriculture and Consumer Affairs If the applicant is someone
other than the"owner", I certify that I have obtained a copy of the above described document and promise in good faith to
deliver it to the"owner" prior to commencement.
CONTRACTOR'S/OWNER'S AFFIDAVIT I certify that all the information in this application is accurate and that all work
will be done in compliance with all applicable laws regulating construction, zoning and land development. Application is
hereby made to obtain a permit to do work and installation as indicated. I certify that no work or installation has
commenced prior to issuance of a permit and that all work will be performed to meet standards of all laws regulating
construction, County and City codes, zoning regulations, and land development regulations in the jurisdiction I also
certify that I understand that the regulations of other government agencies may apply to the intended work, and that it is
my responsibility to identify what actions I must take to be in compliance Such agencies include but are not limited to

I understand that the following restrictions apply to the use of fill:
- Use of fill is not allowed in Flood Zone"V" unless expressly permitted.
- If the fill material is to be used in Flood Zone "A", it is understood that a drainage plan addressing a
"compensating volume" will be submitted at time of permitting which is prepared by a professional engineer
licensed by the State of Florida.
- If the fill material is to be used in Flood Zone "A" in connection with a permitted building using stem wall
construction, I certify that fill will be used only to fill the area within the stem wall.
- If fill material is to be used in any area, I certify that use of such fill will not adversely affect adjacent
properties If use of fill is found to adversely affect adjacent properties, the owner may be cited for violating
the conditions of the building permit issued under the attached permit application, for lots less than one (1)
acre which are elevated by fill, an engineered drainage plan is required
If I am the AGENT FOR THE OWNER, I promise in good faith to inform the owner of the permitting conditions set forth in
this affidavit prior to commencing construction I understand that a separate permit may be required for electrical work,
plumbing, signs, wells, pools, air conditioning, gas, or other installations not specifically included in the application. A
permit issued shall be construed to be a license to proceed with the work and not as authority to violate, cancel, alter, or
set aside any provisions of the technical codes, nor shall issuance of a permit prevent the Building Official from thereafter
requiring a correction of errors in plans, construction or violations of any codes. Every permit issued shall become invalid
unless the work authorized by such permit is commenced within six months of permit issuance, or if work authorized by
the permit is suspended or abandoned for a period of six(6) months after the time the work is commenced. An extension
may be requested, in writing, from the Building Official for a period not to exceed ninety (90) days and will demonstrate
justifiable cause for the extension If work ceases for ninety(90)consecutive days, the job is considered abandoned

This agreement made this ZO May 2013 by and between Cox Fire PrQtection.Inc.of 7910 Prnfessional
Place - -Tamoa.FL 33637 {hereinafter called "Subc;ontractor"), and Wallace Associfltes,L.L.C.,of St.
Petersburg,Floridu(heremafter called"Contrt�ctor").
WITNESSETH:
For and in considerAtion of payment to Sttbcontracror of the amount hereinafter described�nd the mutual
promises contained herein,Subcontractar and Contractor hereby agree as follows:
!(a). Tlee Work. Subc:ontractor shall provide and furnisli all labor, materiAls, touls, supplies,
equipment, services, facilities (including scaffolding And hoisting facilities unless specifically excluded
herein), Supervision, administration, etc. necessary for the proper and complete performance und
acceptance of the following:

Eiland LLC Joe Delatorre. Mana¢ine Partner(hereinafter called "Owner") according to the plans and
specifications(collectively,the"Specificntions")prepnred by Oliverl Architects-3Z707 U Hiehwav 19
N. - - Palm Harbor. FL 34684 (the "Architect" or the "Engmeer",as applicable), and the terms and
conditions of this Subcontract and the Prime ContracL This Subcontract includes, but is not limited ro, (�)
all amendments to this Subcontract entered pursuant to the provisians hereof; (ii) this Subc;ontract
document itself(including all Exhibits hereto),(iii)all addenda,(iv)Change orders issued pursuant hereto,
{v) the Specifications, as well as(vi) any and �Il other ducuments listed or referred to in this Subcontract.
This SubcontrACt, And All procedures �nd provisions hereof, shall govern all dealings and transacti�ns
between the parties arising in any way from the Project, irx;luding, but not lintited to, any extra work by
Subcontractor related to the Praject.(See Section 5).
1(b). Prinre Co,rtract, Subcontractor hereby acknowledges that on Mav 9.2013, Contractor and
Owner entered into thflt certAin general construction contract (the "Prime Contrnct") whereby tlie
Contractor is required to furnish certain IAbor And materials and perform various construction activities in
accordance with the Prime ContracL The Prime ContrACt is incorporated herein by reference und made an
mtegral part of this Subcontract. The Prime Contract includes,but is not limited to,the agreement between
Contractor and Owner{including s�ll general and special terms and conditions),all addenda,modi�cations,
revisions, drawings, specifications,details, as well as any and All other documents listed or referred to in
the Prime Contract. Subcontractor is obligated and liable to Contractor to the full extent that Contractor is
obligated and liable uncler the Prime Contrlct to Owner for the Work. The Prime Contract And this
Subcontract shall be read And interpreted together. However, in cas� of any conflict or inconsistenc;y
between the Prime Contract and this Subcontract, this Subcontract shal{ govern the relationship between
Contractor and Subcontractor. Subcontractor represents and acknowledges that all documents comprising
the Prime Contrflct have been made avuilable to Subcontractor for its inspection and review, and
Subcontrnctor has satisfied itself as to the contents thereof. Subcontractor further represents that it h1s
previously notified Contractor in writing of any and all ambiguities, inconsistencies, and omissions within
the Prime Contract documents themselves, And any and all inconsistencies between such documents and

this Subcontract. Subcontractor shali not be entitled to any increase in the Subcontract Price,adjustmenl of
the Schedule, or any other consideration as 1 resull of any such ambiguity, inconsistency, or omission,
unfess Subcontract�r has notified Contractor of the same in writing,prior to the dute first appearing on this
Subcontract.
1(c). Site Coirditions a��d Existing Work. Subcontractor represents that prior to execution of this
Subcontract it has inspected the Project site and that there are no conditions thot prevent or hinder the
performance of the Work by Subcontractor. In addition,Subcontractor,before proceeding with any of the
Work,shA11 Accurately check and verify all existing work done by Contractor or others that may in any way
be related to the Work (including, but not limited to, field measuring all existing work) to determine
whether uny nonconformities or discrepancies in said existing work wil{or may adversely affect the Work.
Upon the failure ot' Sube:ontractor to sa check and verify nll such existing work, or upon the failure of
Subcontractor to detect and disclose any discrepancies or nonconformiiies in said existing work, or upon
the failure of Subcontractor to report the same to Contractor,in writing,before commencing any part of the
Work, Contractor shal! be relieved of nny and All responsibility for the same, ttnd Subcontractor shall be
Iit�Ule for all resulting damages, costs And expenses arising as a result of Any discrepancies and
nonconformities which were or should have been discovered by Subcontructor,
1{c!). Sr�b»ritlals. The approval by Contractor,Owner,Architect or Engineer of any submittals of
Subcontractor (including but without limitation,shop drawings) shall not relieve Subcontractor of liability
for any deviations from the requirements of this Subcontract or the Prime Contract, unless any such
deviation(s) is specified as such and the deviation is described in full by Subcontractor in such submittal
and is expressly approved by the Cantractor in writing. 'The stamping of any submittals"Approved" or the
like shali not t�lone suftice to approve any devintion.
2(ci). Price. Contractor agrees to pay Subcontructor for the performance of the Work the sum of
Thirtv-t�vo thousand eieht hundred fiftv-four and 00/100 Dollars (532.854 00 F S.S T Incld) (the
"Subcontract price"), subject to increase or decrease onfy us expressly provided in this Subcontract. If
the Prime Contract cnlls far payment to Contractor in installments, the Subcontract price shail also be
puyable in installments, ns perforrnance progtesses, sAid progress payments to be based upon periodic
estimates of the perccntage of the Work performed prior to the date of the esdmate. Estimates are to Ue
prepared by Subcontractor, submitted to Contractor's Project Manager by the 20th day of each month,and
may be approved or disapproved by Contractor. All estimates,whether periodic or final,must be approved
by the Job Superintendent prior to submission to Contractor's Project Manager. Subcontractor:s estimutes,
if approved by the Owner, shall be 9ncorporatecf in Contractor's estimate to the Owner. All estimates are
subject to audit, and if Contractor in its sole discretion has nny doubt concerning the accuracy thereof,
payment therefore may be withheld. Contractor's withholding of monies from Subcontractor shall be
interest free Contructor shall make pnyment to Subcontractor on any progress payment nut more than ten
(10) days after receipt by Contractor of pAyment from Owner for thAt portion of the Work covered by the
progress payment. The acceptance of any progress payment by Subcontractor shall constitute a release of
Contractor from uny and all other liability, except retain�ge, due to any reason, arising or incurred during
the payment period.
2(a)I. Pay»:ents to sr�bco�rtractor, As a condition to the abligation of Contracror to make any
periodic or final payment hereunder, SubconU•actor shall furnish their fully executed Subcontract
Agreement, including, but not limited to, all related Exhibits,AttAChments,and required documents,and a
current Certificate of lnsurance, in accordance with Section II(a) of this Agreement. Receipt of all
executed documents is an absolute prerequisite to Subcontractor receiving the first and any subsequent
payments for work perfvrmed under this subcontract.
2(b). Retaiirage and Witlthotdi►rg. Contractor shall retain 7'en percent( 10 'Yo) of each
progress payment until final pnyment is due As provided herein. In addition to such retainage, Contractor
may withhold part or al{ of any progress or finAl puyment to the extent of any of the following: (i) Any
failure by Subcontractor to prove through suitable evidence that each of its subcontractors,suppliers, and
laborers has been paid in full for all labor, services, materials, and supplies used iit, or furmshed for.
performance of the Work through the date of the upplicable estimate;{]�) Any reduction uf payment by
Owner to Conn�actor for reasons attributable to the Work; (iii) Any work unacceptable to the Contractor,
Owner, Architect, or Engineer; (iv) Any third party claims agAinst Contractor arising from the Work or

evidence reasonably indicating ihe probable filing of such claims;(v)Any failure�by Subcontractor to make
payments to its subcontractors,suppliers,or laborers for the work;(vi}Any failure to carry out the Work in
accordance with the Subcontract; (vii)There is substantial evidence reasonably estabiishing thAt the Work
is not progressing in a�cordance with, or will not be completed within,the 3chedule; or(viii) Failure by
Subcontrt�ctor to furnish certificates of insurance in compliance with Section I 1(d)or bonds in compliance
w�th Section 20. Without limitation of the foregoing, in no event shall Subcontractvr be entitled to receive
any form of payment unless and until Contractor has received payment thercfore from Owner.
2(c•). Accepta�ice of the Work. Neither any certi�cate given nor any payment made under this
Subcontract shall be considered ucceptance of the Work, either in whole or in pArt. Subcontractor shnll
remain responsible and liable for its performance I�ing ia strict compfiance with this Subcontract and the
Primc Contract.
2(d). Final Bitting a�rd Final Paynte�:t. Final billing from Subcontractor, including bdling for
any Change Orders, must be submitted to Contractor not later than thirty(30)days after completion of the
Work. Failure to submit snid billing within such time shall be an absolute waiver of any right of
Subcontractor to cluim any further payment from Contractor. Final payment shall become payable ten(10)
days after the occurrence of all of the following:�(i) final completion of the Project; (ii) final written
acceptance thercof by Owner;and(iii)receipt of full payment therefore by Contractor. Acceptance of final
payment by Subcontractor constitutes�General Release of ContrACtor,Owner and Contractor's surety.
2(e). P�ynre�rts by Sr�bcontractor. Subconlractor shAll pay all bills, invoices, charges and the
likc,for all labor,services,equipment,and materials acquired or used by Subcontractor for performance of
the Work, at the time that payment thereon is due. Failure by Subcontractor to do so shall constitute a
material breach of this Subcontr�ct and an event of det'ault.
3{�). Appeals Contractor may, upon the written request of Subcontractor, appeal on behalf of
Subcontractor from any ruling or decision by Owner,the Architect or the Engineer,or institute any flction
ur proceeding to recover damages by reason of any Affirmative claim by Subcontractor or by reason of�ny
deduction or refusal to pay by Owner, for any reason, involving the Work or the performance of
Subcontractor. In that event, Subcontractor shall pay all costs attributable thereto and shall render all
assistance requested by Contractor. Subcontractor shall be bound by the determination of Owner, the
Architect or Engineer or, in the event of An appeal or further action or proceeding, by the determmation of
the same,and shall be entided only to its pmportionAte share of any actual nel recovery, less overhead and
profit to Contractor and less Contcttctor's expenses and attorney's fees in handling said matter,
Subcontractor hereby waives And releases any and atl claims, causes of action, and rights to further
payment beyond the Subcontract price,except as Contractor may receive funds or extensions of time from
the Owner relating to the Subcontractor's Work or performa�ce.
3(b). No Delay Becarse of CJai►n. Subcontractor sha11 not delay or stop Work because of the
pendency or denial of any claim or becnuse of the continuance of any conditions out of which such claim is
alleged to have arisen. Ruther, Subcontractor shall pre�ceed diligently in the performance nf this
Subcontract until this Subcontract has been fully performed.
3(c). Claims. Any elaitn of Subcontra�ror for additional compensation, time, or other
consideration arising out oF or relt►ting ro the Subcontract or the Work to be performed hereunder shall be
waived unless such claim is set forth in detail in a written notice to ContrACtor,and delivered to Contractor
as soon as reasonable in the circumstances, but in any event no later than ten(IU)calendar days�tter the
accurrence of any condition out of which such ciaim allegedly arises.
4(u). Timely Progress of the Work Subcontractor recognizes �nd assumes Contractor's
oblig,�tion to Owner for timely progress upon, and completion af, the Work and each pt►rt thereof, and
agrees thnt time is of the essence in the performnnce of the Work. At all times prior to and during
performance of the Work,Subcontractor shall become and remAin knowledgeable about lhe progress of the
Project, and shall make any and all arrangements and adjustments nec�essary to caordinate it5 Work with,
and not impede, that of Contractor And others. Subcontractor agrees to perform the Work in �ccordance
w�th Contr�ctor's schedule for the Project (hereinafter "Schedule"). Subcontractor acknowledges that he
has sa[isfied himself as to the contents af the Schedule prior to execution of this Subcontract.

Subcontractor recognizes and agrees that as the Project progresses,the Schedule,(including both duration
1nd sequences of activities shown thereon), may be amended by Contractor to reflect instructions from the
Owner, changes in the Pro,{ec:t,changes in construction means or methods,and unanticipated occurrences
affecting progress of the Project. Subcontractor agrees to comply with each and all such amendments to
the Schedule, and to perform the Work in strict accordance wi[h such amendments. At Contractor:s
request, and at the times specified in any such request, Subcontractor shall submit to Contractor det�iled
progress, procurement, performance, mAnpower, and completion schedules, satisfactory to Contractor.
Subcontractor shaU promptly increase its work force, work overtime, work SaturdAys, Sundays and
holidAys,al1 without additional compensation,if,in the opinioo of Contractor,such measures are necessary
to maintAin proper progress of the Work in accordance with the Schedule. Except as expressiy provided in
Sections 4(b) and 5 below, Subcontractor waives and discl�ims any remedy against Contractor for any
dam�ges or costs arising from delays, accelerations, interferences, suspensions, or changes in the
performance, duration or sequence of Subcontr�ctor's Work. Without limitation of the foregoing, no
premium time wi11 be paid except pursuant to written authorization by Contractor specifying thAt premium
time will be paid,and the amount that will be paid.
4{G). Delays of tJie Work. If Subcontractor is delayed in the commencement, performance, or
comple[ion of the Work by: Cht�nge Ordets issued by Contractor in accordance with Section 5 below;
exrraordinAry weather conditions thut are uncharacteristic for the locnle of the Work and that could not
h�ve been anticipated; unusual and unanticipated delays in transportation; or unavoidable casualty loss to,
or destrt�ction of,the Work,then the Schedule described in 4(a)above may be adjusted by Contractor based
on the reasonablc amount of time lost as a result of such occurrence. Otherwise,Subcontractor assumes all
risks of strict compliance with the Schedule. The adjustment of the Schedule provided for herein shall be
Subc:ontractor's sole remedy for any and All interferences,suspensions,and delays. No such adjustment in
the Schedule shall be mude unless written notice containing A request therefore is given to Contractor
within forty-eight (48) hours after commencement of the occuirenc;e that causes such delay, regardless of
whether or not Contractor has actual notice of the delay,and provided always thttt a similar extension of
time has been apotted to CantrACtor by Owner. Contrs�ctor shall have no dury,obligation, or liability to
Subcontractor as a result of any delay, interference,suspension,or other event,except to seek an extension
of time From the Owner as provided herein.
4(c). Liqr�idated Danrages, Subcontractor represents that it has satisfied itself as to the extent and
amount of any provision in the Prime Contruct imposing liquidated damages upon Contractor, And
ackrx�wtedges thAt in the event Subcuntractor fnils to eomply with the Seheciule, and liquidated damAges
are imposed by Owner on Contractor, such liquidated damages will constitute one element of the damt�ges
that Contractor shuU be entitled to recover f'rom Subcontractor.
S(n}. Cl:a�iges in tlie Work. Contractor may at any time, without notice to any surety, direct
ch�nges,additions,and/or deletions in or to Subcontractor's Work,or direct extra work(all of the foregoing
being referred to herein as"Change(s)"). The Subcontract Price and Schedule shal{be adjusted on account
of Changes only as pt•ovided in 5(b)-(d}below. Otherwise, Subcontraclar shall receive no time extension
or additional compensation on account of Changes.
S(b). Change Orders. No Change shall result in An adjustment in the Subcontract Price or
Schedule unless expressly directed by a Change Order made in strict compliance with this Section 5(b),
prior to Stibcontractor's commencement of performunce of the Change. A Change Order is: (i) a written
order by Contractor, expressly designated as a Change Order, directing a Change in the Work, or (ii) an
oral or written order (defined to include authorizations, directions, interpretations, or determination) by
Contructor directing a Change in the Work, if,and only if, Subcontractor gives Contraetor written notice
within three(3)calendar days after first receiving s�ich o►•der,stating the date,circumstances,and source of
the order, and expressly stating that Subcontractor regards such order as requiring a Change in the Work.
Provided,however, that such iiotice by Subcontractor shAll not result in a Change Order if the Contractor's
order does not, in fact, require a Change in the Worfc. Na other order by Contr�ctor shall constitute �
Change Order, and Subcontracror shall be entided to no compensation or adjustment in the Schedule on
account of any other order,whether or not it results in a Change

of thc Work, lAbor. services, materials added, omitted, or changed by a proposed Change Order. If no
agreement As to a monetary allowance related to a Change Order is reached, Cuntractor may direct
Subcontractor to perform the Change Order,and the Subcontract Price shall be adjusted in Accordance with
the Printe Contract provisioo regarding Subc:ontractor Change Ordcrs,or, if no such provisian is included
in the Prime Contract, then as foUows: The Subcontract Price shall be adjusted by the net increase or
decrease in SubcontrACtor's costs directly resulting from the Change Order,plus the following adjustments
for combined overhead and profit: (1} 1596 for work to be performed by Subcontractor's own forces:
(2) 10% for such portion(s) of the Change Order as is to be performed by subcontractors of
Subc;ontractor; and (3) 1S°yo for Change Orders requiring primarily an addition, deletion, or
substitution of equipment or materiuls, and requiring substantially no labor, As used herein, the term
"costs" shull include only the following: (i)cost of materials, including sales tax and cost of delivery, but
less any applicable trade discnunt; (ii) wages paid for labor (excluding supervisory and manugement
personnel), and all taxes, assessments und insurance that Subcantractor is required by statute to pay based
on such wages; (iii) rentnl cost for eyuipment and machinery, provided that such cost is speciFically,
directly, and solely attributable to the ChAnge Order:and (iv)amounts payable by Subcontractor pursuant
to subcontracts for Work that is the sub}ect of the Change Order. No subcontract of Subcantractor for
Work required by a Change Order shall allow a sub-subcontractor combined overhead and profit in an
amount greAter than provided for in the Prime Contract, or, in absence of such provision, gretiter than
Twenry percent (20%)for combined protit uod overhead above said sub-subcontractvr's costs. No part of
Subcontractor's general or jobsite overhead shull be included in the costs of a Change Order. Subcontractor
shall maintain, and shall require its sub-subcontracrors to maintain, detailed And itemized accounting
records for all vspects of the costs of any Change Order, along wiih All supporting records, data, and
documentation, e.g., invoices, checks And payrolls. All such records, data, and documentatio�i shall be
subjec;t to �udit by Contractor and Owner. Subcontractor shall be reimbursed for the costs of a Change
Order only to the extent sueh costs are fully supported by s�id records, dAtfl and documentatian.
NotwithstAnding any of the foregoing, Subcontractor shall in no event receive 1ny compensAtion or
allowance for�ny Change Order i�i an amount greater thAn that which Contracror actually receives from
Owner As a result thereof, reduced by a reasonable amount for Work performed by Contractor, and
Contractor's overhead and profit, unless such Change Order does not arise from an order by Owner or
Architect to Contractor.
5(d). Ar{just�ne�r�s i�� the Scleedrde. Any adjustment in the Schedule needed due to A Change
Order shall be requested in a written notice by SubcontrACtor to Cantractor within seven (7)calendar days
nfter receipt of the Change Order. Such request shall state the specitic number of days of the requested
adjustment. Subcontractor a�-ees that its failure to give such notice within the time required hereunder
shall relinquish and waive any right of Subcontractor to an adjustment in the Schedule on acco�nt of a
Change Order. Regardless of the adjustment requested by Subcontractor, the Schedule shall be adjusted
only to the extent Subcontractor's Work is necessarily and Actu�lly delayed by the Change Order, and,
excepting only Change Orders not arising from orders of Owner or Architect to Contractor,no adjustment
in the Schedule shall be made unless a simi{ar extension of time has been Allotted by Owner to Contractor.
6(a). Waiver of Lie�es and Claims. As A condition to the obligAtion of Contracror to make any
periodic or final payment hereunder, Subcontractor shall furnish, And shall require eACh and all of its
Subcontractors and Materialmen to furnish,refeases nnd waivers of all types of inechanics'and contrnctor's
liens,and of all clAims,whether statutory ar otherwise,against any bond on which ContrACtor is an obligor
Et�ch such w�iver And release by SubcontrACtor shall extend to the full extent of all payments mt�de by
Contracror to Subcontractor, and the Final Release and Waiver of Lien shall waive and finally release al!

Subconaactor And uny of its vendors or subcontracrors. Contractor also reserves the right at any time
during the progress of the Work to pay amounts due to Subcontractor by issuing checks pAyuble jointly to
5ubcontractor and any of its vendors or subc:ontractors. Any such payment shall be deemed a payment to
Subcontractor under this Subcontract. Subcontructor agrees that Contractor hAS no obiigation to issue such
joint checks, and that Subcontractor's inAbility to obtain necessary materials and/or services without
issuance of such joint checks by Contractor sh�{t constitute an event of default.
7. Warraitty of Work a�rd Muterials. Without in any way limiting any section or provision of this
Subcontract, Subcontractor hereby warrants and guarantees the Work to Contractor under the same terms
and for at least the sume period of time as Contractor has warranted its Work to Owner under the Prime
Contract,�nd S�ibcontractor hereby agrees to perform all warranty obligations and other responsibilities of
Contractar insofar as they relate to the Work. Subwntractor, in addition to a11 other guarantees and
warranties contained in this Subcontract and the Prime Contract,and not in limitation of Contractor's other
legal rights, warrants and guarantees that the Work will be performed in strict and absolute Accordance with
the terms of this Subcontruct,in�►good and workmanlike manner,und in conformity with the best practices
of the constructiun industry. Subcuntractor further warrants and guarantees that the Work and ali materials
furnished and used in the Work will be free of defects for the spec:ified period of years after Final
AcceptAnce of the Project by the Owner. Subcontractor shull, for a minimum of one year after the date of
Final Acceptance,perform any corrective work,without cost,as directed by Contractor or as set forth in the
Specifications for the Project.
All Work and materials shall be subject to approval and Acceptance by the Owner. If any of the
Subcontractor's Work or materials is determined to be defective or otherwise constitute u breach of any of
Subcontractor's warrnnties, or be unACceptable for any other reason, Subcontractor, at its own expense,
shall prompNy tear out,correct,or replace,as directed by Contructor,any such Work or materials and shall
repair or replace any other Work, materials or property damnged, destroyed or required to be redonc ns A
result of the required correction or replacement. If Subcontractor refuses or fails to prompt{y make the
corrections, replacements or repairs contemplatecl herein, it is a�reed that Contractor mny hnve such Work
done at the expense of SubcantrACtor. IVothing in this Section 7 sha{I relieve Subcontractor in any way
from it duties nnd obligations as set forth in this Subcontract and Prime Contruct, nor shall any provision
herein be considered a waiver of�ny rights Contractor has or may have against Subcontractor for its failure
to perform according to the terms of this Subcontract and the Prime Contract.
8. Tirxes Subc;ontractor has included in the Subcontract price,accepts exclusive liabili[y for and
agrees to indemnify and hold harmless the Contractor from any liability with respect to:
(a) AU taxes and/or contributions imposed upon or measured by the earnings of
Subcontractor's employees,or any employees of any subcontractor or supplier of
Subcontractor,pursuant to any Federal,Stute or local stntutes,laws,rules or regulations,
including but not limited to,any income tax and social security statutes and regulations
and any unemployment compensation sEatues or similar statutes;
(b) All applicable sales, use or excise tnxes that mny be assessed against materiuls,supplies,
equipment or labor useci or furnished in the performunce of this Subcontract;
(c) All gross receipts or similar taxes measured by the value of this Subcontract;and
(d) All person�l prope�ry or ad valorem taxes on the Subcontractor's tools, equipment or
other property used in the performance of this Subcontract.
9. Conipliai:ce wit/i Laws. Subcontractor agrees(i) to cornpfy with all applicable Federal,State
t►nd local statutes,laws,ordinances,rules and regulations,(ii)to procure at its expense All building or other
permits or licenses required in connection with the Work and (iii) to indemnify and hold Contractor
hArmless from any losses,dantages or expenses nrising out of Subcontractor's failure to comply with any of
the provisions of this Section 9.

10(b). Noii-Segregated Faciltties. Subcontractor further agrees(i)to be bound by and to comply
wilh Exhibit B ("Equal Opportunity Compliance")attached to this Subcontract,and (ii)to execute Exhibit
C ("Certification of Non-segregated Facilities") �ttAChed hereto and return it to Contractor. No estimates
will be processed under this Subcontract und no payments made until Exhibit C has been dully executed by
Subcontr�ctar and received by Contractor. Subc;ontractor shall have Agent furnish proof of workers'
compensation insurance as required by State law. In the event Subcontractor leases employees,
Subcontrucror shall c�use its leasing agent to furnish Contracror wi[h a name list of covered emp{oyees and
shall furnish updates with any changes in the list.
11(cr). Insr�rance. In addition to any insurance Subcnntractor deems in its intcrest to purchase

own expense: (i} all insurance required by any applicable Feder�l, Sta�e or local s�atutes, laws, rules or
regulations; (ii) all insurance required for SubcontrACtors by the Prime Contract; and (iii) the following
forms of insurance coverage at least in the amounts specified. SubcontrACtor agrees to take all actions
necessury ro have Contractor designated an addihonal insured, including completed operntions, under All
insurance policies of Subc;ontractor acquired or m�intAir�ed to fulfill the requirements for instir�nce

11(b). Builcler's Risk l�rsr�rarice. Cuntractor or Owner will provide Builder's Risk coverage.
Such coverage shall be on whut is commonly known as un "Afl Risks" basis. It shall be Subcontractor's
responsibility to satisfy himself as to the terms, scope,exclusions, and deductibles of such insurance, and
Subcontr�ctor shall be respansible for, and bear the risk of, any and all non-c�verage, exclusions, and
deductibles of such insurance.

Indemnity to the same extent as if such claim were made by a non-employee of Subcontractor, irrespective
of any statute or judicial decision otherwise disnllowing such indemnity. Accardingly, in rzddition to the
above provisions and in order to render the pArties'intent and this indemnity agreement fully enforceable,
Subcontractoi•, in a claim hereunder by Contractor or any of its officers, agents, directors, employees or
assigns, hereby waives any and all defenses or immunity Subcontr�ctor may have under the Workmen's
Compensation Laws of�ny state,or any statute or judici�f decision pertaining thereto, and Subcontractor
consents to a csuse of action for indemnity hereunder.
16(b). Damage to Work. Subcontractor shall effectively secure and protect its materials and the
Work and any Work of Contractor or othe►:s in the vicinity of the Work and shall bear and be liable for all
loss or damage of any kind with respect to A�iy of the foregoing thlt results in whole vr in part,or direcNy
or indirectly, from any act or omission of Subeontrflctor, its subcontrACtors,agents or employees during the
performance of the Work.
l6fc•1. Damage Caused by Third Person. It is hereby Agreed that Contractor shall not be
responsible for damage to or destruction of any of Subc;ontractor's equipment or materials as a result,
whether direct or indirect,of the act,or failure to act,of another of Co�itractor's subcontractors or any third
person and that in the event of such �tn occurrence,Sube:ontractor's exclusive remedy shall be flgainst the
Subcontractor or third person responsible.
17. Slowdow�t or Work Stoppage. Subcontractor warrants that it will employ workers and means
in such a manner th�t [he Work will be prosecuted efficiently and in a timely manner and that it will not
interfere with the Work of Cantractor or other subcontractors at the Project site. In the event of a
slowdown, work stoppage or strike by Subcontractor's employees or any employees of its subcontractors,
Subcontractor shall take ali reusanable action to prosecute the Work without�ny delays,and any time lost
as n result of such slowdowns, work stoppages or strikes shall n�t be considered an excusable delay under
this Subcontract and shall not be grounds for nn extcnsion of time hereunder.
18(n). Dejat�lt. If(I) Subcontractor should at any time fail to perform in strict accordnnce with
this Subcontract, or (2) ti cuurt having jurisdiction over Subcontractor shoutd enter a decree or order for
relief in respect �f Subcontrucror i�� an invofuntnry cASe under any lpplicable b�nkrt�ptcy, insolvency or
similar law now vr hereafter in effect, or ttppoint a receiver, liquidator, assignee, custodian, trustee or
sequestr�tur(or similar officinl)of Subcontractor,or order[he winding up or liquidation of Subcontractor's
affairs,and such decree or oriier shall continue unstayed and in effect for a peri�d of sixty(6U)consecutive
days, or if Subcontracror should commence fl voluntary case under any applicable bAnkruptcy, insolvency
or other similar law now or hereafter in effect, consent to the entry of an order for relief in an invoiuntary

furtherance of any of the foregoing,or(3)Subcontractor becomes involved in any labor difficulties that in
the opinion of Contractor may impede or slow the Work,or{4)Subcontractor otherwise breAChes or fails to
perfo►•m nny provisions or requirements of this SubcontrACt (the occurrenc�es described in (i) through (4}
next above being hereinafter reterred to As an "Event of Default" or coflectively. "Events of Defaukt"),
Contractor may, without notice (or if notice is required by lnw, then after twenty-four(24) hours' written
notice sent to Subcontracror at the address set forth herein below) proceed to do any one or more of the
following: (a) without affecting the other provisions of this Subcvntract and without notice to any sureties,
ContrACtor may, but shall not be obligated to,take such actions as it deems necess�ry to cure the Event of
Default, in which case Subc:ontractor shall be liable to Contractor for the costs thereof,and any such casts
may be deducted from any amount then or thereafter owing to Subcontractor;(b)terminate the Subcontrnct
for defau{t; or (c) seek speci�c performance of SubcontrACtor's obligAtions hereunder, it being agreed by
Subcontractor that specific performance may be necessary to avoid irreparable harm to Contractor and/or
O wner.
!8(b). Coiitractor's Optio�ss. In the event of termination for default, Contractor may, at its
option, do one or more or ail of the following: {I)enter on the jobsite and take possession, for the purpose
of completing the Work, of ail supplies, tools, materials. work-in-progress, finished Work �nd such other
items as have been purchased, fabricated, constructed, acquired or used by SubcontrACtor in performance
of,or for the performing af,the Work,(2)require Subcontractor to assign to Controctor(and Subcontractor
hereby agrees ro so assign) any or all of Subcontractor's subcontracts or purchase orders involving the
Work,or(3)either itself or through others complete the Work by whatever method Contractor mAy deem
expedient. Subcontractor shall not be entitled to receive any further payment until the Work shall be fully
completed,accepted by the Owner,and Contractor has been paid therefore by the Owner. At such time, if
the amount of any damages and expenses suffered or incurred by Contractor as a result of the termination
or default shall exceed the unpaid balance of the Subcontract price,then Subcontracror shull pay Contractor
the nmount of the difference.
18(c). Lirrbitity for Co�tlr�etor's Dnneages. No action by ContrACtor shall relieve Subcontractur
from liability for any dantages, including, but not limited to,damagcs for delay, sustained Uy Contractor as
a result of any Events of Default. Upon the occurrence of an Event of Default hereunder,Contractor may
employ attorney(s) to enforce any provision of this Subcontract, to collect damages for such Event of
Default and to recover on any bond herein rrtentioned, And SubcontrACtor and its surety agree to pay
Contractor such reasonable attorney's fees�nd expenses as Contractor may incur with►•espect thereto.
181d). Expenses artd Attorney's Fees. Subcontractor shall be responsible and liable for all costs,
disbursements,und expenses, inciuding atrorney's fee,incurred by Contractor(a)as a result of Contractor's
pursuing any extra, change,addition,claim, or dispute against any other party on behnlf of Sutx;ontractor;
(b)as a result of Subcontractor's breach or threatened brelch of any term or condition of this Subcontract.
18(e). Renredies Crunrrlative. The rights and remedies granted to ContrZCtor pursuant to this
Section 18 and the other provisions of this Subcontract shall be cumulative and are not intended ro be in
lieu of any le�al cight or remedy afforded by State or Federal law that Contractor m�y have against
5ubcontructor for breach of this Subcantract or default hereunder. With respect to the rights,remedies�nd
obligutions set forth in this Section 18, Subc:ontractor and its surety waive All rights of cxernption. The
failure of Contrnctor to exercise Any remedies it may have pursuant to this Subcontract or otherwise shall
liave no effect on its rights or remedies with respect to any Event of Default or on the future exerc;se of any
of Contractor's rights and remedies.
l9. Safet�•. Contractor's "Accident Prevention Plan",a copy of which is attached hereto,shall bc
used by Subcontractor as a guide to safety standards in performing the Work. In addition, Subcontractor
ttgrees to abide by any and all t�pplicable Federal,State and local safety uatutes,laws,rules and regulations.
If Contr�ctor is fined, assessed for or required to make expenditures to correct uns�fe conditions resulting
from the acts or omissions of S►�bcontractor, its employees, agents or subcontructors, Subcontractor shall
reimburse and indemnify Contractor for any such fines, assessments or expenditures and for All other
losses, expenses or damuges result+ng there from, regurdless of whether the existence of such condition is

attributable in whole or in part to the fault or negligence of Contractor. Provided, however, thAt
notwithstanding anything etse contained in this Section 19 or elsewherc in this Subcontract,Subc�ntractor
shall have complete and total responsibility for the sAfe conduct ttnd performance of the Work and the
safety of its employees, the employees of Any of its subcontractors any other persons who mAy be in or
around the Work.
20. Bo�rds. Unless expressly provided otherwise in Exhibit A,Subcontractor shall obtain bonds
payabte to Contractor, in form and content satisfactory to Controctor, and with surety sltisfactory ro
Contractor,each in the full amnunt of the Subcontract Price(as adjusted by Change Orders),for the ft�ithful
performance of this Subcontract, including changes or modifications Ihereto made with or without the
consent of the surety,and for the payment of all labor, services, materials and supplies used or furnished
wrth respect ro the Work. The cost of such bonds shall be pAid by SubcontrACtor,inrluding any additional
premiums resulting from increases in the Subcontract Price by Change Order. Such bonds shull be
furnished within Fifteen (IS) days of the date first appcaring on this Subcontract unless Contractor
expressly extends such time in writing. If$ubcontrt►ctor fails to provide such bonds as and when required,
Contractor may terminate this Subcontract for default, without IiAbility to Contractor, and Subcontractor
shall forfeit any Work done or materials furnished pursuant to this Subc:vntract and be liable for all
damages provided by applicable law.
21(a). Assig�uree�:t or Srrbcontrc�cting. Subcontractor sha�l not subcontr�ct, assign, sublet or
transfer this SubcontrACt, or any purt hereof, except to persons, �rms or corporations acceptable to
Contrac:tor and with the prior written consent of Contractor. Subcontrnctor shall furnish complete contact
informatiun for any portion of the Work subcontracted or assigned (see Gxhibit G), and shall cause said

No such consent of Contractor shall release SubcontrA�tor frum �ny of its �bligations hereunder, and

or transfer has been made. Any such subcontract, assignment, subletting or transfer shall be approved by
Subcontractor's surety and shall be subject to each and all of the provisions of this Subcontract. Contractor
reserves the right to reject or remove any Subcontractor whu has not previously been so approved. A
breach of any of the provisions of this Section 21 shall be deemed u material breach of this SubcontrACt.
Provided, however, that nothin�containeci in this Section 21 or elsewhere in this Subcontract shall create
1ny contractual reiationship between the Contractor and any subcontractors of Subcontractor_

the event that Contructor terminates its contract with Owner for any reason, including, but »ot limited to,

23(n). Governing Law. 1'he terms and cunditions of this Subcontract shall be construed and
