Failure to submit snid billing within such time shall be an absolute waiver of any right of Subcontractor to cluim any further payment from Contractor. Subcontractor agrees to comply with each and all such amendments to the Schedule, and to perform the Work in strict accordance wi[h such amendments. At Contractor:s request, and at the times specified in any such request, Subcontractor shall submit to Contractor det�iled progress, procurement, performance, mAnpower, and completion schedules, satisfactory to Contractor. If Subcontractor is delayed in the commencement, performance, or comple[ion of the Work by: Cht�nge Ordets issued by Contractor in accordance with Section 5 below; exrraordinAry weather conditions thut are uncharacteristic for the locnle of the Work and that could not h�ve been anticipated; unusual and unanticipated delays in transportation; or unavoidable casualty loss to, or destrt�ction of,the Work,then the Schedule described in 4(a)above may be adjusted by Contractor based on the reasonablc amount of time lost as a result of such occurrence. Otherwise,Subcontractor assumes all risks of strict compliance with the Schedule. Warraitty of Work a�rd Muterials. Without in any way limiting any section or provision of this Subcontract, Subcontractor hereby warrants and guarantees the Work to Contractor under the same terms and for at least the sume period of time as Contractor has warranted its Work to Owner under the Prime Contract,�nd S�ibcontractor hereby agrees to perform all warranty obligations and other responsibilities of Contractar insofar as they relate to the Work. Subwntractor, in addition to a11 other guarantees and warranties contained in this Subcontract and the Prime Contract,and not in limitation of Contractor's other legal rights, warrants and guarantees that the Work will be performed in strict and absolute Accordance with the terms of this Subcontruct,in�►good and workmanlike manner,und in conformity with the best practices of the constructiun industry. Slowdow�t or Work Stoppage. Subcontractor warrants that it will employ workers and means in such a manner th�t [he Work will be prosecuted efficiently and in a timely manner and that it will not interfere with the Work of Cantractor or other subcontractors at the Project site. In the event of a slowdown, work stoppage or strike by Subcontractor's employees or any employees of its subcontractors, Subcontractor shall take ali reusanable action to prosecute the Work without�ny delays,and any time lost as n result of such slowdowns, work stoppages or strikes shall n�t be considered an excusable delay under this Subcontract and shall not be grounds for nn extcnsion of time hereunder. 18(n). In the event of termination for default, Contractor may, at its option, do one or more or ail of the following: {I)enter on the jobsite and take possession, for the purpose of completing the Work, of ail supplies, tools, materials. work-in-progress, finished Work �nd such other items as have been purchased, fabricated, constructed, acquired or used by SubcontrACtor in performance of,or for the performing af,the Work,(2)require Subcontractor to assign to Controctor(and Subcontractor hereby agrees ro so assign) any or all of Subcontractor's subcontracts or purchase orders involving the Work,or(3)either itself or through others complete the Work by whatever method Contractor mAy deem expedient. Subcontractor shall not be entitled to receive any further payment until the Work shall be fully completed,accepted by the Owner,and Contractor has been paid therefore by the Owner. At such time, if the amount of any damages and expenses suffered or incurred by Contractor as a result of the termination or default shall exceed the unpaid balance of the Subcontract price,then Subcontracror shull pay Contractor the nmount of the difference. 18(c). Lirrbitity for Co�tlr�etor's Dnneages. No action by ContrACtor shall relieve Subcontractur from liability for any dantages, including, but not limited to,damagcs for delay, sustained Uy Contractor as a result of any Events of Default. Upon the occurrence of an Event of Default hereunder,Contractor may employ attorney(s) to enforce any provision of this Subcontract, to collect damages for such Event of Default and to recover on any bond herein rrtentioned, And SubcontrACtor and its surety agree to pay Contractor such reasonable attorney's fees�nd expenses as Contractor may incur with►•espect thereto. 181d). Expenses artd Attorney's Fees. Subcontractor shall be responsible and liable for all costs, disbursements,und expenses, inciuding atrorney's fee,incurred by Contractor(a)as a result of Contractor's pursuing any extra, change,addition,claim, or dispute against any other party on behnlf of Sutx;ontractor; (b)as a result of Subcontractor's breach or threatened brelch of any term or condition of this Subcontract. 18(e). Renredies Crunrrlative. The rights and remedies granted to ContrZCtor pursuant to this Section 18 and the other provisions of this Subcontract shall be cumulative and are not intended ro be in lieu of any le�al cight or remedy afforded by State or Federal law that Contractor m�y have against 5ubcontructor for breach of this Subcantract or default hereunder. With respect to the rights,remedies�nd obligutions set forth in this Section 18, Subc:ontractor and its surety waive All rights of cxernption. The failure of Contrnctor to exercise Any remedies it may have pursuant to this Subcontract or otherwise shall liave no effect on its rights or remedies with respect to any Event of Default or on the future exerc;se of any of Contractor's rights and remedies. l9. Safet�•. Contractor's "Accident Prevention Plan",a copy of which is attached hereto,shall bc used by Subcontractor as a guide to safety standards in performing the Work. In addition, Subcontractor ttgrees to abide by any and all t�pplicable Federal,State and local safety uatutes,laws,rules and regulations. Bo�rds. Unless expressly provided otherwise in Exhibit A,Subcontractor shall obtain bonds payabte to Contractor, in form and content satisfactory to Controctor, and with surety sltisfactory ro Contractor,each in the full amnunt of the Subcontract Price(as adjusted by Change Orders),for the ft�ithful performance of this Subcontract, including changes or modifications Ihereto made with or without the consent of the surety,and for the payment of all labor, services, materials and supplies used or furnished wrth respect ro the Work. The cost of such bonds shall be pAid by SubcontrACtor,inrluding any additional premiums resulting from increases in the Subcontract Price by Change Order. Such bonds shull be furnished within Fifteen (IS) days of the date first appcaring on this Subcontract unless Contractor expressly extends such time in writing. If$ubcontrt►ctor fails to provide such bonds as and when required, Contractor may terminate this Subcontract for default, without IiAbility to Contractor, and Subcontractor shall forfeit any Work done or materials furnished pursuant to this Subc:vntract and be liable for all damages provided by applicable law. 21(a). Assig�uree�:t or Srrbcontrc�cting. Subcontractor sha�l not subcontr�ct, assign, sublet or transfer this SubcontrACt, or any purt hereof, except to persons, �rms or corporations acceptable to Contrac:tor and with the prior written consent of Contractor. Subcontrnctor shall furnish complete contact informatiun for any portion of the Work subcontracted or assigned (see Gxhibit G), and shall cause said Sub-Subcontractor or nssignees to furnish proof of insurance as imposed by Section I 1 of this Subcontract. No such consent of Contractor shall release SubcontrA�tor frum �ny of its �bligations hereunder, and Subcontractor shaU remain primarily liable to Contractor as if no such wbcontract, assignmenl, subletting or transfer has been made. Any such subcontract, assignment, subletting or transfer shall be approved by Subcontractor's surety and shall be subject to each and all of the provisions of this Subcontract. Contractor reserves the right to reject or remove any Subcontractor whu has not previously been so approved. A breach of any of the provisions of this Section 21 shall be deemed u material breach of this SubcontrACt. Provided, however, that nothin�containeci in this Section 21 or elsewhere in this Subcontract shall create 1ny contractual reiationship between the Contractor and any subcontractors of Subcontractor_ 21(b). Without limitation of Section 18,or any other provision of this Subcontract, in the event that Contructor terminates its contract with Owner for any reason, including, but »ot limited to, failure by Owner to furnish sfltisfactary evidence that it has mude adequate finunciAl arran�ements, Contractor may terminAte this Subcontract, and shall not be liable to Subcontractor for breach hereot'.
