The Owner and Contractor Agree as Set Forth Below:
ARTICLE 1. - CONTRACT SUM: The Owner shall authorize payment to the Contractor for the
performance of the construction work, subject to additions and deductions by approved change order, the
Contract Sum of One Hundred Eleven Thousand Five Hundred Eighty and 00/100 Dollars ($111,580.00j. The
building to be built on this lot is Leah II.
ARTICLE 2. - THE WORK AND COMPLETION TIME: The Contractor agrees to furnish all iabor,
materials, equipment, permits, licenses, and services for the proper completion of the above-identified property
in accordance with the Bid Documents and Specifications. The Contractor agrees that materials supplied are
guaranteed to be as specified. All work shall be satisfactorily completed within One Hundred Fifty (150)
calendar days after the Notice to Proceed is issued. All work shall be completed in a workmanlike manner
according to standard practices. If the workmanship does not comply with the Community Development
Division's

acceptable standards, work deemed to be below standards wiil be rebid and deducted from final payment.
This action can prevent the confractor from bidding on any further work or projects. Substantial completion of
#he rehab is determined when the job write-up is 1Q0% compieted. If the rehab is not substantially completed
by the due date, the con#ractor can not submit a bid for new projects. Upon substantia( comp(etion, the
contractor has seven (7) days to complete the punch list items and fourteen (14) days to submit F'inal Release
of Liens from the contractors, sub-contractors, the notice to owner and ail construction required documents. if
the contractor does not meet the fourteen (14) days for the Lien Release, he wili not be abfe to bid on any new
projects until finai paperwork has been submitted. The premises will be unoccupied during the course of
construction.
ARTICLE 3. - T1ME OF COMMENCEMENT: No work shall be commenced by the Contractor until
he/she has received a written Notice to Proceed from the Cammunity Development Division. The Notice to
Proceed will be issued within thirty (30)days from the date of the Contractor signing this Contract, or if it is not,
the Contractor has the option of withdrawing his bid and proposal. Wark shall begin no later than seven (7)
days after the Notice to Proceed is issued. lf work is rto# substantially completed within agreed upon tfine
period, Contractor will be penalized One Hundred and 00/100 Dallars ($'lOO.Od) per day liquidated damages on
new construction and Fifty and 00/100 Dollars ($50.00) per day iiquidated damages on rehabilitation projects
far every working day until substantia! completion, unless approval for extension has been agreed upon in
writing by Owner, Contractor, and the Community Develapment Division. This provision is contingent upon
strikes, accidents,Acts of God, or other events beyond the control of Pasco County and the Contractor.
ARTICLE 4. - PAYMENT: The Contractor will be paid according to the draw schedule as stated in the
Program Policy Statement for the County's rehabilitation program after the Community Development Division
conducts an inspection certifying tha# the work has been completed according to the contract. Final paymen#
due the Contractor will be made after the Contractor has fumished the Owner, in care of the Communi#y
Development Division, sa#isfactory release of liens or claims for iiens by subcontractors, laborers, and material
suppliers for completed work or instalfed materials. All such releases must be notarized. Payments will be
made in accordance with Florida Statutes, Chapter 218.735-74, Locai Govemment Prompt Payment Act
considered due upon receipt by the Clerk of#he Circuit Court and peid upon approval by the Board of County
Commissioners. Within thirty (30) days of cornpletion of the contract, the contractor shall submit the request
for final payment along with the required documentation fo�payment. The County shall not be responsible for
any requests after the 30 days.
ARTICLE 5. - CONTRACTOR'S INSURANCE: The Contractor shall be responsible for all damages to
person or property that occur on the job site or adjacent thereto as a result of his fault or negligence in
connection wi#h this contract. The Contractar shafl, prior to commencing work, fumish evidenca of required
comprehensive liability insu�ance. The Contractor shatl aiso furnish evidence of coverage in acco�dance with
Florida Workers' Compensation Laws. Contractor shall furnish Community Development Division with new,
updated or renewed insurance coverage to continue to bid on prpjects.
ARTICLE 6. - SUBCONTRACTS: AI( subcontractors shall be bound by the terms and conditions af
this contract insofar as it applies to their work, but this shall not relisve the Contractor from the responsibility to
the Owner for the proper campletion of all work to be executed under this Contract, and he/she shall not be
released from this responsibility by any subcontractual agreement he may make with others. The Contractor
shall be required to furnish to the Owner and Community Development Division in writing, a list of the names of
the subcontractors proposed for the principal portions of the work at this contract signing. The Contractor shall
not employ any subcontractor to whom fhe Owner or the Community Development Division may have a
reasonable objection. A current form for listing subcontractors is available on the Community Development
Division website. The notice to proceed will not be issued until the required sub list has been completed for this
contract and submitted to the Community Development Division.

ARTICLE 7. -GENERAL RESPONSIBILITIES OF THE CONTRACTOR:
7.1 The Contractor shail be iicensed and supervise and direct the work using his best sEcilis
and attention.
7.2 The Contractor shall provide the Owner and Community Development Division with
evidence that he/she has secured and paid for all licenses and permits necsssary for the
proper execution of the work; and, upon completion of the job, shall provide evidence
that al!work has been inspected and approved by the appropriate buifding inspectors.
7.3 The Contractor shall not emp(oy on the work any unfit person or anyone not skilled or
licensed, if appropriate, in the task assigned to him.
7.4 The Contractor shall be responsible for the acts and omissions of al[ his employees, and
atl subcontractors, their agent and employees, and all other persons pertorming any of
the work.
7.5 The contractor shall seek approval from Community Development Division prior to
substituting any materials or products deemed "Equal" to the spec9fic materials or
praducts listed in the most recent Bid Specifications or Work Write-Up.
7.6 The Contractor sha�l not assign this contract without written consent of the Owner and
the Community Development Division. Any request for assignment must be addressed
to the Community Development Division.
7.7 The Contractor at all times shall keep the premises free from accumulation of waste
rrtaterials or rubbish caused by this work.
7.8 The Contractor shall permit the Community Development Division ta examine and
inspect the construction work under this contract at any reasonable frme.
7.9 The Contractor shall fumish the Owner and the Community Development Division with
the names, addresses, and telephone numbers of the firms to be contacted fo�service to
the various appliances or other equipment that was installed or repaired under this
contract.
7.10 The Contractor shall indemnify and save harmless the County, its agents and
employees, and the Owner from liabilify for any injury or damages fo persons or property
resulting from the Contraato�'s prosecu#fon of work pursuant to the provisions of this
contract.
7.11 The con#ractor shail be responsibfe to submit all requests for payments, change orders,
release of liens, subcontractor list, etc., on the most current forms obtained from the
Community Development Division website for con#ractors,
7.12 All products and materials used in the rehabilitation of Community Development Division
proJects shall be made by American manufacturers, if available, and meet the latest
energy and water conservation requirements.

ARTICLE 8. -GENERAL RESPONSIBILITiES OF THE OWNER:
8.1 The Owner shall permit the Contractor to use, at no extra cost, existing utilities such as
light, heat, power, and water necessary for the proper execution and completion of the
work.
8.2 The Owner and occupants shall cooperate with fhe Contractor to facilitate the pertor-
mance of the wor{c and are responsible for the removal or profection o# rugs, fumiture,
anc! clothing, if necessary.
8.3 The Owner and occupants shall be responsible for the proper use and care of the
property including a!I equipment and appliances.
8.4 The Owner shall provide the Contractor with access to the property during normal
working hours on normal working days.
ARTICE:E 9. -GENERAL RESPONSIBILITtES OF THE COMMUNITY DEVEIOPMENT DNISION:
9.1 The Community Development Division shall provide general administ�ation of the
contract, but it is understood by all parties that the County is not a party to this Contract.
9.2 The Community Development Division shall make frequent inspections o#the work while
it is in progress to determine if it is proceeciing in accordance with the contract docu-
ments.
9.3 The Community Deve(opment Division shall have the authority to rejec#work which does
not conform to the contract documents.
ARTICLE 10. - CQNTRACT DOCUMENTS: This contract consists of the Bid Proposal, the Work
Write-Up, including any drawings or plans, the General Bid Specifications, and any insu�ance policies specified
in Articie 5 above.
ARTICLE 11. - CHANGES IN THE WORK: Except in an emergency endangering life or property, no
change in the work shall be made by#he Contractor unless he has received a prior written order signed by the
Owner and authorized representatives of the Community Deveiopment Division. The contract sum and the
contract time may be changed only by Change C�rder. No extra costs will be paid to the Contractor when he
has neglected to properly evaluate the extent of the construction work. Change orders need fo be in line with
biclding amounts or pricing.
ARTICl.E 12. - GUARANTEES AND WARRANTIES: The Contractor shall guarantee to correc� any
work that faiis to confarm to the contract documents and shal! carrect such defects due to faulty materials,
equipment, or workmanship which appear during the progress of the work or within a period of one year from
the date of final inspection and acceptance or such longer periods of time as may be specified by law or by
terms of any special guarantees required by the cantract documents. The provisions of this Article apply to
work done by subcontractors as well as work done by the Contractor. Furthert�nore, the Contractor shall
furr�ish the Owne�, in care of the Community Development Division, with al) manufacturers' and suppliers'
written guarantees and warranties covering materials and equipment fumished under the contract. These
documents are to be neatly organized and bound in a fi(e type folder and submitted with the final pay request.
If a warranty i#em malfunctions or breaks, the Contractor shall contact the Owner within 24 hours to schedule
the repair or replacement of the item. The warranty item should be repaired or replaced within seven (7) days.

ARTICLE 13. - TERMINATlON OF CONTRACT BY THE OWN�R: If the Contractor defaults or
neglects ta carry out the work in acco�dance with the contract documents or fails to perForm any provisions of
the contract, the Community Development Division or the Owner acting through the Community Development
Division may, after seven (7) days' written notice, terminate this contract and finish the work by whatever
method he deems expedient. If the unpaid balance of the contract sum exceeds the expense of finishing the
work, such excess shall be paid to the Contractor; bu#if such expense exceeds such unpaid balance, the
Contractor shall pay the difference to the Owner or the Community Developmerrt Division. Failure to pay the
unpaid balance will result in disbarmerrt from bidding on future Community Development Division projects.
ARTICLE 14. - TERMINATION OF CONTRACT BY THE CONTRACTOR; If the Owner fails to
perForm any applicable provisions of the contract, the Contrac�or may, upon seven (7} days' written notice to
the Owner and the Community Development Division, terminate the contract, and recover from the Owner
payment for al!work satisfactorily completed and all other such remedies as are otherwise specified by law
ARTICLE 75. -GENERAL CONDlTIONS:
15.1 The Work Write-Up shall take precedence over the basic specification and, when in
conflict, the material, equipment, or worEcmanship call�d for in the "Work Write-lJp" will
be required.
15.2 The Drawinqs of floor plans are diagramma#ic only, illustrating the general intention of
the Owner; they do not show all the work required, exact dimensions, or constructian
details.
15.3 The 2014 Bid Specifications are detailed in a separate booklet available to the Owner
and the Contractor from the Community Development Division.
15.4 Workmanship shal! be done in accordance with the standards of the several trades
known as a"workmanlike manner."
15.5 Materials shall be new, in good condition, and of standard grade unless otherwise
agreed in writing be#ore their delivery to the job.
15.6 Reqairs shali be made by the Contractor to all surFaces damaged by the Contractor
resulting from his or his subcontractor's work under this confract at no additianal cost
to the Owner. Where "�epair of existing work" is called for by the contract, the feature
is ta be placed in "equal to new condition" either by patching or replacement; ail
damaged, loose, or rotted parts shall be removed and replaced, and the finished work
shall match adjacent work En design and dimension.
15.7 Bids or Proaosals will be submif�ed at Bidder's nsk and the Owner or the Community
Development Division reserves the right ta reject any or all bids or proposals. Ali bids
or proposals are to be typed-nof hand written.
15.8 Buildinq Codes -All work to be done shall be subject to the regulations of local building
codes as interpreted by the applicable City or County building department/division
whether or not covered by the specifications and drawings for the work.
95.9 Cleanup and removal from the site of all debris and waste materials resulting from his
work shall be the responsibility of the Contractor. Materials and equipment tf�at have
been removed and replaced as part of the work shall belong to the Contractor and
shall be removed from the site.

15.10 Trade Names are used in the basic specificatiort to establish quality and type of
material required; exact material to be used on a specific property will be described in
the"Work Write-Up"for the particutar property.
15.11 Adiacent Propertv- When adjacent property is affected or endangered by any work
done under this contract, i# shall be the responsibility af the Contractor to take
whatever steps are necessary for the protection of the adjacerrt property and to notify
#he Owner thereof of such hazards.
15.12 Pavroll Records of empioyee's hours worked and wages paid on construction jobs
shall be rnade available to the Community Development Division, if requested.
95.13 The Use of Lead-Based Painf on applicable surfaces of any residential sfructure
undergoing F'ederally assisted construction or cons#ruction under any program with
federal assistance is prohibited. Any surtace which contains lead-based paint shall be
. considered an immediate heafth hazard.
15.14 The recognized amount of the contract is the Proposal page of the Bid, which is signed
by the Contractor. The prices that are detai[ed in the work write-up are for information
only.
ARTlCLE 16. - ARBITRATION: The Contractor and Owner agree, that in cases of apparent
irreconcilable differences arising in connection with contract performance or terms of fhe contract during the
progress of the construc#ian, to submit the maf�er to the Community Development Division for binding
arbitration.
ARTICLE 17. - UEN WAIVERS: Contractor agrees to protect, defend, and indemnify the Community
Develapment Division and the 4wner from any claims for unpaid work, labor, or materials with respect to
Contractar's performance. Final payment shalf not be due until the Contractor has delivered to the Owner, in
care of Community Developmertt Division, complete release of all liens for work completed arising ouf of
Contractor's performance or a receipt in fulf covering all labor and materials for which a lien could be filed or a
bond satisfactory to the Owner indemnifying him against any lien. All notice to owners must have a relsase of
lien for final payment. (Form Enclosed in Contract).
ARTICLE 18. - PROHIBITION OF KICKBACKS: The Contractor nor any of its officers, partners,
owners, agents, representatives, employees, or parties in interest has in any way colluded, conspired,
connived, or agreed, directly or indirectly with any other Bidder, firm, or person to submit a colfusive or shall
Bid in connection with the Contractor for which the attached Bid has been submitted or to refirain from bidding
in connection with such contract, or has in any manner, directly or indirectly, sought by contrac#or collusion or
cflmmunication ar conference with any other Bidder, firm, or person to fix any overhead, profd, or cost element
of the Bid price or the Bid price of any other Bidder, or to secure through any collusion, conspiracy,
connivance, or uniawful contract, any advantage against the Pasco County Community Development Divisian,
or any person interested in the proposed contract; and,
The price or prices quotec! are fair and proper and are not tainted by any collusion, conspiracy,
connivance, or unlawful contracf on the part of the Bidder or any of its agents, representatives, ov+mers,
empfoyees, or parties in interest, including this affant.

ARTICLE 99. - INTEREST OF MEMBERS. OFFICERS. EMPLQYEES OF PUBLIC BQDY MEMBERS
OF LOCAL GOVERNlNG BODY, OR OTHER PUBLIC OFFICIALS: No member, office�, or employee of
Pasco County, or i#s designees or agents, no member af the goveming body of the locality in which the
program is situated, and na ofher public official of such loca[ity or localities who exercises any functians or
responsibilities with respect to the program during his tenure or for one (1) year thereafter, shall have any
interest, direct or indirec#, in any contracf or subcontracf, or the proceeds thereof, fo�work to be performed in
connection with the program assisted under the Contract.
ARTICLE 28. - PROHIBiTION OF BONUS OR COMMISSION: The assistance provided under this
Contract shall not be used in payment of any bonus or commission for the purpose of ob#aining County
approval of the app(ication for such assistance.
ARTICLE 24. - LOCAL EMPLOYMENT: To the greatest exfent possible, the Contractor agrees to hire,
train, and subcontract to individuals and firms that live or are located in Pasco County and the Tampa Bay
Area.
ARTiCLE 22. - MINORITY AND WOMEN BUSINESS ENTERPRISE: To the greatest extent possible,
the Contractor agrees that he wili, if i# is necessary, subcontrac# wo�lc to minority- and women-owned
businesses.
ARTICLE 23. — SECTION 3: HUD ACT OF 19G8: The Section 3 preference requirement applies to
any contract in excess of $100,000.00. The purpose of Section 3 is to ensure that employment opportunities
gene�ated by HUD financial assistance, shal! to the greatest extent feasible, be directed to low- and very low-
income persons, particularly those who are recipisnts of govemment assistance for housing and to business
concerns that provide econornic opportunities to low- and very low-income persons. If this contract is in
excess of$100,000.00 the following language is applicable, and shall be included in any subcontracts:
Sectian 3 Ciause: Al! section 3 contracts shal( include the following clause (referred to as the Section 3
. Clause):
23.1 The work to be pertormed under fhis contract is subject to the requirements of Section 3 of the
Housing and Urban Development Act of 1968, as amended, 12 U.S.C. 1701u. Secfion 3
requires that, to the greatest extent feasible, opportunities for training and employmen# be given
lower-income resiclents of the project area, and contracts for work in connection with the project
be awarded to business concems, which are located in or owned in substantial part by persons
residing in the area of the projec#.
23.2 The parties to this contract agree to camply with HUD's regulations in 24 Part CFR 135, and alI
applicable rules and orders of the Department issued thereunder prior to the execution of this
contract. As evidenced by fheir execution of this contract, the parties to this contract certify that
they are under no contractual or other impediment, which would prevent them from complying
with the Pa►# 135 regulations.
23.3 The contractor agrees to send #o each labor organization o� representative of worke�s with
which the contractor has a collective bargaining agreement or other contract ar understanding, if
any, a notice advising the labor organization or workers' representative of #he contractor's
commitments under this Section 3 Clause and shall post copies of the notics in conspicuous
places at the work site where both employees and applicants for training and employment
positions can see the notice. The notice shall describe the Section 3 preference, shall set forth
minimum number and job titles subject to hire, availability of apprenticeship and training
positions, the qualifications for each; and the name and locatfon of the person{s� taking
applications for each ofi the positions; and the anticipated date the work shall begin.
23.4 The contractor agrees to include this Section 3 Cfause in every subcontract for work in
connection with the project and agrees to take appropriate action, as provided in an applicable

pravision of the subcontract or in this Section 3 Clause, upon a finding that the subcantractor is
in violation of regulations in 24 Part CFR 135. The contractor wili not subcontract wifh any
subcontractor where the contractor has notice or knowledge that the subconfractor has been
found in violation of the regulations in 24 Part CFR 135.
23.5 The contractor will certify that any vacant employment positions, including training positions,
thaf are filled (1) affer the contracto� is selected but before the contract is executed, and (2j with
persons other than those to whom the regulations of 24 C�R Part 135 require employment
opportunities to be directed, were not f11ed to circumvenf the contractor's obligations under 24
CFR Part 135.
23.6 Noncompliance with HUD's regulations in 24 CFR part 136 may result in sanctions, termination
of this contract for default, and debarmen#or suspension from future HUD assisted contracts.
ARTICLE 24. -USE OF DISBARRED CONTRACTORS: The Contractor agrees not to hire, employ, or
award subcontracts to, or otherwise engage the services of, any subcontractar during any period of debarment,

� THIS AGREEMENT is entered into this 4 day of November, 2013 by and between the
Pasco County Board of County Commissioners(Community Development Divisian},
(hereinafter refe�red to as the"County'�, and Covenant Communities, Inc. (hereinafter
referred to as the"Contractor"j.
THIS AGREEMENT IS ENTERED 1NT0 BASED ON THE FOLLOWING FACTS:
A.WHEREAS, Pasco County has been designated by the United States Department of Housing
and Urban Development as a participating jurisdiction for the�eceipt and use of funds as provided
by the HOME investrnent Partnerships Program ("HOME Program"}as provided in 24 CFR Part
92; and
B.WHEREAS, the County has agreed to use the HOME funds to finance a Homeowner program
that meets the requirement as set#orth in 24 CFR Part 92 as amended by the United States
Housing and tJrban Development Departmen#(HUD).
C.WHEREAS, the Contractor has agreed to rehabifitate the following property:

NOW,THEREFORE, the County and the Contractor do mutually agree as follaws:
{1) Housing Quality Standards.Once rehabilitation is compieted,the property will meet the
property standards(HQS) as outlined in 24 CFR Part 92.251 and the County will ensure that the
property will meet the�equirements of its written standards, applicable local codes, rehabilrtation
standards, ordinances and zoning o�dinances. Homes that are non-conforming but have been
aflowed to continus by the County or applicable city shali be allowed to participate in the program.
(2)Rehabilitation Work. The work that wil{be done on the house sha0 be in accordance with the
proposal, attached as an exhibit to this agreement. Additional work shall be approved by using a
change order form. Change order forms must be signed by the contractor and the Homeowner,
and approved by the County.
It is estimated that the work will be completed according to the following schedule:

b.Affirmative Marketing. Not applicable due to the Contractor no2 being a subrecipient or
state recipient.
c. Environmental Review. The envfronmental effects shall be assessed in accordance with
the provisions of the Nationat Environmentai Policy Act ot 1969 (NEPA)and the related
au#horities listed in HUD's impfementation regulations at 24 C�'R Parts 50 and 58. An
environmental review shall be completed by Pasco County before any funds are obligated.
d. Displacement, Relocation and Acquisition. Not appficable due to the Contractor not being
a sub recipient or state recipient.
e. Labor. Not applicable due to HOME funds being used to rehabilitate one single family
house.
f. Lead-based paint. If the house was built by and before 1978, a lead based paint
assessment was completed,and that is attached to this agreement.If lead paint is present
abatement/and/or removal shall be par#of t�e proposal.
g. Conflict of Interest. In accordance with 24 CFR Part 92.356, the Contractor certifies#hat
he/she has not been in a position(as an employee, agent,consuftant, officer, or an elected
or appointed official of a patticipating jurisdiction, state�ecipient, or subrecipient which
received WOME funds)to exercise any functions or responsibilities with respect to activities
assisted with HOME funds or has not been in a position to participate in the decisio�
making process or gain inside information with regard to the disbursement of HOME funds.
The County certifies that it has no knowledge of the Contractor having any conflict
h. Debarment and Suspension. In accardance with 24 CFR Part 92.357, the Contractor
certi�es that he/she Is not presently debaned, suspended, proposed for debarment,
declared ineligible, or voluntarily excluded from participation in rece9ving any HOME or
other Federal Funds.7he County certifes that it shall check on every vendor that it is
associated with this project that it is not presentfy debarced, suspended, proposed for
debarment, declared ineligible, or voluntarily excfuded from participatian in receiving any
HOME or other Federal Funds.

which is scheduled for 5/l18115.
(6) Lobbying. The Contractor and the County certify that no Federal appropriated funds
have been paid by or on behalf of it to any person for influencing or attempting to influence an
officer or employee of any agency, a member of Congress, an o�cer or employee of Congress,
or an emp(oyee of a member of Congress in connection with#he awardi�g of this ar any contract;
the making of any Federal grant; the making of any Federal faan; the entering into of any
cooperative agreemen�; and the extension, continuadon, renewal, arrtendment, or modification of
any Federal contract, grant, loan, or cooperative agreement.
If any funds other than Federally appropriated funds have been paid or will be paid to any person
