The Owner and Contractor Agree as Set Forth Below:
ARTICLE 1. - CONTRACT SUM: The Owner shall authorize payment to the Contractor for the
performance of the construction work, subject to additions and deductions by approved change order, the
Contract Sum of One Hundred Eleven Thousand Five Hundred Eighty and 00/100 Dollars {$111,580.00). The
building to be built on this lot is Leah II.
ARTICLE 2. - THE WORK AND COMPLETION TIME: The Contractor agrees to furnish all labor,
materials, equipment, permits, licenses, and services for the proper completion of the above-identified property
in accordance with the Bid Documents and Specifications. The Contractor agrees that materials supplied are
guaranteed to be as specified. All work shall be satisfactorily completed within One Hundred Fifty (150)
calendar days after the Notice to Proceed is issued. All work shall be completed in a workmanlike manner
according to standard practices. If the workmanship does not comply with the Community Development
Division's

acceptable standards, work deemed to be below standards will be rebid and deducted from final payment.
This action can prevent the contractor from bidding on any further work or projects. Substantial completion of
the rehab is determined when the job wnte-up is 100% completed. If the rehab is not substantially completed
by the due date, the contrac#or can not submit a bid for new projects. Upon substantial compietion, the
contractor has seven (7) days to complete the punch list items and fourteen (14) days to submit Final Release
af Liens from the contractors, sub-contractors, the notice to owner and afl construction required documen#s. 1f
the contrac#or daes not meet the fourtsen (14) days for the Lien Release, he will not be able to bid on any new
projects until final �aperwork has been submitted. The premises will be unoccupied during the course of
construction.
ARTICLE 3. - TIME OF COMMENCENlENT: No work shall be commenced by the Cont�actor until
he/she has received a written Notice to Proceed from the Community Development Division. The Notice to
Proceed will be issued within thirty (30) days fram the date of the Contractor signing this Contract, or if it is not,
the Contractor has the option of withdrawing his bid and proposal. Wark shall begin no later than seven {7)
days after the Notice #o Proceed is issued. If work is not substantially completed wi#hin agreed upon time
period, Contractor will be penalized One Hundred and 00/900 Dollars ($1 Q0.00) per day liquidated damages on
new canstruction and Fifty and 00/100 Dollars ($50.00) per day liquidated damages on rehabilitation projects
for every working day until substantial completion, unless approval for extension has been agreed upon ir�
writing by Owner, Contractor, and the Community Developmenf Divisiort. This provision is contingent upon
strikes, accidents, Acts of God, or other events beyond the control of Pasco County and the Contractor.
ARTICLE 4. - PAYMENT: The Cc�ntractor will be paid according to the draw schedule as stated in the
Program Policy Statement for the County's rehabilitation program afte�the Communi#y Development Division
conducts an inspection certifying that the work has been completed according to the contract. Final payment
due the Contractor will be made after the Contractor has furnished the Owner, in care of the Community
Development Division, safis#actory release of liens or claims for liens by subcontractors, laborers, and material
suppliers for completed work ar installed materials. AI! such releases must be notarized. Payments will be
made in accordance with Florida Statutes, Chapter 218.735-74, Loca( Government Prompt Payment Act
considered due upon receipt by the Clerk of the Circuit Court and paid upon approval by the 8oard of County
Commissioners. Within thirty (30) days of completion of the cont�act, the contractor shall submit the request
for final payment along with the required documentation for payment. The County shaU not be responsibie for
any requests after the 30 days.
ARTICLE 5. -CONTRACTOR'S INSURANCE: The Contractor shall be responsible for all damages to
person or praperry #hat occur on the job site or adjacent the�eto as a result of his fau(t or neg(igence in
connection with this cantract. The Contractor shall, prior to commencing work, fumish evidence of required
comprehensive liabifity insurance. The Contractor shall also furnish evidence of coverage in accordance with
Florida Workers' Compensation Laws. Cor�tractor shall furnish Community Development Division with new,
updated or renewec! insuraRCe coverage to continue to bid on projects.
ARTlCI.� 6. - SUBCONTRACTS: All subcontractors shall be bound by the terms and conditions of
this contract insofar as it applies to their woric, but this shall not relieve the Contractor from fhe responsibility to
the Owner for the proper completion of al! work to be executed under this Contract, and he/she shalf not be
released from this responsibility by any subcontractual agreemertt he may make with others. The Contractor
shall be required to furnish to the Owner and Community Development Division in writing, a list of the names of
the subcontractors proposed for the principal portions of the work at this contract signing. The Corrtractor shall
not employ any subcontractor #o whom the Owner or the Community Development Division may have a
reasonable objection. A current form for listing subcontractors is available on the Community Deve[opment
Division website. The notice to proceed will not be issued until the required sub list has been completed for this
contract and submitted to the Community Development Division.

ARTICLE 7. -GENERAL RESPONSIBILITIES OF THE CONTRACTOR:
7.1 The Contractor shal! be licensed and supervise and direct the work using his best skilis
and attention.
7.2 The Contractor shall provide the Owner and Community Development Division with
evidence that he/she has secured and paid for alf licenses and permits necessary for the
proper execution of the wark; and, upon completion of the job, shall provide evidence
that a!1 work has been inspected and approved by the appropriate building inspectors.
7.3 The Contractor shall not emplay on the work any unfit person or anyone not skilled or
licensed, if appropriate, in the task assigned to him.
7.4 The Contractor shall be responsibie for the acts and omissions of ail his employees, and
alf subcontractors, their agent and employees, and all otF�er persons performing any of
the work.
7.5 The contractor shall seek approva! from Community Development Division prior to
substituting any materials or products deemed "EquaP' to the specific materials or
products listed in the most recent Bid Specifications or Woric Write-Up.
7.6 The Contractor shaf( not assign this contract without written consent of the Owner and
the Community Devefopment Division. Any request for assignment must be addressed
to the Community Development Division.
7.7 The Contractor at all times shal! keep the premises free from accumulatiort of waste
materials or rubbish caused by this work.
7.8 The Contractor shall permit the Community Development Division to examine and
inspect the construction work under this contract at any reasonable time.
7.9 The Contractor shai! fumish the Owner and the Community Development Division with
the names, addresses, and telephone numbers of the firms to be contacted for service to
the various appliances or other equipment that was installed or repaired under this
contract.
7.10 The Con#ractor shall indemnify and save harmiess the County, its agents and
emp(oyees, and the Owner from liability far any injury or damages to persons or property
resulting from the Contractor's prosecu#ion of work pursuant to the provisions of this
contract.
7.11 The contractor shali be responsibie to submit afl requests for payments, change orders,
release of liens, subcontractor list, etc., on the most current forms obtained from the
Community Development Division website for contractors.
7.12 All products and materia(s used in the rehabilitation ofi Community Development Division
projects shall be made by American manufacturers, if available, and meet the latest
energy and water conservation requirements.

ARTICLE 8. -GENERAL RESPONSIBII.ITIES OF THE OWNER:
8.1 The Owner shall permit the Contractar to use, at no extra cost, existing utifities such as
light, heat, power, and water necessary for the proper execution anc! comple#ion of the
work.
8.2 The Owrter and occuparits shal! cooperate with the Contractor to facilitate the perfor-
mance af the work and are responsible for the removal or protection of rugs, furniture,
and clothing, if nec�ssary.
8.3 The Owner and occupants shall be responsible for the proper use and care of the
property including alf equipment and appiiances.
8.4 The Owner shall provide the Contractor wi#h access to the properEy during narmal
working haurs on normal working days.
ARTICLE 9. -GENERAL RESPONSIBlLfT[ES OF THE COMMUNITY DEVELOPMENT DiVISION:
9.1 The Communi#y Development Division shall pravide general administration of the
contract, but it is understood by all parties that the County is not a party to this Contract.
9.2 The Community Development Division shall make frequent inspections of the work while
it is in progress to determine if it is proceeding in accordance with the contract docu-
ments.
9.3 The Community Development Division shall have the authority to reJect work which does
not conform to the contract documents.
ARTICLE 10. - CONTRACT DOCUMENTS: This contract consists of the Bid Proposal, the Work
Write-Up, including any drawings or plans, the General Bid Specifications, and any insurance policies specified
in A�#icle 5 above.
ARTICLE 11. - CHANGES IN THE WORK: Except in an emergency endangering life o� property, no
change in the work shall be made by the Contractor unless he has received a prior wri#en order signed by the
Owner and authorized representatives of the Cammunity Development Division. The contract sum and the
� contract time may be changed only by Change Order. No extra costs wili be paid to the Contract�r when he
has neglected to properly evaluate the extent of the construc#ion wvrk. Change orders need to be in line with
bidding amounts or pricing.
ARTICLE 12. - GUARANTEES AND WARRANTIES: The Contractor shall guarantee to correct any
work that fails to conform to the contract documents and shall correct such defects due to faulty materials,
equipment, or workmanship which appear during the progress of the work ar within a period of one year from
the date of final inspection and acceptance or such longer pe�iads of time as may be specified by law or by
terms af any special guarantees required by the contract documents. The provisions of fhis Article apply to
work done by subcontractors as well as work done by the Contractor. Furthermore, the Contractor shal!
furnish the Owner, in care of the Community Deve(opment Division, with all manufacturers' and suppliers'
wri#ten guarantees and warranties covering materials and equipment furnished under the contract. These
documents are to be neatly organized and bound in a file type folder and submitted with the final pay request.
If a warranty item malfunctions or breaks, the Contractor shalt cantact the �wner within 24 hours to schedule
the repair or replacement of the item. The warranty item should be repaired or replaced within seven (7) days.

ARTICLE 13. - 1'ERMINATlON OF CONTRACT BY THE OWNER: tf the Contractor defaults or
neglects to carry out the work in accordance with the contract documents or fails to pertorm any provisions of
the contract, the Community Deve(opment Division or the Owner ac#ing through the Community Development
Division may, after seven (7) days' written notice, terminate this contract and finish the work by whatever
method he deems expedient. If the unpaid balance of the contracf sum exaeeds the expense of finishing the
wark, such excess shall be paid fia the Contractor; but if such expense exceeds such unpaid balance, the
Contractor shall pay the difference to the Owner or the Community Development Division. Failure to pay the
unpaid balance will result in disbarment from bidding on future Comrrtunity Development Division projects.
ARTICLE 14. - TERMlNATION OF CONTRACT BY THE CONTRACTOR: If the Owner fails #o
perform any applicable provisions of the contract, the Contractor may, upon seven (7) days' wrifte� no#ice to
the Owner and the Community Development Division, terminate the contract, and recover from the Owner
payment for all work satisfactorily completed and all other such remedies as are othervvise specified by law
ARTICLE 9S. -GENERAL CONDITIONS:
15.1 The Work Write-Up shall take precedence over fhe basic speci�cation and, when in
conflict, the materiaf, equipment, or workmanship called for in the "Work Write-Up"will
be required.
15,2 The Drawinqs of floor pians are diagrammatic only, illustrating the general intention of
the Owner; they do not show atl the work required, exact dimensions, or construction
details.
15.3 The 2010 Bid Specifications are detailed in a separate book{et available to the Owner
and the Contrac#or from the Community Development Division.
75.4 Workmanship shall be done in accordance with the standards of fhe several trades
known as a "workmanfike manner."
15.5 Materials shail be new, in good condition, and of standard grade unless othen�+rise
agreed in writing before their defivery to the job.
15.6 Repairs shall be made by the Contractar to all surfaces damaged by the Contractor
resufting from his or his subcon#ractor's work under this contract at no additional cost
to the Owner. Where "repair of existing work" is called for by the contract, the feature
is to be placed in "equal #o new condition" either by patching or replacement; a!1
damaged, loose, or rotted parts shall be removed and replaced, and the finished work
shall match adjacent wo�k in design and dimension.
15.7 Bids or Pro osals will be submitted a# Bidder's risk and the 4wner or the Community
Development Division reserves the right to reject any or all bids or proposals. All bids
or proposals are to be typed -nof hand written.
15.8 Buildinq Codes -All work to be done shalf be subject to the regulations of local building
codes as inte�preted by the applicable City or County building departmentldivision
whether or not covered by the specifications and drawings far the work.
15.9 Cleanua and removal from the site of all debris and waste materiais resufting from his
work shall be the responsibility of the Contractor. Materials and equipment that have
been removed and replaced as part of the work shall belong #o the Contractor and
shall be removed from the site.

15.10 Trade Names are used in the basic specification to estabiish quality and type of
material required; exact material to be used on a specific property will be described in
the "Work Write-Up"for the particular property.
15.11 Adiacent Pronert,�- When adjacent property is affected or endangered by any work
done under thfs cont�act, it shall be the responsibiliry of the Contractor #o #ake
whatever steps are necessary for the protection of the adjacen# property and to notify
the Owner thereof of such hazards.
15.12 Payroll Records o# employee's hours worked and wages paid on constru�tion jobs
shall be made avaiiabie to the Community Development Division, if requestsd.
95.93 The Use of Lead-Based Paint on applicable surtaces af any residential struc#ure
undergoing Federally assis#ed construction or construction under any program with
federal assistance is prohibited. Any surtace which contains lead-based paint shall be
considered an immediate health hazard.
15.14 The recognized amount of the contract is the Proposal page of the Bid, which is signed
by the Contractor. The prices that are detailed in the work write-up are for information
only.
ARTICLE 16. - ARBITRATION: The Contractor and Owner agree, that in cases of apparent
irreconcilable differences arising in connection with contract pertarmance or terms of the contract during the
progress of the cons#ruction, to submit the mafter to the Community Development Division for binding
arbitration.
ARTICLE 97. - LtEN WAIVERS: Contractor ag�ees to protect, defend, and indemnify the Community
Development Division and the Owner from any claims for unpaid work, labor, ot materials with respect to
Contractor's performance. Final payment shall not be due unti[ the Contractor has delivered fo the Owner, in
care of Community Development Division, complete release of all liens for work completed arising out of
Contractor's pertormance ar a �eceipt in full covering al! labar and materials for which a lien could be filed or a
bond satisfactory to the Owner indemnifying him against any lien. All notice to owners must have a release of
lien for final payment. �Form Enclosed in Contract).
ARTICLE 18. - PROHIBITION OF KICKBACKS: The Contractor nor any of its officers, partners,
owners, agents, representatives, employees, or parties in interest has in any way colluded, conspired,
connived, or agreed, directly or indirectly with any o#her Bidder, firm, or person to submit a collusive or shall
Bid in connection with the Contractor for which fhe attached Bid has been submitted or to refrain from bidding
in connection with such contract, or has in any rnanner, directly or indirectly, sought by contract or collusion or
communication or conference wi#h any other Bidder, firm, or person to fix any overhead, profit, or cost element
of the Bid price or the Bid price of any other Bidder, or to secure through any collusion, conspiracy,
connivance, or unlawful contract, any advantage against the Pasco County Community Development Division,
or any pe�son interested in the proposed confract; and,
The price or prices quoted are fair and proper and are nof fainted by any collusion, canspiracy,
connivance, or unlawful contract on the part of the Bidder or any of its agents, representatives, owners,

Pasco Courrty, or its designees or agents, no member of the goveming body of the locafity in which the
program is situated, and no other public official of such locality o� focalifies who exercises any functions or
responsibilities with respect to the program during his tenure or for one (1) year thereafter, shall have any
interest, direct or indirect, in any contract or subcontract, or the proceeds thereof, for work to be performed in
connection with the program assisted under the Contract.
ARTICLE 20. - PROH16lTiON OF BONUS OR COMMISSION: The assistance provided under this
Contract shall not be used in payment of any bonus or commission for the purpose of obtaining County
approval of the application for such assistance.
ARTICLE 21. - LOCAL EMPLOYMENT: To the greatest extent possible, the Contractor agrees to hire,
train, and subcontract to individuals and firms that live or are located in Pasco County and the Tampa Bay
Area.
ARTlCLE 22. - MINORITY AND WOMEN BUSINESS ENTERPRtSE: To the greatest extent possible,
the Contractor agrees that he will, if it is necessary, subcontract work to minority- and women-owned
businesses.
ARTICLE 23. — SECTION 3: HUD ACT OF 1968: The Section 3 preference requirement applies to
any contract in excess of$100,000.00. The purpose of Section 3 is to ensure that employment opportuni#ies
generated by HUD financial assistance, shall to the greatesf extent feasEble, be directed to low- and �ery low-
income persons, particularly those who are recipients of govemment assistance for housing and to business
concerns that provide economic opportunities to low- and very low-income persons. If this contract is in
excess of$100,000.00 the fol(owing language is applicable, and shall be included in any subcontracts:
Section 3 Clause: All section 3 contracts shall include the following clause (referred to as the Sectio� 3
Clause}:
23.1 The work to be performed under this contract is subject to the requirements of Section 3 of the
Housing and Urban Development Act of 1968, as amended, 12 U.S.C. 1701u. Section 3
requires that, to the greatest extent feasible, opportunities for training and emplayment be given
lower-income residents of the project area, and contracts for work in connection with the project
f�e awarded to business concerns, which are located in o�owned in substantial part by persons
residing in the area of the project.
23.2 The parties ta this contract agree to comply with HUD's regufations in 24 Part CFR 135, and all
applicable rules and orders of the Department issued thereunder prior fo the execution of this
contract. As evidenced by their execution of this contract, the parties to this contract certify that
they are under no contractual or other impediment, which wou(d prevent them from complying
with the Part '!35 regulations.
23.3 The contractor agrees to send to each Iabor organization or representative of workers with
which the contractor has a colleetive bargaining agreement or other contract or understanding, if
any, a notice advising the fabor organization or workers' representative of the contractor's
commitments under this Section 3 Clause and shall post copies of the notice in conspicuous
places at the work site where both employees and applicants for training and employment
positions can see the notice. The notice shalf describe the Section 3 preference, shail set forth
minimum number and job #itles subject to hi�e, avai[ability of apprenticeship and trai�ing
positions, the qualifications for each; and the name and location of the person(s) taking
applications for each of the positions; and the anticipated date the wo�ic shall begin.
23.4 The contractar agrees to inciude this Section 3 Clause in every subcontract for work in
connection with the project and agrees to take app�opriate action, as provided in an applicable

provision of the subcontract or in this Section 3 Ciause, upon a�nding that the subcontraetor is
in violation of regulations in 24 Part CFR 935. The contractor will not subcontract with any
subcontractor where the contractor has notice or knawledge that the subcontractor has been
found in violation of the regulations in 24 Part CFR 135.
23.5 The contractor will certify that any vacant employmenf positions, including training positions,
that are filled (1) after th� contractor is seiected but before the contract is executed, and (2}with
persons other fhan those to whom the regulations of 24 CFR Part 135 require employment
opportunities to be directed, were no# filled to cfrcumvent the contractor's obligations under 24
CFR Part 135.
23.6 Noncompliance with HUD's regulations in 24 CFR part 135 may �esult in sanctions, termination
of this contract for default, and debarment or suspension from future HUD assisted contracts.
ARTICLE 24. -USE OF DISBARRED CONTRACTORS: The Contractor agrees not to hire, employ, or
award subcontracts to, or otherwise engage#he services of, any subcontractor during any period of debarment,
suspension, or placement in ineligibility status of 24 C.F.R., Part 24. Use of such subcontractors may require
the Contractar to repay the Coun#y any funds paid to such persons and/o� face disbarment from bidding on
future Community Development Division prajects.
ARTICLE 25. - HOLD HARMLESS: The Contractor and Owner covenant and agree to indemnify
Pasco County and all of its o�cers and agents from any and all iiability, claims, a�tions, suits, or demands by
any persfln, firrn, or corporation for injuries, death, or proper�y damage arising aut of or in connection with the
woric to be perFormed by the Contractor.
ARTlC1.E 26. - ADDITtONAL WORK: The Owner agrees nof to have any other Contractor do any
other work on the property during the period of this cvntract. This does not include the Owner doing work on
their own behalf.

� THIS AGREEMENT is entered into this 4 day of November, 2013 by and befinreen the
Pasco County Board of County Commissioners(Community Development Division),
(hereinafter referred to as the"County"), and Covenant Communities. Inc. (hereinafter
referred to as the"Contractor").
THIS AGREEMENT IS ENTERED INTO BASED ON THE FOLLOWING FACTS:
A. WHEREAS, Pasco County has been designated by the United States Department of Housing
and Ur'ban Development as a participating jurisdiction for ti�e receipt and use of funds as provided
by the HOME Investment Partnerships Program {"HOME Program")as provided in 24 CFR Part
92;and
B.WHEREAS, the County has agreed to use the HOME funds to finance a Homeowner program
that meets the requiremen#as set farth in 24 CFR Part 92 as amended by the United States
Housing and Urban Development Department(HUD).
C.WHEREAS, the Contractor has agreed to rehabilitate fhe following property:

NOW,THEREFORE, the County and the Contractor do mutuaily agree as foliows:
(1)Housing Quality Standards.Once rehabilitation is completed, ths property wi(I meet the

property wilf ineet the requirements of its written standards,applicable focal codes, rehabilita#ion
standards, ordinances and zoning ordinances. Homes that are non-conforming but have been
allowed to continue by fhe County or applicable city shall be allowed to participate in the program.
{2) Rehabilitation Work.The work that will be done an the house shatl be in accordance with the
proposal, attached as an exhibit to this agreement. Additionaf work shall be approved by using a
change order form. Change order forms must be signed by the contractor and the Homeowner,
and appraved by the County.

b. Affirmative Marketing. Not applicable due to the Contractor not being a subrecipienf or
state recipient.
c. Environmental Review.The environmental effects shall be assessed in accordance with
the provisions of the National Environmental Policy Act of 1969 (NEPA)and the related
authorities fisted in HUD's implementation regulations at 24 CFR Parts 50 and 58.An
environmental review shall be completed by Pasco County before any funds are obligated.
d. Displacement, Relocation and Acquisition. Not applicable due to the Contracto�not being
a sub recipient or state recipient.
e. Labor. Not applicable due to HOME funds bei�g used to rehabilitate one single family
house.
f. Lead-based paint. If the house was built by and before 1978, a lead based paint
assessment was completed, and that is attached#o this agreement.If fead paint is present
abatemenU and/or removal shafl be part of the proposaf.
g. Coriflict of fnterest. In accordance with 24 CFR Part 92.356, the Contractor certifies that
he/she has not been in a position (as an empioyee, agent, consultant, officer, or an elected
or appointed o�cial of a participating jurisdiction, state recipient, or subreapient which
received HOME funds)to exercise any functions or responsibilities with respect to activities
assisted with HOME funds or has not been in a position to participate in the decision
making process or gain inside information with regard to fhe disbursement of NOME funds.
The County certi�es that it has no knowledge of the Contractor having any canflict.
h. Debarment and Suspension. In accordance with 24 CFR Part 92.357, the Contractor
ce�tifles that he/she is not presently debarred, suspended, proposed for debarment,
declared ineligible, or vofuntarily excluded from participation in receiving any HOME or
other Federal Funds. The County certifies that it shall check on every vendor that it is
associated with this project that it is not presentiy debar�ed,suspended, proposed for
debarment, declared ineligible, or voluntarily excludad from participation in receiving any
HOME or ather Federal Funds.
I. F(ood Insurance. All Federal Emergency Management Agency rules shall be followed
j. Executive Order 12372. Not applicable since fhe HOME funds are not competitive.
(4)Records and Reports.The County agrees to complete al!applicable reports and maintain
documentation in accordance with HUQ guidelines for a period of five years after the loan has
�een peid-off.
(5)Term.The term of this agreement shall be far one year a�ter the fina!building inspection,
which is schedufed for 5/i 8/15.
(fi) Lobbying. The Contractor and the County certify that no Federal appropriated funds
have been paid by or on behalf of it to any person for influencing or attempting to influence an
officer or employee of any agency, a member of Congress, an officer or employee of Congress,
or an employee of a member of Congress in connection with the awa�ding of this or any cantract;
#he making of any Federal grant; the making of any Federal loan; the entering into of any
cooperaNve agreement; and the extension, continuation, renewal, amendment, or modification of
any Federal contract,grant, loan, or cooperative agreement.
