The Owner and Contractor Agree as Set Forth Below:
ARTICLE 1. - CONTRACT SUM: The Owner shall authorize payment to the Contractor for the
pertormance of the construction work, subject to additions and deductions by approved change order, the
Contract Sum of One Hundred Seven Teen Thousand Five Hundred Eighty and 00/100 Dollars ($117,580.00).
The Building to be built on this lot is Corrie Naomi.
ARTICLE 2. - THE WORK AND COMPLETION TIME: The Contractor agrees to furnish all labor,
materials, equipment, permits, licenses, and services for the proper completion of the above-identi�ed property
in accordance with the Bid Documents and Specifications. The Contractor agrees that materials supplied are
guaranteed to be as specified. Atl work shall be satisfactorily completed within One Hundred Fifty (150)
calendar days after the Notice to Proceed is issued. All work shall be completed in a workmanlike manner
according to standard practices. If the workmanship does not comply with the Community Development
Division's

acceptable standards, work deemed to be below standards wi(I be rebid and deducfed from final payment.
This action can prevent the confractor from bidding on any further work or projects. Substantial completion of
the rehab is determined when the job write-up is 100% completed. If the rehab is nat substantially completed
by the due date, the contractor can not submit a bid for new projects. Upon substantial completion, the
contractor has seven (7) days to complete the punch list items and fou�teen (14) days to submit Final Release
of Liens from the cantractors, sub-contractors, the notice to owne�and all construction required documents. If
the contractor does not meet the fourteen (14) days for the Lien Release, he wil! not be able to bid on any new
projects until final paperwork has been submitted. The premises will be unoccupied during the course of
construction.
ARTICLE 3. - TIME OF COMMENCEMENT: No wark shall be commenced by the Contractor until
he/she has received a written Notice to Proceed from the Community Development Division. The Notice to
Proceed will be issued within thirty(30) days from the date ot the Contractor signing#his Contract, or if it is not,
the Contractor has the option of withdrawing his bid and proposal. Work shall begin no later than seven (7)
days after the Notice to Proceed is issued. If work is no# substantially completed within agreed upon time
periad, Contractor will be penalized One Hundred and 00/100 Dollars ($100.00) per day liquidated damages on
new construction and Fifty and 00/100 Dollars ($50.00) par day liquidated damages on rehabilitation projects
for every working day until substantial compfetfon, unless approval for extension has been agreed upon in
writing by Owner, Contractor, and the Community Development Division. This provision is contingent upon
strikes, accidents, Acts of Gad, or other events beyond the control of Pasco County and the Contractor.
ARTICLE 4. - PAYMENT: The Contractor will be paid according to the draw schedule as stated in the
Program Policy Statement for the County's rehabititation program after fhe Community Development Division
conduc#s an inspection certifying that the work has been completed according to the contract. �inal payment
due the Cantractor wi!( be made after the Contractor has fumished the Owner, in care of the Community
Development Division, satisfactory release of liens or claims for liens by subcontractors, labarers, and material
suppliers #or completed work or installed materials. All such releases must be notarized. Paymen#s wilf be
made ir� accordance with Ffarida Statutes, Chapter 218.735-74, Local Govemment Prompt Payment Act
considered due upon receipt by the Clerk of the Circuit Court and paid upon approval by the Board of County
Comrrtissioners. Within thirty (30) days of completion of the contract, the contractor shall submit the request
for final payment a(ong with the required documenta#ion for payment. The County shafl not be responsible fo�
any requests affier the 30 days.
ARTICLE 5. -CONTRACTQR'S INSURANCE: The Contractor shall be responsible for all damages to
person or property that occur on the job site or adjacent thereto as a result of his fauft or negligence in
conrtection with this contract. The Contrar,�or shall, prior to commencing work, fumish evidence of required
comprehensive liability insurance. The Contractor shall also fumish evidence of coverage in accordance with
Florida Workers' Compensation Laws. Cont�actor shall furnish Community Development Division with new,
updated or renewed insurance coverage to continue to bid on projects.
ARTICLE 6. - SUBCONTRACTS: All subcon#ractors shall be bound by the terms and conditions of
this contract insofar as it applies#o their work, but this shall not relieve the Contractor from the responsibility to
the Owner for the proper completion of all work to be executed under this Contract, and he/she shall not be
released from this responsibility by any subcontractual agreement he may make with others. The Contractor
shall be required to furnish to the Owner and Community Development Division in writing, a list of the names of
the subcontractors proposed for the principaf portions of the work at this contract signing. The Contractor shall
not employ any subcontractor to whom the Owner or the Community Development Division may have a
reasonable objection. A current form for listing subcontractors is available on the Community Development
Division website. The notice to proceed will not be issued until the required sub list has been completed for this
contract and submitted to the Community Development Division.

ARTICLE 7. -GEIVERAL RESPONSIBILITIES OF THE CONTRACTOR:
7.1 The Contractor shal! be licensed and supervise and direct the work using his best skiBs
and attention.
7.2 The Contractar shall provide the Owner and Communi#y Development Division with
evidence that he/she has secured and paid for a(I lic�nses and pe�mits necessary fo�the
proper execution of the work; and, upon completion of the job, shall provide evidence
that all work has been inspected and approved by the appropriate buiiding inspectors.
7.3 The Contractor shall not employ on the work any unfit person or anyone not skilled or
licensed, if appropriate, in the task assigned to him.
7.4 The Contractor shal( be responsible for the acts and omissions of all his employees, and
a!1 subcontractors, their agent and employees, and all other persons performing any of
the work.
7.5 The cantractor shal{ seek approval from Community Development Division prior to
substituting any materiais or products deemed "EquaP' to the specific materials or
products listed in the most recent Bid Spec�cations or Work Write-Up.
7.6 The Contractor sha11 not assign this contra�t without written consent of the Owner and
the Community Development Division. Any request for assignment must be addressed
to the Community Development Division.
7.7 The Contractor at al! times shal( keep the premises free ftom accumulation af waste
materials or rubbish caused by this work.
7.8 The Contractor shali permit the Community Development Division to examine and
inspec#the construction worfc under this contract at any reasonable time.
7.9 The Contractor shaA fumish the Owner and the Community Development Division with
the narnes, addresses, and telephone numbers of the firms to be contacted for service to
fhe various app(iances or other equipment that was installed or repaired under this
contract.
7.10 The Contracior shall indemnify and save harmless the Ceunty, its agents and
employees, and the Owner ftom fiability for any injury or damages to persons or praperty
resulting from the Contractor's prosecution of work pursuant to the provisions of this
contract.
7.91 The contractor shall be responsible to submit all requests for payments, change orders,
release of liens, subcontractor iist, etc., on the most current forms obtained from the
Community Development Division website for contractors.
7.12 All products and materiais used in the rehabilitation of Community Development Division
projects shall be made by American manufacturers, if available, and meet the latest
energy and water conservation requirements.

ARTICLE 8. -GENERAL RESPONSIBlLITIES OF THE OWNER:
8.1 The Owner shali permit the Contractor ta use, at no extra cost, existing utifities such as
light, heat, power, and water necessary fo� the proper execution and comp(etion of the
work.
8.2 The Owner and occupants shali cooperate wi#h the Contractor to facilitate the pertor-
mance of the work and are responsible for the removal or protection of rugs, furniture,
and cfothing, if necessary.
8.3 The Owner and occupants shafl be responsible for the proper use and care of the
prope�ty including all equipment and appliances.
8.4 The Owner shall provide the Contractor with access to the property during normal
working hours on normal working days.
ARTICLE 9. -GENERAL RESPONSlBILITIES OF THE COMMUNITY DEVELQPMENT DIVISION:
9.1 The Community Development Division shall. provide general administration of the
contract, but it is understood by alf parties that the County is not a party to this Contract.
9.2 The Community Development Division shall make frequent inspections of the work while
it is in progress to determine if it is proceedirtg in accordance with the contract dflcu-
ments.
� 9.3 The Community Development Division shall have the authority to reject work which does
not conform to the contract documents.
ARTICLE 10. - CONTRACT DOCUMENTS: This contract consists of the Bid Proposal, the Work
Write-Up, incfuding any drawings or pians, the Genera! Bid Specifications, and any insurance policies specified
in Article 5 above.
ARTICLE 11. - CHANGES 1N THE WORK: Except in an emergency endangering life or property, no
change in the work shall be made by the Contractor unless he has received a prior written order signed by the
Owner and authorized representatives of the Communify Development Division. The contract sum and the
contract time may be changed only by Change Order. No extra costs will be paid to the Contractor when he
has neglected to praperty evaluate the extent of the construction work. Change orders need to be in line with
bidding amounts or pricing.
ARTICLE 12. - GUARANTEES AND WARRANTIES: The Contractor shafl guarantee to correct any
wo�k that faifs to conform to the contract documents and shall correct such defects due to faulty materials,
equipment, or workmanship which appear during the progress of fhe work or within a period of one year from
the date of final inspection and acceptance or such longer periods of time as may be specified b� (aw or by
terms of any special guarantees required by the contract documents. The provisions of this Article apply to
work done 6y subcantractors as well as work done by the Contractor. Furthermore, the Contractor shall
furnish the Owner, in care of the Community Development Division, with al! manufacturers' and suppliers'
written guarantees and warranties cavering materials and equipment furnished under the contract. These
documents are to be neatly organized and bound in a file type folder and submitted with the final pay request.
If a warranty item malfunctions or breaks, the Contractor shall contact the Owner within 24 hours to schedule
the �epair o�replacement of the item. The warranty item should be repaired or replaced within seven (7) days.

ARTICLE 13. - TERMINATION OF CONTRACT BY THE OWNER: If the Contractor defaults or
neglects to carry out the work in accordance with the contract documents or faifs to perform any provisions of
the contract, the Community Development Division or#he Owner acting fhrough the Community Devefopment
Division may, after seven (7) days' written notice, terminate this contract and finish the work by whatever
method he deems expedlent. If the unpaid balance of the contract sum exceeds the expense of finishing the
work, such excess shall be paid to the Contractor; but if such expense exceeds such unpaid balance, the
Contractor shall pay the difference to the Owner or the Community Development Division. Failure fo pay the
unpaid balance will result in disbarment from bidding on future Community Development Division projects.
ARTICLE 14. » TERMINATION F CONTRACT BY THE C�NTRACTOR: If the Owner fails to
perform any appficable provisions of the contract, the Contractor may, upon seven (7) days' written notice to
the Owner and the Community Development Division, terminate the contract, and recover from the Owner
payment for alI work satisfactorily completed and all other such remedies as are otherwise specified by law
ARTICLE 15. -GENERAL CQNDITIONS:
15.1 The Work Write-Un shalE take precedence over the basic specification and, when in
conflict, the material, equipment, ar workmanship called for in the "Work Write-Up"will
be required.
15.2 The Drawinas of floor plans are diagrammatic only, illustrating the general intention of
the Owner; they do not show all the work required, exact dimensions, or construction
details.
15.3 The 2010 Bid Snecifications are detailed in a separate booklet available to the Owner
and the Contractor from the Community Development Division.
15.4 Workmanshit� shall be done in accordance with the standard"s of the several trades
knawn as a "workmanlike manner."
15.5 Materials shall be new, in good condition, and of standard grade unless otherwise
agreed in writing before their delivery to the job.
'I5.6 Re airs shall be made by the Contractor to aH surtaces damaged by the Contractor
resulting from his o� his subcontractor's work under this contract at no additionai cost
to the Owner. Where "repair of existing work" is called for by the contract, the feature
is to be placed in "equal to new condition" either by patching or replacement; all
damaged, loose, or rotted parts shall be removed and rep{aced, and the finished work
shail match adjacent work in design and dimension.
15.7 Bids or Proposals will be submitted at Bidder's risk and the Owne� or the Community
Development Division reserves the right to reject any or all bids or proposals. All bids
or proposals are to be typed -not hand written.
15.8 BufldinQ Codes-All work to be done shall be subject to the regulations af local building
codes as interpreted by the applicable Cify or County bullding department/division
whether or not covered by the spec�cations and drawings for the work.
15.9 Cleanun and removal from the site of atl debris and waste materials resulting from his
work shall be the responsibility of the Contractor. Mate�ials and equipment that have
been removed and replaced as part of the work shall belang to the Contractor and
shall be remaved from the site.

15.10 Trade Names are used in the basic specification to establfsh quality and type of
material required; exact material to be used on a speciffc property wi!( be described in
the "Work Write-Up"for#he parEicular property.
15.11 Adiacent Prot�ert_v- When adjacent property is affected ar endangered by any wark
done under this contract, it shall be the responsibility vf the Cantra�tor to take
whatever steps are necessary for fhe protection of the adjacent property and to notify
the Owner thereof of such hazards.
15.12 Pa roll Records of employee's hours worked and wages paid on construction jabs
shall be made available to the Community Development Division, if requested.
15.13 The Use of Lead-Based Paint on appiicable surtaces of any residential structure
undergoing Federally assis#ed constntction or construction under any program with
federal assistance is prohibited. Any surface which contains iead-based paint shall be
considered an immediate health hazard.
15.14 The recognized amount of the contrac# is the Proposal page af the Bid, which is signed
by the Contractor. The prices that are detailed in the work write-up are for infarmation
only.
ARTICLE 16. - ARBITRATIQN: The Contractor and Owner agree, that in cases of apparent
irreconciiable differences arising in connection with contract performance or terms of the contract during the
progress of the construction, to submit the matter to the Community Development Division far binding
arbitration.
ARTICLE 17. - LIEN WAIVERS: Contractor agrees to protec#, defend, and indemnify the Community
Development Division and the Owner from any claims far unpaid work, fabor, or materials with respect to
Contractor's pertormance. Final payment shall no# be due until the Contractor has delivered to the Owner, in
care of Community Development Division, complete release of aIl lisns for work completed a�ising out of
Contractor's performance or a receipt in full cove�ing all labor and materials for which a lien could be filed or a
band satisfactory to the Owner indemnifying him against any lien. All notice to owners must have a release of

ARTlCLE 18. - PROHIBITION OF KiCKBACKS: The Contractor nor any of its offtcers, partnsrs,
owners, agents, representatives, employees, or parties in inte�est has in any way colluded, conspired,
connived, or agreed, directly or indirectly with any other Bidder, firm, or person to submit a collusive or shal(
Bid in connection with the Contractor for which the attached Bid has been submitted or to refrain fram bidding
in conr�ection with such contract, or has in any manner, directly or indirectly, sought by contract or collusion or
communication or conference with any other Bidder, firm, or persan to fix any overhead, profrt, or cost element
of the Bid price or the Bid price of any other Bidder, or to secure through any collusion, conspiracy,
connivance, or unlawful contract, any advan#age against the Pasco County Community Develapment Division,
or any person interested in the proposed contract; and,
The price or prices quoted are fair and proper and are not tainted by any collusion, conspiracy,
connivance, or unlawfu! contract on the part of the Bidder or any of its agents, representatives, owners,
employees, or parties in interest, including this affiant.

ARTICLE 19. - INTEREST OF MEMBERS FFICERS EMPLOYEES OF PUBLIC BODY MEMBERS
OF LOCAL GOVERNING BODY. OR OTHER PUBLtC OFFICIALS: No member, officer, or employee of
Pasco County, or its designees or agents, no member of the governing E�ody of the locality in which the
pragram is situated, and no other public official of such locality or localities who exercises any functions or
responsibilities with respec#to the program during his tenure or far one (1) year thereafter, shall have any
interest, direct or indirect, In any con#ract or subcontract, or the proceeds thereof, for work to be performed in
connection with the program assisted under the Contract.
ARTICLE 20. - PROHIBITION OF BONUS OR COMMtSSION: The assistance provided under this
Contract shaf( not be used in payment of any bonus or commission for the purpose of ob#aining County
approval of the application for such assistance.
ARTICLE 21. -L.00AL EMPLOYMENT: To the greatest extent possible, the Contractor agrees to hi�e,
train, and subcontract to individuals and firms that live or are located in Pasca County and the Tampa Bay
Area.
ARTICLE 22. - MlNORITY AND WOMEN BUSINESS ENTERPRISE: To the greatest extent passible,
the Contractor agrees that he will, if it is necessary, subcontract work to minority- and women-owned
businesses.
ARTICLE 23. — SECTION 3: HUD ACT OF 1968: The Section 3 preference requirement applies to
any contract in excess of $'[00,000.00. The purpose of Section 3 is to ensure that employment opportunities
generated by HUD financial assistance, shal!to the greatest extent feasible, be directed to low- and very low-
income persons, particula�ly those who are recipients of govemment assistance for housing and to business
concems that provide economic opportunities to low- and very low-income pe�sons. If this contracf is in
excess of$100,000.00 the following language is applicable, and shall be included in any subcontracts:
Sec#ion 3 Clause: All section 3 contracts shall include the following clause (referred to as the Section 3
Clause):
23.1 The wark to be performed under this contract is subject to the requirements of Section 3 of the
Housing and Urban Development Act of 1968, as amended, 12 U.S.C. 1701u. Section 3
requires that, to fhe greatest extent feasible, opportunities for tra'tning and employment be given
fower-income residents of the project area, and contrac#s for work in connection with the project
be awarded to business concerns, which are located in or owned in substantiat part by persons
residing in the area of the project.
23.2 The parties #o this contract agree to comply with HUD's �egulations in 24 Part CFR 135, and all
applicable rules and orders of the Department issued thereunder prior to the execution of this
contract. As evidenced by their execution of this contract, the parties to this contract certify that
they are under no contractual or other impediment, which would prevent them from complying
with the Part 135 regulations.
23.3 The contractor agrees to send to each labor organization or representative of workers wifh
which the contractor has a collective bargaining agreement or other cantract or u�derstanding, if
any, a notice advising the labor organization or warkers' representative of the contractor's
commitments under this Section 3 Clause and shall post copies of the notice in conspicuous
places at the work site where both employees and applicants for training and employment
positions can see the notice. The notice shall describe the Section 3 preference, shall set forth
minimum number and job titles subject to hire, availability of apprenticeship and training
positions, the qualifications for each; and the name and iocation of the person(s) taking
applications for each of the positions; and the anticipated date the work shall begin.
23_4 The contractor agrees to include this Sectiort 3 Clause in every subcontract for work in
connection with the project and agrees to take appropriate action, as provided in an applicable

provision of the subcontract or in this Section 3 Cfause, upon a finding that the subcontractor is
in viofation of regufa#ions in 24 Part CFR 135. The contractor will not suhcontract with any
subcontractor where the contractor has notice or knowledge that the subcontractor has been
found in violation of the regulations in 24 Part CFR 135.
23.5 The contractor will ce�tify that any vacant employment positions, including training pc�sitions,
that are filled (1) after the contractor is selected but before the contract is executed, and (2) with
persons other than those to whom the regulations of 24 CFR Part 135 require employment
opportunities to be directed, were not filfed fo circumvent the contractor's obligations under 24
CFR Part 135.
23.6 Noncompliance with HUD's regulations in 24 CFR part 135 may result in sanctions, termination
of this contract for defau(t, and debarment or suspension from future HUD assis#ed contracts.
ARTICLE 24. - USE OF DISBARRED CONTRACTORS: The Contractor agrees not to hire, employ, or
award subcontracts to, or otherwise engage the services of, any subcontractor during any period of debarment,
suspension, or placement in ineligibility status of 24 C.F,R., Part 24. Use of such subcantractors may require
the Contractor to repay the Counfy any funds paid to such persons and/or face disbarment from hidding on
future Community Development Division projects.
ARTICLE 25. - HOLD HARMLESS: The Contractor and Owner covenant and agree to indemnify
Pasco County and all of its officers and agents from any and alf liability, claims, actions, suits, flr demands by
any person, firm, or corporation for injuries, death, or property damage arising out of or in connection with the
work to be performed by the Contractor.
ARTICLE 26. - ADDITIONA� WORK: The Owner agrees not to have any other Contractor do any
other work on the property during the period of this contract. This does nat include the owner doing work on

( THIS AGREEMENT is entered into this 4 day of November. 2013 by and between the
f'asco County Board of County Commissioners(Community Development Division),
(hereinafter referred to as the"County"), and Covenant Communities. lnc. {hereinafter
referred to as the"Contractor").
THlS AGREEMENT IS ENTERED INTO BASED ON THE FOLIOWING FACTS:
A.WHEREAS, Pasco County has been designated by the United States Department of Housing
and Urban Development as a participating jurisdiction for the receipt and use of funds as p�ovided
by the HOME Investment Partnerships Program ("HOME Program")as provided in 24 CFR Part
92; and
B.WFiEREAS, the County has agreed to use the HOME funds to finance a Homeowner program
that meets the requirement as set forth in 24 CFR Part 92 as amended by the United States
Housing and Urban Development Department(HUD).
C.WHEREAS, the Contractor has agreed to rehabilitate the following property:

(1) Housing Quality Standards. Once rehabilitation is completed, the p�operty will meet the
property standards{HQS)as autlined in 24 CFR Part 92.251 and the Counry will ensure that the
property wilf inest the requirements of its written standards, applicable local codes, rehabilitation
standards, ordinances and zoning ordinances. Homes that are non-conforming but have been
allowed to continue by the County or applicable city shall be allowed to participate in the pragram.
(2)Rehabilita#ion Work. The work that will be done on the house sha11 be in accordance with the
proposal, attached as an exhibit to this agreement. Additional work shall be approved by using a
change order form. Change order forms must be signed by the contractor and the Homeowner,
and approved by the County.
It is estimated that the work will be campfeted according to the following schedule:

the provisions of the National Environmental Policy Act of 1969(NEPA) and the related
authorities listed in HUD's implementation�egulations at 24 CFR Parts 50 and 58.An
environmental review shall be completed by Aasco County before any funds are obligated.
d. Displacement, Relocation and Acquisition. Not applicable due to the Contractor not being
a sub recipient or state recipient.
e. Labor. Not applicable due to HOME funcls being used to rehabilitate one single family
house.
f. Lead-based paint. If the house was buift by and before 1978,a lead based paint
assessment was campleted, and that is attached to this agreement.If lead paint is present
abatemenU and/or removal shal! be part of the proposal.
g. Conflict of Interest. In accordance with 24 CFR Part 92.356,the Contractor certiftes that
he/she has not been in a position (as an employee, agent, consultant,off'icer, or an elected
ar appointed official of a participating jurisdic#ion, state recipient, or subrecipient which
received HOME funds)to exercise any functions or responsibilities with respect to activities
assisted with HOME funds or has not been in a position to participate In the decision
making process or gain inside information with regard to the disbursement of HOME funds.
The County certifies that it has no knowledge of the Contractor having any conflict.
h. Debarment and Suspension. In accordance with 24 CFR Part 92.357, the Contractor
certifies that he/she is not presently debarred, suspended, proposed for debarment,
declared inefigible, or voluntarily excluded from participation in receiving any HOME or
other Federal Funds. The Counfy certifies that it shall check on every vendo�that it is
associated with this project that it is not presently debarred, suspended, proposed for
debarment, declared ineligible, or voluntarily excluded from pa�ticipation in receiving any
HOME or other Federal Funds.
I. Fiood Insurance. All Federal Emergency Management Agency rules shall be folfowed
j. Executive Order 12372. Not applicable since the HOME funds are not campetitive.
(4)Records and Reports.The County agrees to complete all applicable reparts and maintain
dacumentation in accordance with HUD guidelines for a period of flve years after the loan has
been paid-off.
(5}Term.The term of this agreement shall be for one year after the final building inspection,
which is scheduled for 5/18/15.
(6j Lobbying. The Contractor and the Couniy certify that no Federaf appropriated funds
have been paid by or on behalf of it to any person for influencing or attempting to influence an
officer or employee af any agency, a membe�of Congress, an officer or employee of Cong�ess,
or an empioyee of a member af Congress in connection with the awarding of thls ar any contract;
the making of any Federal grant; the making of any Federal loan; the entering into of any
cooperative agreement; and the extension, continuation, renewal, amendment, or modiflcation of
any Federal contract, grant, loan, or cooperative agreement.
If any funds other than Federaliy appropriated funds have been paid or will be paid ta any person
for influencing or attempting to influence an o�cer or employee o# any agency, a member of
