ARTICLE 1. - CONTRACT SUM: The Owner shall authorize payment to the Contractor for the
performance of the construction work, subject to additions and deductions by approved change order, the
Contract Sum of One Hundred Six Teen Thousand Five Hundred Eighty and 00/100 Dollars ($116,580.00).
The Building to be built on this lot is Corrie Naomi.
ARTICLE 2. - THE WORK AND COMPLETION TIME: The Contra�tor agrees to furnish all labor,
materials, equipment, permits, licenses, and services for the proper completion of the above-identified property
in accordance with the Bid Documents and Speci�cations. The Contractor agrees that materials supplied are
guaranteed to be as specified. All work shall be satisfactorily completed within One Hundred Fifty (150)
calendar days after the Notice to Proceed is issued. All work shall be completed in a workmanlike manner
according to standard practices. If the workmanship does not comply with the Community Development
Division's

acceptable standards, work deemed to be below standards will be rebid and deducted from finai payment.
This action can prevent the contractor from bidding on any further work or proj�cts. Substantial completion of
the rehab is determined when the job write-up is 100% completed. If the rehab is not substantially completed
by the due date, the contractor can not submit a bid for new projects. Upon substantial completion, the
contractor has seven (7) days to complete the punch list items and fourteen (14) days to submit Final Release
of Liens from the contractors, sub-cantractors, the notice to owner and alf construction required documents. If
the contrac�or does not meet t�e fourteen (14) days for the Lien Release, he wili not be abie to bid on any new
projects until finaE paperwork has been submitted. The premises will be unoccupied during tfte course of
construction.
ARTICLE 3. - TIME OF COMMENCEMENT: No work shall be commenced by the Contractor until
he/she has received a written Notice to Proceed from the Comrnunity Development Division. The Notice to
Proceed will be issued within thirty {30) days from the date of the Contractor signing this Contract, or if it is not,
the Contractor has the option af withdrawing his bid and proposal. Work shall begin no la#er than seven (7)
days after the Notice to Proceed is issued. If wark is not substantiaUy completed within agreed upon time
period, Contractor will be penalized One Hundred and 00/1p0 Dollass ($100.00) per day liquidated damages on
new construction and Fifty and 00/100 Dol[ars {$50.00) per day liquidated damages on rehabifitation projects
for every working day until substantial completion, unless approva! for extension has been agreed upon in
writing by Owner, Contractor, and the Community Development Division. This provision is contingent upon
strikes, accidents,Acts of God, or other events beyond the control of Pasca County and the Contractor.
ARTIClE 4. - PAYMENT: The Contractor will be paid according to the draw schedule as stated in the
Program Policy Statement for the County's rehabilitation program after the Community Development Division
conducts an inspection certifying that the work has been completed accarding to the contract. Final payment
due the Contractor wil! be made after the Contractor has furnished the Owner, in care of the Community
Deve(opment Division, satisfactory release of liens or claims for liens by subcon#ractors, laborers, and materia(
suppliers for completed woric or ins#alled materials. All such releases must be notarized. Payments wilf be
made in accordance with Flarida Statutes, Chapter 218.735-74, Local Government Prompt Payment Act
considered due upon receipt by the Clerk of the Circuit Court and paid upon approval by the Board of County
Commissioners. Within thirty (3p) days of completion of the contract, the contractor shall submit the request
for fina! paymenf along with the required documentation for payment. The County shall not be responsible for
any requests after the 30 days.
ARTICLE 5. - CONTRACTOR'S INSURANCE: The Contractor shall be responsible for all damages to
pe�son or property that occur on the job site or adjacent thereto as a result of his fault or negligence in
connection with this contract. The Contractor shall, priar to commencing work, furnish evidence of required
comprehensive liability insurance. The Contractor shall also furnish evidence of coverage in accordance with
Florida Workers` Compensation Laws. Contractor shal! furnish Community Deve[opment Division with new,
updated or renewed insurance coverage to continue to bid on projects.
ARTICLE 6. - SUBCONTRACTS: All subcontractors shall be bound by the terms and conditions of
this contract insofar as i# applies to their woric, but this shai( nat reiieve the Contractor from the responsibility to
the Owner for the proper completion of all work to be executed under this Confract, and he/she shall nat be
released from this responsibility by any subcontractual agreement he may make with others. The Contrac#or
shall be required to fumish to#he Owner and Community Devefopment Division in writing, a list of the names of
the subcontractors proposec! for the principal portions of the work at this contract signing. The Contractor shall
not employ any subcontractor to whom the Owner or the Commurtity Development Division may have a
reasonable abjection. A current form for listing subcontractors is a�aiiable on the Community Development
Division website. The notice to proceed will not be issued until the required sub fist has been completed for this
contract and submitted to the Community Development Division.

ARTICLE 7. -GENERAL RESPONSIBILITIES OF THE CONTRACTOR:
7.1 The Contractor shall be licensed and supervise and direct the work using his best skills
and attention.
7.2 The Contractor shall provide the Owner and Community Deve(opment Division with
evidence that he/she has secured and paid for all licenses and permits necessary for the
proper execution of the work; and, upon completion of the job, shall provide evidence
that all work has been inspected and approved by the appropriate building inspectors.
7.3 The Contractor shall not employ on the work any unfit person or anyone not skilled or
licensed, if appropriate, in #he task assigned to him.
?.4 The Contractor shall be responsible for the acts and omissions of al! his employees, and
all subcontractors, their agent and employees, and all other persons perForming any of
#he work.
7.5 The contractor shall seek approval from Community Development Division prior to
substituting any materials or products deemed "EquaP' to the specific materials or
products listed in the most recent Bid Spec�cations or Wark Write-Up.
7.6 The Contractor shall not assign this contract wi#hout written consent of the Owner and
the Community Development Division. Any request for assignment must be addressed
to the Community Development Division.
7.7 The Contractor at all times shaU keep the premises free from accumulation af waste
materials or rubbish caused by this worlc.
7.8 The Contracfor shal! permit #he Communi#y Develapment Division to examine and
inspect the construction work under this contract at any reasonable time_
7.9 The Contractor shall furnish the Owner and the Community Development Division with
the names, addresses, and telephone numbers of the firms to be contac#ed far service to
the various appliances or other equiprnent that was installed or repaired under this
contract.
7.10 The Contractor shall indemnify and save harmless the County, its agents and
employees, and the Owner from liability far any injury or damages to persons or property
resuiting from the Contractar's prosecu#ion of work pursuant to the provisions of this
contract.
7.11 The contractor shall be responsible to submit all requests for payments, change orders,
release of liens, subcontractor list, etc., on the most current forms obtained from the
Community Development Division website for contractors.
7.12 AI! products and materials used in the rehabilitation of Community Development Division
projects shall be made by American manufac#urers, if availabte, and meet the latest
energy and water canservation requirements.

8.1 The Owner shall permit the Contractor to us$, at no extra cost, existing utilities such as
light, heat, power, and water necessary for the proper execution and completion of the
work.
8.2 The Owner and occupants shaN cooperate with the Contractor to facilitate the pertor-
mance of the work and are responsible for the removal or protection of rugs, fumiture,
and clothing, if necessary.
8.3 The Owner and occupants shall be responsible for the proper use and care of the
property including all equipment and appliances.
8.4 The Owner shall provide the Contractor with access to the property during normal
working hours on normal working days.
ARTtCLE 9. -GENERAL RESPONSiBII.ITIES OF THE COMMUNITY DEVELOPMENT DIVIStON:
9.1 The Community Development Division sha[I provide general administration of the
contract, but it is understoad by afl parties that the County is not a party to#his Contract.
9.2 The Community Deveiopment Division shall make frequent inspections of the work while
it is in progress to de#ermine if it is proceeding in accordance with the contract docu-
ments.
9.3 The Community Development Division shall have the authority to reject work which does
not conform to the contract documents.
ARTICLE '!0. - CONTRACT DOCUMENTS: This contract consists of the Bid Proposal, the Wark
Write-Up, including any draw'rngs or plans, the Genera! Bid Specifications, and any insurance policies specifisd
in Article 5 above.
ARTlCLE 91. - CHANGES IN THE WORK: Except in an emergency endangering life or property, no
change in the work shall be made by the Contractor unless he has received a prior written order signed by the
Uwner and authorized representa#ives of the Community Development Division. The contract sum and the
contract time may be changed only by Change Order. No extra costs will be paid to the Contractor when he
has neglected to properly evaivate the extent of the canstruction work. Change orders need to be in line with
bidding amounts or pricing.
ARTICLE 12. - GUARANTEES AND WARRANTIES: The Contractor shall guarantee to correct any
work that fails to conform to the contract documents and shall correct such defects due to faulty materials,
equipmen#, or woricmanship which appear during the progress of the work o�within a period of one year from
the date of finaE inspection and acceptance or such longer periods of time as may be specified by law or by
terms of any speciai guarantees required by the contract documents. The provisions of this Article apply to
wark done by subcontractors as well as work done by the Contractor. Furthermore, the Contractor shall
fumish the Owner, in care of the Community Development Division, with all manufacturers' and supptiers'
written guarantees and warranties covering materials and equipment furnished under the contract. These
documents are to be neatly organized and bound in a file type folder and submitted with the finai pay request.
If a warranty item malfunctions or breaks, the Contractor shall contaot the Owner within 24 hours to schedule
the repair or replacement of the item. The warranty i#em should be repaired or replaced within seven (7) days.

ARTICLE 13. - TERMINATION OF CONTRACT BY THE OWNER: �f the Contractor defaults or
neglects to carry out the work in accordance with the contract documents or fails to pertorm any provisions of
the contract, the Community Development Division or the Owner acting thraugh the Comrnunity Devefopment
Division may, after seven (7) days' written notice, terminate this contract and finish the woric by whatever
method he deems expedient. If the unpaid balance of the contract sum exceeds the expense of finishing the
work, such excess shall be paid to the Contrac#or; but if such expense sxceeds such unpaid balance, the
Contractor shall pay the difference to the Owner or the Community Development Division. Failure to pay the
unpaid balance will resu(t in disbarment from bidding on future Community Development Division projects.
ARTICLE 14. - TERMINATION OF CQNTRACT BY THE CONTRACTOR: !f the Owner fails to
pertorm any applicable provisions of the contract, the Contractor may, upon seven (7) days' written notice to
the Owner and the Community �evelopment Division, terminate the con#ract, and recover from the Owner
payment for a!I wark satisfactorily completed and all other such remedies as are otherwise specified by law
ARTICLE 15. -GENERAL CONDlTIONS:
15.1 The Wark Write-Up shall take precedence over the basic specification and, when in
confiict, the material, equipmen#, or workmanship called for in the "Work Write-Up" will
be required.
15.2 The �rawinas of f(oor plans are diagrammatic only, illusfrating the general intention of
the Owner; they do not show all the work required, exact dimensions, or construction
details.
15.3 The 2010 Bid S ecifications are detailed in a separate booklet available to the Owner
and the Contra�tor from the Communi#y Development Division.
15.4 Wor[cmanshia shall be done in accordance with the standards of the several trades
known as a "workman(ike manner."
15.5 Materials shall be new, in good condition, and of standard grade unless otherwise
agreed in writing before their delivery to the job.
15.6 Repairs shall be made by the Contractor to ali surFaces damaged by the Contractor
resulting from his or his subcontractor's work under this contract at rto additional cost
to the Owner. Where "repair of existing work" is called for by the contract, the feature
is to be piaced in "equal to new condition" either by pa#ching or replacement; aif
damaged, loose, or rotted parts shall be remaved and replaced, and the finished work
shall match adjacent work in design and dimension.
15.7 Bids ar Proposals will be submitted at Bidder's risk and the Owner or the Community
Development Division reserves the right to reject any or all bids ar proposals. All bids
or proposals are to be typed -nof hand written.
15.8 Buildinca Codes -All work to be done shall be subject to the regulations of local building
codes as interpreted by the applicable City or Counry buifding department/division
whether or no# covered by#he specifications and drawings for the work.
15.9 Cieanua and remova! from the site of all debris and waste materials resulting from his
work shall be the responsibility of the Contractor. Materiais and equipment that have
been removed and replaced as part of the work shall belong to the Contractor and
shafl be removed from the site.

15.10 Trade Names are used in the basic specification to establish quality and type of
material required; exact material to be used on a specific property wiil be described in
the "Work Write-Up"for the particular property.
15.11 Adiacenfi Propertv - When adjacent property is affected or endangered by any work
done under this contract, it shal! be the responsibility of the Contractor to take
whatever steps are necessary for the protection of the adjacent praperty and to notify
the Owner thereof of such hazards.
15.12 Pavrall Records of employee`s hours worked and wages paid on construction jobs
shall be made available to the Community Development Division, if requested.
15.93 The Use of Lead-Based Paint on applicable surtaces of any residentiaf structure
undergoing Federa(ly assisted constructian or construction under any program with
federa! assistance is prohibited. Any surface which canfains lead-based paint shall be
considered an immediate health hazard.
15.14 The recognized amount of the contract is the Proposal page of the Bid, which is signed
by the Contractor. The prices that are detailed in the work write-up are for information
on(y.
ARTICLE 16. - ARBITRATION: The Contraotor and Owner agree, that in cases of apparent
irreconcilable differences arising in connection with contract pe�Formance or terms of the contract during the
progress of the construction, to submit the matter to the Community Development Division for binding
arbitration.
ARTICLE 17. - L1EN WAIVERS: Contractor agrees to protect, defend, and indemnify the Community
Development Division and the Owner from any claims for unpaid work, labor, or materials with respect to
Contractor's perFormance. Fina! payment shall not be due until the Contractor has delivered to the Owner, in
care of Community Developmenf DEVision, complete release of al[ liens for woric comp(eted arising out of
Contractor's perFormance or a receipt in full covering a!1 labor and materials for which a lien could be filed or a
bond satisfactory to the Owner indemnifying him against any lien. All notice to owners must have a refease of
lien for frnal paymenf. (Form Enclosed in Contract).
ARTICLE 18. - PROHIBITION OF KICKBACKS: The Contractor nor any of its officers, partners,
owners, agents, representatives, employees, or parties in interest has in any way colluded, conspired,
connived, or agreed, clirectly or indirectly with any other Bidder, ftrm, or person to submit a collusive or shall
Bid in connection with the Contractor for which the attached Bid has been submitted or to refrain from bidding
in connection with such contract, or has in any manner, directiy or indirectly, sought by contract or collusion or
communication or conference with any other Bidder, fiRn, or person to fix any overhead, profit, or cost element
of the Bid price or the Bid price of any other Bidder, or to secure through arty collusion, conspiracy,
connivance, or unlawful contract, any advantage against the Pasco County Community Deveiapment Division,
or any person interested in the proposed contract; and,
The price or prices quoted are fair and proper and are not tainted by any collusion, canspiracy,
connivance, or unlawful contract on the part of the Bidder o� any of its agents, representatives, owners,
employees, or parties in interes#, including this affiant.

Pasco County, or its designees or agen#s, na member of the governing body of the Iocality in which the
program is situated, and no other public official of such locality or localities who exercises any functions or
responsibilities with respect to the program during his tenure or for one {1) year thereafter, shall have any
interest, direct or indirect, in any contract or subcontract, or#he proceeds thereof, for wark to be performed in
connection with the program assisted under the Contract.
ARTICLE 20. - PROHIBITtON OF BONUS OR COMMISSiON: The assistance provided under this
Contrac# shal! not be used in payment of any bonus or commission for the purpose of obtaining County
approval of the applicatian for such assistance.
ARTlCLE 21. -LOCAL EMPLOYMENT: To the greatest extent possible, the Contractor agrees to hire,
train, and subcontract to individuals and itrms that live or are located in Pasco County and the Tampa Bay
Area.
ARTICLE 22. - MINORITY AND WOMEN BUSlNESS ENTERPRISE: To the greatest extent possible,
the Contractor agrees that he will, if it is necessary, subcontract wark to minority- and women-owned
businesses.
ARTlCLE 23. -- SECTION 3: HUD ACT OF 1968: The Section 3 preference requirement applies to
any contract in excess of$100,OOQ.QO. The purpose of Section 3 is to ensure that employment opportunities
genera#ed by HUD financial assistance, shall to the greatest extent feasible, be directed to low- and very low-
incame persons, particularly those who are recipients of government assistance for housing and to business
concerns that provide economic opportunities to low- and very fow-income persans. If this contract Es in

they are under no contractual or other impedimen#, which would prevent them from complying
with the Part 135 regulations.
23.3 The contractor agrees ta send to each labor organization or representative of workers with
which the contractor has a callective bargaining agreement or other contract or understanding, if
any, a notice advising the labor organization or workers' representative of the contractor's
commitments under this Secfion 3 Clause and shall post copies of the notice in conspicuous
places at the work site where both employees and applicants for training and employment
positions can see the notice. The notice shall describe the Section 3 preference, shalf set forth
minimum number and job ti#les subject to hire, availability of apprenticeship and training
positions, the qualifications for each; and the name and location of the person(s) taking
applications for each of the positians; and the anticipated date the work shall begin.
23.4 The contractor agrees to inclucle this Section 3 Clause in every subcontract for work in
connection with the project and agrees to take appropriate ac#ion, as provided in an applicable

� provision of the subcontract or in this Section 3 Ciause, upon a finding that the subcontractor is
in violation of regulations in 24 Part CFR 135. The contractor will not subcontract with any

23.5 The contractor will certify that any vacant employment positions, including training positions,
that are�Iled {1) after the contractor is selected but before the contract is executed, and {2) with
persons ather than those to whom the regutations of 24 CFR Part 135 require employment
opportunities to be directed, were not fiNed to circumvent the contracto�'s obligations under 24
CFR Part 135.
23.6 Noncompliance with HUD's regulations in 24 CFR part 135 may result in sanctions, termination
of#his contract for defau{t, and debarment ar suspension from future HUD assisted contracts.
ARTICLE 24. - USE OF DISBARRED CONTRACTORS: The Contractor agrees not to hire, employ, or
award subcontracts to, or otherwise engage the services of, any subcontractor during any period of debarment,
suspension, or placement in ineligibility status af 24 C.F.R., Part 24. Use of such subcontractors may require
the Con#ractor to repay the County any funds paid to such persons and/or face disbarment from bidding on
future Community Developrnen#Division projects.
ARTtCLE 25. - HOLD HARMLESS: The Contractor and Owner covenant and agree to indemnify
Pasco County and al1 of its officers and agents from any and aIl liability, claims, actions, suits, or demands by
any person, firm, or corporation for injuries, death, or property damage arising out of or in connection with the
work to be pertormed by the Contractor.
ARTICLE 26. - ADDITIONAL WORK: The Owner agrees not to have any other Contractor do any

� THIS AGREEMENT is entered into this 4 day of November, 2013 by and between the
Pasco County Board of Caunty Commissioners{Community Development Division),
(hereinafter referred to as the"County"), and Covenant Communities. Inc. (hereinafter
referred to as the "Contractor").
THIS AGR�EMENT IS ENTERED INTO BASED ON TWE FOLLOW#NG FACTS:
A. WHEREAS, Pasco County has been designated by the United States Department of Housing
and Urban Development as a participating jurisdiction for the receipt and use of funds as provided
by the HOME Investment Partnerships Program ("HOME Program"}as provided in 24 CFR Part
92; and
B.WHEREAS, the County has agreed to use the HOME funds to�inance a Homeowner program
that meets the requirement as set forth in 24 CFR Part 92 as amended by the United States
Housing and Urban Development Deparfinent{HUD).
C.WHEREAS, the Contractor has agreed to rehabilitate the following property:

NOW,THEREFORE, the County and the Contractor do mutually agree as fo(lows:
(1) Housing Quality Standards.Once rehabilitation is completed, the property will meet the
property standards{HQS) as outlined in 24 CFR Part 92.251 and the County will ensure that the
property will meet the requirements of its written standards, applicable local codes, rehabilitation
standards, ordinances and zoning ordinances. Homes that are non-conforming but have been
allowed to continue by the County or applicable city shall be allowed to participate in the program.
(2) RehabillEation Work. The work that wilf be done on the house shall be in accordance with the
prop�sal, attached as-an exhibi#to this agreement. Additional work shall be approved by using a
change order form. Change order forms must be signed by the contractor and the Homeowner,
and approved by the County.
It is estimated that the work wilf be compfeted according to the following schedule:

c. Environmental Review. The environmental effects shall be assessed in accardance with
the provisions of the Nationa! Environmental Policy Act of 1969{NEPA) and the related
authorities fisted in FiUD's implementation regulations at 24 CFR Parts 50 and 58.An
environmental review shall be compieted by Pasco Couniy before any funds are obligated.
d. Displacement, Relocation and Acquisition. Not applicable due to the Contractor nat being
a sub recipient or state recipien#.
e. Labor. Not applicable due to HOME funds being used to rehabilitate one single family
house.
f. Lead-based paint. It the house was built by and before 1978, a lead based paint
assessment was completed, and tha#is attached to this agreemeRt.If lead paint is present
abatemenb and/or removal shafl be part of the proposal.
g. Con#�ict of Interest. in accordance with 24 CFR Part 92.356, the Contractor certi�ies that
he/she has not been in a position (as an employee, agent, consultant, officer, ar an elected
or appointed off�icial of a participating jurisdiction, state recipient, or subrecipient which
received HOME funds)to exercise any functions or responsibilities with respect to activifies
assisted with HOME funds or has not been in a position to participate in the decision
making process or gain inside information with regard to the disbursement of HOME funds.
The County certifres that it has no knowfedge of the Contractor having any conftict.
h. Debarment and Suspension. In accordance with 24 CFR Part 92.357, the Contractor
certifies that he/she is not p�esently debarred, sus�ended, proposed fo�debarment,
declared ineligible, or voluntarily excluded from participation in receiving any HOME or
other Federal Funds. The County certifles that it shall check on every vendor that it is
associated with #his project that it is not presently debarred, suspended, proposed for
debarrrtent, declared ineligible, or voluntarily excluded f�om participation in receiving any
HOME or other Federal Funds.
I. Flood Insurance. Alf Federal Emergency Management Agency rules shail be follawed
j. Executive Order 12372. Not applicable since the HOME funds are no#competitive.
(4)Records and Reports.The County agrees to complete all applicable reports and maintain
documentation in accordance with NUD guidefines for a periad of five years after the loan has
been paid-off.
(5j Term.The term of this agreement shall be for one year after the ftnal building inspecbon,
which is scheduled far 5/18/15.
(6) Lobbying. The Contrac#or and the County certify that no Federal appropriated funds
have been paid by or on behaff of it to any person for influencing or attempting to influence an
office� or employee of any agency, a member of Congress, an o�cer or employee of Congress,
or an employee of a member of Congress in connection with the awarding of tiiis or any contract;
the making of any Federal grant; the making of any Federal foan; the entering into of any
cooperative agreement; and the extension, continuation, renewal, amendment, or modifcation of
any �'ederal contract, grant, loan, or cooperafive agreement.
If any funds other than Federally appropriated funds have been paid or will be paid to any person
for influencing or attempting to influence an officer o� employee of any agency, a member of
Congress, an officer or emploj+ee of Congress, or an employee of a member of Congress in
