The Owner and Contractor Agree as Set Forth Below:
ARTICLE 1. - CONTRACT SUM: The Owner shall authorize payment to the Contractor for the
performance of the construction work, subject to additions and deductions by approved change order, the
Contract Sum of One Hundred Six Teen Thousand Five Hundred Eighty and 00/100 Oollars ($116,580.00).
The Building to be built on this lot is Corrie Naomi.
ARTICLE 2. - THE WORK AND COMPLETION TIME: The Contractor agrees to furnish all labor,
materials, equipment, permits, licenses, and services for the proper completion of the above-identified property
in accordance with the Bid Documents and Specifications. The Contractor agrees that materials supplied are
guaranteed to be as specified. All work shall be satisfactorily completed within One Hundred Fifty (150)
calendar days after the Notice to Proceed is issued. All work shall be completed in a workmanlike manner
according to standard practices. If the workmanship does not comply with the Community Development
Division's

acceptable standards, work deemed to be below standards will be rebid and deducted from final payment.
This actian can prevent the contractor from bidding on any further work or projects. Substantial completion of
the rehab is determined when the job write-up is 100% completed. If the rehab is not substantially completed
by the due date, the contractor can not submit a bid for new projects. Upon substantial completion, the
contractor has seven (7) days to complete the punch list items and fourteen {14) days to submit Final Release
of Liens from the contractors, sub-contractors, the notice to owner and a!I construction required documents. If
fhe con#ractor does not meet the fourteen (14) days for the Lfen Release, he will not be able to bid on any new
projects until final paperwork has been submitted. The premises will be unoccupied during the course of
construction.
ARTICLE 3. - TIME OF COMMENCEMENT: No work shall be commenced by the Contractor until
he/she has received a written Notice to Proceed from the Community Develapment Division. The Notice to
Proceed will be issued within thirty (30} days from the date of the Cont�actor signing this Contract, or if it is not,
the Contractor has the option of withdrawing his bid and proposal. Work shal[ begin no later than seven (7)
days after the Notice to Proceed is issued. If work is not substantially completed within agreed upon time
period, Cor�tractor will be penalized One Hundred and dQ/100 Dollars {$100.00) per day liquidated damages on
new construction and Fifty and 00/100 Dollars ($50.U0) per day liquidated damages on rehabilifation projects
for every working day until substantiaf completion, unless approval for extension has been agreed upon in
writing by Owner, Contractor, and the Community Development Division. This provision is contingent upon
strikes, accidents,Acts of Gad, or other events beyond the control of Pasco County and the Contractor.
ARTlCLE 4. - PAYMENT: The Contractor will be paid according to the draw schedule as stated in the
Program Policy Statement for fhe County's rehabilitation program after the Community Development Division
condu�ts an inspection certifying that the work has been completed according to the contract. Final payment
due the Contractor will be made after the Contractar has fumished the Owner, in care of the Community
Development Division, satisfactary release of liens or claims for liens by subcontractors, laborers, and materiaf
suppliers for compfeted work or installed materials. All such releases must be notarized. Payments will be
made in accardance with Florida Statutes, Chapter 218.735-74, Local Government Prompt Payment Act
considered due upon receipt by the Clerk af the Circuif Court and paid upon approval by the Board of Counfy
Commissioners. Within thirty (30) clays of completion of the contract, the contractor shall submit the request
for final payment along with the required documentation for payment. The County shall not be responsible for
any requests after the 30 days.
ARTICLE 5. -CONTRACTOR'S INSURANCE: The Contractor shail be responsible for a!I damages to
person or property that occur on the job site or adjacent thereto as a result of his fault or negligence in
connection with this contract. Ths Contractor shall, prior to commencing work, furnish evidence of required
comprehensive liabi(ity insu�ance. The Contractor shalf also furnish evidence of coverage in accordance with
Florida Workers' Compensation �aws. Con#ractor shall fumish Community Development Division with new,
updated or renewed insurance coverage to continue to bid on projects.
ARTICLE 6. - SUBCONTRACTS: All subcontractors sha[t be bound by the terms and conditions of
this contract insofar as it applies to their work, buf this shall not relieve#he Contractor from the responsibility to
the Owne� for the proper completion of all work to be execufed under this Contract, and he/she shall hot be
released from this responsibility by any subcontractual agreement he may make with others. The Contractor
shall be required to furnish to the Owner and Cammunity Development Division in writing, a list of the names of
the subcontractors proposed for the principal portions of the work at this contract signing. The Contraetor shall
not employ any subcontractor to whom the Owner or the Community Development Division may ha�e a
reasonable objection. A current form for listing subcontractors is available on the Community Development
Div�sion website. The notice to proceed wifl not be issued until the required sub list has been completed for this
contract and submitted to the Community Development Division.

ARTICLE 7. -GENERAL RESPONSIBILITlES OF THE CONTRACTOR:
7.1 The Con#ractor shall be licensed and supervise and direct the work using his best skills
and attention.
7.2 The Contractor shall provide the Owner and Comrnunity Development Division with
evidence that helshe has secured and paid for,all licenses and permits necessary for the
proper execution of the work; and, upon completion of the job, shall provide evidence
that all work has been inspected and approved by the appropriate building inspectors.
7.3 The Contractor shall not employ on the work any unfit person or anyone not skilled or *
licensed, if appropriate, in the#ask assigned to him.
7.4 The Contractor shall be responsible for the acts and omissions of all his employees, and
all subcontractors, their agent and employees, and alf other persons performing any of
the work.
7.5 The contractor shall seek approval from Community Development Division prior to
substituting any materials or products deemed "Equar' to the specific materials or
products lisfed in the most recent Bid Specifications or Work Write-Up.
7.6 The Contractor shall not assign this contract without written consent of the Owner and
the Community Development Division. Any request for assignment must be addressed
to the Community Development Division.
7.7 The Contractor at all times shall keep the premises free from accumulation of waste
materials or rubbish caused by this work.
7.8 The Con#ractor shaA permit the Community Development Division to examine and
inspect the construction work under this contract at any reasonable time.
7.9 The Contractor shall fumish the Owner and the Community Developmen# Division with
the names, add�esses, and telephone numbers of the firms to be contacted for service to
the various appliances or other equipment that was installed or repaired under this
contract.
7.10 The Contractor shall indemnify and save harm(ess the County, its agents and
employees, and the Owner from liability for any injury or damages to persons or property
resulting from the Contractor's prosecution of work pursuant to the provisions of this
contract.
7.11 The contractor shall be responsible to submit all requests for payments, change orders,
release of liens, subcontractor list, etc., on the most current forms obtained from the
Community Developmen# Division website for contractors.
7.12 All products and materials used in the rehabilitation of Community Development Division
projects shall be made by American manufacturers, if available, and meet the latest
energy and water conservation requirements.

ARTICLE 8. -GENERAL RESPONSIBILITlES OF THE OWNER:
8.9 The Owner shafl pe�rnit the Contractor to use, at no extra cost, existing utilities such as
ligh#, heat, power, and water necessary for the proper execution and completion of the
work.
8.2 The Owne� and occupants shal! cooperate with the Contractor to facilitate the perfor-
mance of the work and are responsible fo� the removal or protectian of rugs, furniture,
and clo#hing, if necessary.
8.3 The Owner and occupants shall be responsible for the proper use and care of the
property inciuding all equipment and appliances.
8.4 The Owner shali provide the Contractor with access to the property during normal
working hours on normal working days.
ARTICLE 9. -GENERAL RESPONSIBlLITIES OF THE COMMUNITY DEVELOPMENT D[VISION:
9.1 The Community Development Division shall provide general administration of the
contract, but it is understood by all parties that the County is not a party to this Contract.
9.2 The Community Development Division shall make frequenf inspections of the work while
it is in progress to determine if it is proceeding in accordance with the cont�act docu-
ments.
9.3 The Community Development Division shall have#he authority to reject work which does
not conform to the contract documents.
ARTICLE 10. - CONTRACT DOCUMENTS: This contract consists of the Bid Proposal, the Work
Write-Up, including any drawings or plans, the Genera! Bid Speci�cations, and any insurance policies specified
in Article 5 above.
ARTICLE 11. - CHANGES IN THE WORK: Except in an emergency endangering life or praperty, no
change in the work shal! be rr�ade by the Contractor unless he has received a prior written order signed by the
Owner and authorized representatives of the Community Development Division, The contract sum and the
contract time rr�ay be changed only by Change Order. No extra costs wili be paid to the Contractor when he
has neglected to properly evaivate the extent of the construction work. Change orders need to be in line w+th
bidding amounts or pricing.
ARTICI.E 12. - GUARANTEES AND WARRANTIES: The Contractor shall guarantee to correct any
work that fails to conform to the contract documents and shall correct such defects due to faulty materials,
equipment, or workmanship which appear during the progress of the work or within a period of one year from
the date of final inspection and acceptance or such longer periods of time as may be speci�ed by law or by
terms of any special guarantees required by the contract documents. The provisions of this Article apply to
work done by subcontractors as well as work done by the Contractor. Furthermore, the Contractor shall
fumish the Owner, in care of the Community Development Division, with afl manufacturers' and suppliers'
written guarantees and warranties covering materials and equipment fumished under the contract. These
documents are to be neatly organized and bound in a �le type folder and submitted with #he frnal pay request.
If a warranty item malfunctions or breaks, the Contractor shall contact the Owner within 24 hours to schedule
the repair or replacement of the item. The warranty item should be repaired or replaced wifhin seven (7}days.

ARTlCLE 13. - TERMINATlON OF CONTRACT BY TH� OWNER: If the Contractor defaults or
neglects to caRy out#he work in accordance with the contract documents or faiis to perform any provisions of
the contract, the Community Development Division or the Owner acting through the Community Development
Division may, after seven (7) days' written notice, ferminate this contract and finish the work by whatever
method he deems expedient. If the unpaid balance of the contract sum exceeds the expense of finishing the
work, such excess shall be paid to the Contractor; but if such expense exceeds such unpaid balance, the
Contractor shall pay the difference to the Owner or the Community Development Division. Failure to pay the
unpaid balance will result in disbarment from bidding on future Community Deveiopment Division projects.
ARTtCLE 14. - TERMINATION OF CONTRACT BY THE CONTRACTOR: If the Owner fails to
perform any applicable provisions of the contract, fhe Contractor may, upon seven (7} days' written notice to
the Owner and the Community Devefopmenf Division, terminate the contract, and recover from the Owner
payment for all worK satisfactori(y completed and alI other such remedies as are otherwise specified by►aw
ARTICLE 15. -GENERAL CONDITIONS:
15.1 The Work Write-U shall take precedence over the basic specification and, when in
cflnfiict, the material, equipment, or workmanship called for in the "Work Write-Up"will
be required.
15.2 The Drawinc�s of floor plans are diagrammatic only, iflustrating the general intention of
the Owner; they do not show all the work required, exact dimenslans, or construction
details.
15.3 The 2010 Bid Specifications are detailed in a separate booklet available ta the Owner
and the Contractor from the Community Developmen#Division.
15.4 Workmanship shall be done in accordance with the standards of the several trades
known as a"workmanlike manner."
15.5 Materials shall be new, in good condition, and af standard grade unless otherwise
ag�eed in wrifing before their de(ivery to the job.
15.6 Re airs shall be made by the Contractar to all surtaces damaged by the Contractor
resulting from his or his subcontractor's work under this contract at no additional cost
to the Owner. Where "repair of exis#ing work" is ca[led fo� by the contract, the feature
is to be placed in "equaf to new condi#ion" either by patching or replacement; aff
damaged, loose, or rotted parts shall be removed and replaced, and the finished work
shall match adjacent wo�k in design and dimension.
15.7 Bids or Pronosals will be submitted at Bidder's risk and the Owner or the Community
Development Division reserves the right to reject any or all bids or proposals. All bids
or proposals are to be typed -not hand written.
15.8 Buildinca Codes -AI! work to be done shall be subject to the regulations of local building
codes as interpreted by the applicable City or County building department/division
whether or not covered by the speciftcations and drawings for the work.
15.9 Cleanua and removal from the site of all debris and waste materials resulting from his
work shalf be the responsibility of the Contractor. Materials and equipment that have
been removed and replaced as part of the work shalf belong to the Contra�tor and
shall be removed from the site.

15.10 Trade Names are used in the basic specification to establish quality and type of
ma#erial required; exact material to be used on a specific property will be described in
the "Work Write-Up"for the particular property.
15.19 Adjacent Pro�ertv- When adjacent property is affected or endangered by any work
done under this contract, it shall be the responsibility of the Contractor to take
wnatever steps are necessary for the protection of the adjacent property and to notify
the Owner thereof of such hazards.
15.12 Pavrofl Records of employee's hours worked and wages paid on construction jobs
shall be made available to the Community Development Division, if requested.
15.13 The Use of Lead-Based Paint on applicable surtaces of any residential structure
undergoing Federaily assisted construction or construction under any program wi#h
federal assistance is prohibited. Any surface which contains lead-based paint shall be
considered an immediate health hazard.
15.14 The recognized amount of the contract is the Proposal page of the Bid, which is signed
by the Contractor. The prices that are detailed in the work write-up are for information
only.
ARTICLE 16. - ARBITRATION; The Con#ractor and Owner agree, that in cases of apparent
irrecpncilable differences arising in connection with contracf pertormance or terms af the contract during the
progress of the construction, to submit the mafter to #he Community Development Division fo� binding

ARTlCLE 17. - LIEN WAIVERS: Contractor agrees to protect, defend, and indemnify the Community
Development Division and the Owner frorn any claims for unpaid work, labor, or materials with respect to
Contractar's performance. Final payment shall not be due until the Contractor has delivered to the Owner, in
care of Community Deveiopment Division, complete release of all liens for work completed arising out of
Contractor's performance or a receipt in full covering all iabor and mate�ais for which a lien could be filed or a
bond satisfactory to the Owner indemnifying him against any tien. All notice to owners must have a release of
lien for final payment. {Form Enclosed in Contract).
ARTICLE 18. - PROHIBlTtON OF K[CKBACKS: The Contractor nor any of its officers, partners,
owners, agents, representatives, employees, or parties in interest has in any way colluded, conspired,
connived, or agreed, directly o� indirectly with any other Bidder, firm, or person to submit a collusive or shall
Bid in connectian with the Contractor for which the attached Bid has been submitted or to refrain from bidding
in connection with such contract, or has in any manner, direc#ly or indirectly, sought by contract or collusion or
communication ar conference with any other Bidder, firm, or person t�fix any overhead, profit, or cos#efement
of the Bid price or the Bid price of any other Bidder, or to secure through any callusion, conspiracy,
connivance, or unlawful contract, any advantage agair�st the Pasco County Community Development Division,
or any person interested in the proposed contract; and,
The price or prices quoted are fair and proper and are not tainted by any collusion, conspiracy,
connivance, or unlawful contract on the part of the Bidder or any of its agents, representatives, owners,
employees, or parties in interest, including this affiant.

Pasco County, or i#s designees or agents, no member of the governing body of the iacality in which the
program is situated, and no other public official of such foca(ity or localities who exercises any functions or
responsibilities with respect to the program during his tenure or for one (1) year thereafter, shall have any
interest, direct or indirect, in any contract or subcontrac#, or the proceeds thereof, for wark to be performed in
connecfion with the p�ogram assisted under the Contract.
ARTICLE 20. - PROHIBITION OF BONUS OR COMMtSSION: The assistance provided under this
Contract shal! not be used in payment of any bonus or commission for the purpose of obtaining County
approvai of the appfication for such assistance.
ARTICLE 21. -LOCAL EMPLOYMENT: To the greatest extent possible, the Contractor agrees to hire,
train, and subconfract #o individua(s and firms that live or are located in Pasco County and the Tampa Bay
Area.
ARTICLE 22. - MINORITY AND WOMEN BUSINESS ENTERPRISE: To the greatest extent possible,
the Contractor agrees that he will, if it is necessary, subcontract work to minority- and women-owned
businesses.
ARTICLE 23. — SECTION 3: HUD ACT OF 196$: The Section 3 preference requirement applies to
any contract in excess of $100,Q00.00. The purpose of Section 3 is to ensure that employment opportunities
generated by HUD financial assistance, shall to the greatest extent feasible, be directed to low- and very fow-
income persons, particularly those who are recipienfs of govemment assistance for hausing artd to business
concems that provide economic opportunities to low- and very !ow-income persons. If this contract is in
excess of$100,000.4(3 the following language is applicabie, and shall be included in any subcontracts:
Section 3 Clause: All section 3 contracts shall include the following clause (referred to as the 5ection 3
Clause):
23.9 The work to be perFormed under this contract is subject to the requirements of Section 3 of the
Housing and Urban Development Act of 1968, as amended, 12 U.S.C. 1701u. Section 3
requires that, to the greatest extent feasible, opportunities for training and employment be given
lower-income residents of the project area, and contracts for work in connection with the project
be awarded to business concems, which are iocated in or owned in substantial part by persons
residing fn the area of the project.
23.2 The parties to this contract agree to comply with HUD's regulations in 24 Part C�R 135, and all
applicable rules and orders of the Department issued thereunder prior to the execution of this
contract. As evidenced by their execution of this contract, the parties to this contract certify that
they are under no contractual or other impediment, which would prevent them from complying
with the Part 136 regulations.
23.3 The contractor agrees ta send to each labor organization or representative of workers with
which the contractor has a collective bargaining agreement or other contract or understanding, if
any, a notice advising the labor organization or workers' representative of the contractor's
commitments under this Section 3 Clause and shall post copies of the notice in conspicuous
places at the work site where both employees and applicants for training and employment
positions can see the notice. The notice shall descrii�e the Section 3 preference, shall set forth
minimum number and job titles subject to hire, availability of apprenticeship and training
positions, the qualifications for each; and the name and location of #he person(s) taking
applications for each of the positions; and the anticipated date the work shall begin.
23.4 The contractor agrees to include this Section 3 Clause in every subcont�act for work in
connection with the project and agrees fo take appropriate action, as provided in an applicable

provision of the subcontract or in this Section 3 Clause, upon a finding that the subcontractor is
in violation of regulations in 24 Part CFR 135. The contractor will not subcontract with ahy
subcontrac#or where the contractor has notice or knowledge that the subcontractor has been
found ln violation of the regulations in 24 Part CFR 135.
23.5 The contractor will certify thaf any vacant employment positions, including training positions,
that are filled (1) after the contractor is selected but before the contract ts executed, and (2) with
persons other than those to whom the regulations of 24 CFR Part 135 require employment
opportunities to be directed, were not filled fo circumvent the contractor's obfigations under 24
CFR Part 135. �
23.6 Noncompliance with HUD's regulatioris in 24 CFR part 135 may result in sanctions, termination
of this contract for default, and debarment or suspensian from future HUD assisted contracts.
ARTICLE 24. - USE OF DISBARRED CONTRACTORS: The Contractor agrees not to hire, employ, or
award subcontracts fo, or otherwise engage the services of, any subcontractor during any period of debarm�nt,
suspension, or placement in ineiigibility status of 24 C.F.R., Part 24. Use of such subcontractors may require
the Contractor to repay the County any funds paid ta such persons and/or face disbarment from bidding on
future Cammunity Development Division projects.
ARTfC�E 25. - HOLD HARMLESS: The Contraotor and Owner covenant and agree to indemnify
Pasco County and all of its officers and agertts from any and all liability, claims, actions, suits, or demands by
any pe�son, firm, or corporation for injuries, death, or property damage arising aut of or in connection with the
woric to be pertormed by the Contracfor.
ARTiCLE 26. - ADDITIONAL WORK: The Owner agrees not to have any other Contractor do any
other work on the p�operty during the period of this contract. This does not include the Owner doing work on
their own behalf.

� THiS AGREEMENT is entered into this 4 day of November, 2013 by and between the
Pasco County Board of County Commissioners (Community Deveiopment Division),
(hereinafter refeRed to as the"County"), and Covenant Communities. lnc. (hereinafter
referred to as the"Contractor").
THIS AGREEMENT iS ENTERED INTO BASED ON THE FOLLOWING FACTS:
A. WHEREAS, Pasco County has been designated by the United States Department of Housing
and Urban Development as a participating jurisdiction for the receipt and use of funds as provided
by the HOME Investment Partnerships Program {"HOME Program")as provided in 24 CFR Part
92; and
B.WHEREAS, the County has agreed to use the HOME funds to finance a Homeowner program
that meets the �equirement as set forth in 24 CFR Part 92 as amended by t�e United States
Housing and Urban Development Department(HUD).
C.WHEREAS, the Contractor has agreed to rehabilitate the following property:

NOW,THEREFORE, fhe County and the Contractor do mutually agree as follows:
(1) Housing Quality Standards. Once rehabiiitation is completed, the property will meet the
property standards(HQS)as outlined in 24 CFR Part 92.251 and the County will ensure that the
property will meet the requirements of its written standards, applicable loca!codes, rehabilitation
standards, ordinances and zoning ordinances. Homes that are non-conforming but have been
allowed to continue by the County or applicable city shaH be aflowed to participate in the program.
{2y Rehabilitation Work. The work that will be done on the house shall be in accordance with the
proposal, attached as an exhibit to fhis agreement. Additional work shall be approved by using a
change order form. Change order forms must be signed by the contractor and the Momeowner,
and approved by the County.
It is estimated that the work will be completed according to the following schedule:

b.Affirmative Marketing. Not applicable due to the Contractor not being a subrecipient or
state recipient.
c. Environmental Review. The environmental effects shall be assessed in accordance with
the provisions of the National Environmental Poficy Act of 1869{IVEPA)and the related
authorities Eisted in HUD's implementation regulations at 24 CFR Parts 50 and 58. An
environmental review shall be completed by Pasco County before any funds are obligated.
d. Displacement, Relocation and Acquisition. Not applicable due to the Contractor not being
a sub recipient or state reciplent.
e. Labor. Not applicable due to HOME funds being used to rehabilitate one single family
house.
f. Lead-based paint. If the house was built by and before 1878, a lead based paint
assessment was completed, and that is attached to this agreement.If lead paint is present
abatement/and/or removal shall be part o#the proposa(.
g. Con�iict of Interest. ln accordance with 24 CFR Pa�#92.356, the Coniractor certifies that
he/she has not been in a pasitian (as an employee, agent, consultant,officer, or an elected
or appointed official of a participating jurisdiction, state recipient, or subrecipient which
received HOME funds}to exercise any functions or responsibifities with respect to activities
assisted with HOME funds or has not been in a position to participate in the decision
making process or gain inside information with regard to#he disbursement of HOME funds.
The County certifies that it has no knowledge of the Contractor having any conflict.
h. Debarment and Suspension. In accordance with 24 CFR Part 92.357, the Contractor
certifies that he/she is nat presently debarred, suspended, proposed for debarment,
declared ineligible, or voluntarily exduded from participation in receiving any HOME or
other Federal Funds. The County certifies that it shall check on every vendor that it is
associated with this project that it is not presently debarred, suspended, proposed for
debarment, declared ineligible,or voluntarily excluded from participation in receiving any
HOME or other Federal Funds.
[. Flood Insurance. All Federal Emergency Management Agency rules shall be followed
j. Executive Order 12372. Not applicable since the HOME funds are not campetitive.
(4) Recwds and Reports.The County agrees to complete alf applicable reports and maintain
documentation in accoMance with HUD guidelines for a period of five years afte�the loan has
been paid-off. �
(5)Term.The term of#his agreement shall be for one year after the final buifding inspection,
which is scheduled for 5/18/15.
(6) Lobbying. The Contractor and the County certify that no Federal appropriated funds
have been paid by or on behalf oT it to any person for influencing or attempting to influence an
officer or employee of any agency, a member of Congress, an o�cer or employee of Congress,
or an employee of a rnember of Congress in connection with the awarding of this or any cantract;
the making of any Federal grant; the making of any Federal loan; the entering inta af any
cooperative agreement; and the extensian, continuation, renewal, amendment, or modification of
any Federal contract, grant, loan, or cooperative agreement.
If any funds other than Federaily appropriated funds have been paid or will be paid to any person
for influencing or attempting to influence an officer or employee of any agency, a member of
