that Transportation Impact Fees and Recourse Recovery Fees may appy to the consUvction of new buildings,change of
use in existing buildings, or expansion of existing buildings, as specified in Pasco County Ordinance number 89-07 and
90-07,as amended. The undersigned also understands,that such fees,as may be due,will be idendfied at the time of

LEASE AGREEMENT
THIS LEASE AGREEMENT ("Lease") made and entered into on t',,C�''�013,
by and between SF ZEPHYR COMMONS LP, a Florida limited partnership ("Landlord"), and HAPPY
COW FRO YO,LLC,a Florida limited liability company("Tenant"). ,
Upon the terms and conditions hereinafter set forth, Landlord leases to Tenant and Tenant leases
from Landlord property refened to as the Premises,all as follows:
1. Basic Lease Information and Defined Terms. The following information and defined terms are
basic to this Lease:
"Commencement Date"means the earlier of the following dates: (i)two hundred ten(210) days
after the date Landlord notifies Tenant the Premises is available to Tenant to commence Tenant's Work,
or(ii)the date Tenant opens for business.
"Common Areas" means all areas situated on or in the Shopping Center which are for use by
tenants of the Shopping Center in common, including certain parking areas, streets, driveways, aisles,
sidewalks, signs and signage, curbs, delivery passages, loading areas, lighting facilities, and all other
areas situated on or in the Shopping Center which are not leased or leaseable to tenants, such as
landscaped areas and drainage and detention areas and facilities. Landlord may, from time to time, alter,
modify or change the layout, size, locations, elevation,nature and/or use of any Common Areas, and may
construct or erect buildings or other structures therein or thereon and move or remove the same.
"Guarantor"means,jointly and severally,Anthony Perez, Connie Rogers,and William Rogers.
"Initial Term" means a period of sixty-six (66) months, commencing on the Commencement
Date and expiring on the last day of the sixty-sixth(66"')month thereafter.
"Landlord" means SF Zephyr Commons LP, whose address is c/o Primerica Group One, Inc.,
3629 Madaca Lane, Tampa, Florida 33618 and c/o Centrecorp Management Services Limited, 2851 John
Street, Suite 1,Markham,Ontario, Canada, L3R SR7.
"Landlord's Broker"means Primerica Group One, inc.
"Lease Year" means successive periods of twelve (12) months each commencing as of the
Commencement Date, provided however, if the Commencement Date is other than the first(1 st)day of a
calendar month,the first(lst)Lease Year shall be extended until the last day of the twelfth(12`�)calendar
month following the Commencement Date.

**The first three (3) months of monthly installments of Minimum Annual Rent and Additional

Rent shall be revoked, and in addition to any other remedies set forth in the Lease, the Free Rent shall
become immediately due and payable to Landlord.
"Operating Expenses" means all costs and expenses incurred, paid or payable by Landlord in
connection with the management, operation, maintenance, repair and replacement of the Shopping Center
and its Common Areas, and include,without limitation and without duplication,the aggregate of:
(a) the total annual costs and expenses of insuring . the Shopping Center,
improvements and other Common Areas in such manner and form,with such companies and such
coverage and in such amounts as Landlord from time to time determines;
(b) cleaning, snow removal, garbage and waste collection and disposal, the costs of
security and supervision, the wages and salaries of on-site management, administration and other
personnel, and/or an equitable allocation of wages and salaries of off-site personnel where they
are employed to perform services for the Shopping Center together with other properties
including benefits, travel and other expenses related thereto, and any associated costs thereof,
parking lot maintenance and repair(including periodic sweeping and restriping), landscaping and
irrigation, and the cost of all Utilities consumed in the operation of the Shopping Center;
(c) the cost of managing and administering the Shopping Center, including any
management fees payable to Landlord's property manager;
(d) all ta�ces and assessments which may be levied or assessed by any lawful
authority against the land or buildings comprising the Shopping Center, or relating to Landlord's
personal property located in the Shopping Center, including, without limitation, assessments for
water, sewer, drainage or other public improvements and other governmental impositions of any
kind or nature, whether general or special, levied, assessed, charged or imposed by any lawful
taxing authority, whether federal, state, county, municipal, school or otherwise, against or upon
the land and improvements of the Shopping Center. Taxes shall also include, without limitation,
any tax or excise on rents, gross receipts ta�c, transaction privilege ta�c or other tax, however
described, which is levied or assessed by any federal, sta.te or local government against Landlord
in respect to the Rent or other charges reserved under this Lease or as a result of Landlord's

EXHIBIT B
WORK LETTER
All terms herein that are defined in the body of the Lease to which this Exhibit is attached the
meanings provided for them in the body of the Lease. T'he Term "Tenant's Work" shall mean any work
performed by Tenant,whether Tenant's Initial Work or work subsequent thereto.
SECTION I. DELIVER OF PREMISES BY LANDLORD
1. Except as may be otherwise specifically set forth in this Lease, Tenant shall take the
Premises in an "as is" condition and all work to be performed at the Premises shall be performed by
Tenant at Tenant's expense.
2. Landlord does not warrant any information Landlord may have furnished or will furnish
Tenant regarding the Premises. It shall be TenanYs responsibility to verify existing field conditions of the
Premises. Tenant's failure to verify the existing conditions of the Premises shall not relieve Tenant of any
expenses or responsibilities resulting from such failure, nor shall Landlord have any liability or
obligations to Tenant arising from such failure.
3. All Work to be performed by Tenant shall be subject to Landlord's advance written
approval and shall be subject to Landlord's criteria which Landlord has or will furnish Tenant.
4. If any of the Landlord Work described above is not already in place, and Tenant wishes
to perform such work, Landlord, at Landlord's option, may agree to Tenant performing the work. Tenant
shall not perform any such work unless it has received prior written consent from Landlord.
SECTION II. TENANT'S WORK
1. Tenant shall be responsible for all work, construction and installation in the Premises.
Tenant's Work shall be at Tenant's sole cost and expense, but subject to application of the Tenant
Improvement Allowance. Prior to commencing Tenant's Work, Tenant shall submit to Landlord, for
Landlord's review and approval,drawings and specifications prepared by a licensed architect approved by
Landlord for Tenant's Work(which approval shall not be unreasonably withheld or delayed), showing all
aspects of such work. Notwithstanding the review and approval by Landlord of Tenant's drawings and
specifications, Landlord shall have no responsibility or liability in regard to the safety, sufficiency,
adequacy or legality thereof and Tenant shall be solely responsible for the compliance of such plans and
specifications (and improvement constructed as a result thereo�with all applicable laws and regulations,
the architectural completeness and sufficiency thereof and other matters relating thereto.
2. Subject to Landlord's approval, and provided Tenant's proposed contractor(s)or
subcontractor(s)meet all of Landlord's requirements, Tenant shall have the right to retain its own
contractor(s)or subcontractor(s)to perform Tenant's Work within the Premises.
3. Tenant shall be responsible for applying for and obtaining all permits required for Tenant
to perform Tenant's Work or to operate within the Premises, including without limitation the fmal
certificate of occupancy or its equivalent, and for obtaining the final fire inspection approval after
installation of its fixtures,furniture and equipment.

4. Tenant shall secure, pay for, and maintain, or cause its contractors and subcontractors to
secure, pay for, and maintain, during the continuance of construction and fixturing work within the
Premises, all of the insurance policies required in the amounts as set forth herein, together with such
insurance as may from time to time be required by city,county, state or federal laws,codes, regulations or
authorities. Tenant shall not commence, nor may it permit its contractors and subcontractors to
commence any work, until all required insurance has been obtained, and, if Landlord requests, until
Tenant's certificates of such insurance have been delivered to Landlord. Tenant's insurance policies shall
name the Landlord and Landlord's Lender(s)as additional insureds. Tenant's certificates of insurance
shall provide that no change or cancellation of such insurance coverage shall be undertaken without thirty
(30)days prior written notice to Landlord. Landlord shall have the right to require Tenant, and Tenant
shall have the duty,to stop work in the Premises immediately if any of the coverage Tenant is required to
carry herein lapses during the course of the work, in which event Tenant's Work may not be resumed
until the required insurance is obtained and satisfactory evidence of same is provided to Landlord.
Tenant shall purchase, or cause to be purchased, General Contractor's and Subcontractor's
Required Minimum Coverages and Limits of Liability as follows:
(i) Worker's Compensation, as required by state law, and Employer's Liability
Insurance with a limit of not less than $2,000,000.00 (or more if required by the law of the
State)and any insurance required by any Employee Benefit Act or similar statute applicable
where the work is to be performed, as will protect the contractor and subcontractors from any and
all liability under the aforementioned act(s)or similar statute.
(ii) Commercial General Liability Insurance (including Contractor's Protective
Liability) in an amount not less than $2,000,000.00 per occurrence whether involving personal
injury liability (or death resulting therefrom)or properly damage liability or a combination
thereof(combined single limit coverage)with a minimum aggregate limit of$2,000,000.00.
Such insurance shall include explosion,collapse and underground coverage. Such insurance shall
insure each party's general contractor against any and all claims for personal injury,death,and damage to
the property of others arising from its operations under its contract, whether such operations are
performed by such party's contractors, subcontractors, or sub-subcontractors, or by anyone directly or
indirectly employed by any of them.
5. All of Tenant's Work shall be completed in accordance with the relevant terms and
conditions of the Lease, including the requirements of Section 7.
6. Landlord agrees to provide an allowance in the amount of $19,800 (the "Tenant
Improvement Allowance"). The Tenant Improvement Allowance shall be paid to Tenant by Landlord
within ten(10)days of the last to occur of the following:
a. Substantial completion of Tenant's Work in the Premises;
b. Issuance of a certificate of occupancy for the Premises;
c. Submission of written evidence satisfactory to Landlord that all of Tenant's Work in the
Premises was completed free of all liens and other encumbrances;and
d. The Commencement Date.

Guaran
This is an absolute and unconditional guaranty of that certain Lease Agreement dated����
���by and between SF ZEPHYR COMMONS LP, a Florida limited partnership ("Landlord"), and
HAPPY COW FRO YO, LLC, a Florida limited liability company ("Tenant"), concerning that certain
premises known as 7936 Gall Boulevard, Zephyr Commons Shopping Center,Zephyrhills,Florida.
FOR VALUE RECEIVED, and in consideration for, and as an inducement to Landlard to enter
into that certain Lease Agreement dated"� , ad� _, 2013 (the "Lease"), the undersigned,
jointly and severally, hereby guarantees to Landlord, its successors and assigns,the payment of all rentals
specified in the Lease and hereunder and all other payments to be made by Tenant under said Lease, and
the full performance and observance by Tenant of all the terms, covenants, conditions and agreements
therein provided to be performed and observed by Tenant for which the undersigned shall be jointly and
severally liable with Tenant, without requiring any notice of nonpayment, nonperformance or
nonobservance, or proof of notice or demand, whereby to charge the undersigned, all of which the
undersigned does hereby expressly waive, and the undersigned expressly agrees that Landlord, its
successors and assigns, may proceed against the undersigned separately or jointly, before, after or
simultaneously with the proceedings against Tenant for default, and that this Guaranty shall not be
terminated, affected or impaired in any way or manner whatsoever by reason of the assertion by Landlord
against Tenant of any of the rights or remedies reserved to Landlord pursuant to the provisions of said
Lease, or by reason of summary or other proceedings against Tenant, or by the omission of Landlord to
enforce any of its rights against Tenant or by reason of any extensions of time or indulgence granted by
Landlord to Tenant. The undersigned further covenants and agrees(i)that the undersigned will be bound
by all of the provisions, terms, conditions, restrictions, and limitations contained in said Lease, the same
as though the undersigned was named therein as Tenant; and (ii)that this Guaranty shall be absolute and
unconditional and shall remain and continue in full force and effect as to any renewal, e�ctension,
amendment, addition, assignment, sublease, transfer or other modification of said Lease, whether or not
the undersigned shall have any knowledge or have been notified of or agreed or consented to any such
renewal, extension, amendment, addition, assignment, sublease, transfer or other modification of said
Lease, and the undersigned agrees to be bound by any and all modifications to the Lease. If Landlord at
any time is compelled to take any action or proceeding in court or otherwise to enforce or compel
compliance with the terms of this Guaranty, the undersigned shall, in addition to any other rights and
remedies to which Landlord may be entitled hereunder or as a matter of law or in equity, be obligated to
pay all costs, including attorneys' fees, incurred or expended by Landlord in connection therewith.
Further, the undersigned hereby covenants and agees to assume said Lease and to perform all of the
terms and conditions thereunder for the balance of the original term should said Lease be disaffirmed by
any Trustee in Bankruptcy for Tenant, or at the option of Landlord,the undersigned shall, in the event of
TenanYs bankruptcy, make and enter into a new lease which shall be in form and substance identical to
said Lease. All obligations and liabilities of the undersigned pursuant to this Guaranty shall be binding
upon the heirs, legal representatives, successors and assigns of the undersigned, and the undersigned, its
heirs, legal representatives, successors and assigns shall remain fully liable under the Lease and this
Guaranty regardless of any merger, corporate reorganization or restructuring involving Tenant regardless
of the resulting organization, structure or ownership of Tenant. This Guaranty shall be governed by and
construed in accordance with the laws of the State of Florida.
THE UNDERSIGNED HEREBY UNCONDITIONALLY CONSENTS AND AGREES
TI3AT ANY LEGAL ACTION BROUGIiT UNDER THIS GUARANTY MAY BE BROUGHT IN
ANY STATE COURT OF THE STATE OF FLORIDA OR IN A FEDERAL UNTI'ED STATES
COURT IN TAMPA, FLORIDA, AND THE UNDERSIGNED HEREBY UNCONDITIONALLY
CONSENTS TO THE JURISDICTION OF SUCH COURTS IN CONNECTION WITH ANY
CAUSE OF ACTION BROUGHT BY OR AGAINST TENANT AND/OR THE UNDERSIGNED
IN ANY WAY DIItECTLY OR INDIRECTLY RELATED TO THE LEASE OR THIS
GUARANTY.
Until all obligations of Tenant under the Lease have been performed, satisfied and paid in full,the
undersigned shall have no right of subrogation, reimbursement or indemnity whatsoever and no right of
recourse to or with respect to any assets or property of Tenant. If Landlord is required to or agrees to
repay any amount received by Landlord on account of any payments, obligations and liabilities of Tenant
to Landlord as a result of a judgment, order or decree of a court of competent jurisdiction or as a result of
a settlement or compromise conceming a claim for repayment by any party to such payments, obligations
and liability, the undersigned shall remain fully liable to Landlord for the amount repaid notwithstanding
the revocation or termination of this Guaranty or the cancellation or termination of the Lease.
This Guaranty may be executed in two or more counterparts, each of which,when taken together,
shal(constitute one and the same instrument.
