NOTICE OF DEED RESTRICTIONS: The undersigned under tands that this permit may be subject to"deed" restrictions"
which may be more restrictive than County regulations. The ndersigned assumes responsibility for compliance with any
applicable deed restrictions.
UNLICENSED CONTRACTORS AND CONTRACTOR RE PONSIBILITIES: If the owner has hired a contractor or
contractors to undertake work, they may be required to be lic nsed in accordance with state and local regulations. If the
contractor is not licensed as required by law, both the owne and contractor may be cited for a misdemeanor violation
under state law. If the owner or intended contractor are un ertain as to what licensing requirements may apply for the
intended work, they are advised to contact the Pasco County uilding Inspection Division—Licensing Section at 727-847-
8009. Furthermore, if the owner has hired a contractor or contractors, he is advised to have the contractor(s) sign
portions of the "contractor Block" of this application for whic they will be responsible. If you, as the owner sign as the
contractor, that may be an indication that he is not properly I censed and is not entitled to permitting privileges in Pasco
County.
TRANSPORTATION IMPACT/UTILITIES IMPACT AND RES URCE RECOVERY FEES: The undersigned understands
that Transportation Impact Fees and Recourse Recovery Fee may apply to the construction of new buildings, change of
use in existing buildings, or expansion of existing buildings, s specified in Pasco County Ordinance number 89-07 and
, 90-07, as amended The undersigned also understands, tha such fees, as may be due, will be identified at the time of
permitting. It is further understood that Transportation Impa Fees and Resource Recovery Fees must be paid prior to
receiving a "certificate of occupancy" or final power release If the project does not involve a certificate of occupancy or
final power release, the fees must be paid prior to permit iss ance. Furthermore, if Pasco County Water/Sewer Impact
fees are due,they must be paid prior to permit issuance in ac ordance with applicable Pasco County ordinances.
CONSTRUCTION LIEN LAW(Chapter 713, Florida Statute , as amended): If valuation of work is $2,500.00 or more, I
certify that I, the applicant, have been provided with a c py of the "Florida Construction Lien Law—Homeowner's
Protection Guide" prepared by the Florida Department of Agr culture and Consumer Affairs. If the applicant is someone
other than the"owner', I certify that I have obtained a copy of he above described document and promise in good faith to
deliver it to the"owner" prior to commencement.
CONTRACTOR'S/OWNER'S AFFIDAVIT: I certify that all th information in this application is accurate and that all work
will be done in compliance with all applicable laws regulating construction, zoning and land development. Application is
hereby made to obtain a permit to do work and installatio as indicated I certify that no work or installation has
commenced prior to issuance of a permit and that all work ill be performed to meet standards of all laws regulating
construction, County and City codes, zoning regulations, a d land development regulations in the jurisdiction. I also
certify that I understand that the regulations of other govern ent agencies may apply to the intended work, and that it is
my responsibility to identify what actions I must take to be in c mpliance. Such agencies include but are not limited to:
- Department of Environmental Protection-Cypres Bayheads, Wetland Areas and Environmentally Sensitive
Lands,Water/Wastewater Treatment.
- Southwest Florida Water Management Distri t-Wells, Cypress Bayheads, Wetland Areas, Altering
Watercou rses.
- Army Corps of Engineers-Seawalls, Docks, Navig ble Waterways.
- Department of Health & Rehabilitative Services Environmental Health Unit-Wells, Wastewater Treatment,

I understand that the following restrictions apply to the use of II:
- Use of fill is not allowed in Flood Zone"V" unless xpressly permitted.
- If the fill material is to be used in Flood Zone "A", it is understood that a drainage plan addressing a
"compensating volume" will be submitted at time of permitting which is prepared by a professional engineer
licensed by the State of Florida.
- If the fill material is to be used in Flood Zone " " in connection with a permitted building using stem wall
construction, I certify that fill will be used only to fil the area within the stem wall.
- If fill material is to be used in any area, I cert fy that use of such fill will not adversely affect adjacent
properties. If use of fill is found to adversely aff ct adjacent properties, the owner may be cited for violating
the conditions of the building permit issued und r the attached permit application, for lots less than one (1)
acre which are elevated by fill, an engineered drai age plan is required
If I am the AGENT FOR THE OWNER, I promise in good fait to inform the owner of the permitting conditions set forth in
this affidavit prior to commencing construction. I understand that a separate permit may be required for electrical work,
plumbing, signs, wells, pools, air conditioning, gas, or other installations not specifically included in the application. A
permit issued shall be construed to be a license to proceed ith the work and not as authority to violate, cancel, alter, or
set aside any provisions of the technical codes, nor shall issu nce of a permit prevent the Building Official from thereafter
requiring a correction of errors in plans, construction or violati ns of any codes. Every permit issued shall become invalid
unless the work authorized by such permit is commenced wi hin six months of permit issuance, or if work authorized by
the permit is suspended or abandoned for a period of six(6) onths after the time the work is commenced. An extension
may be requested, in writing, from the Building Official for a eriod not to exceed ninety (90) days and will demonstrate
justifiable cause for the extension. If work ceases for ninety ( 0) consecutive days, the job is considered abandoned.

appoint Tower Operator, acting through any of it designated officers and agents, as its true and
lawful attorney-in-fact, for it and in its name,plac and stead,to review, negotiate and execute:
' • any waiver, amendment, extension or re ewal of any Ground Lease, any new Ground
Lease that is successive in time, and c nsistent in respect of leased premises, to a
previously existing Ground Lease, or an adjacent lease, non-disturbance agreement or
any other document relating to any Groun Lease;
• any waiver, amendment, extension or re ewal of any Collocation Agreement, any new
site supplement or site sublease or any other document relating to any Collocation
Agreement; or
• any other document contemplated and ermitted by the Master Prepaid Lease or the
Management Agreement or necessary to ive effect to the intent of the Master Prepaid
Lease or the Management Agreement o the transactions contemplated by the Master
Prepaid Lease, the Management Agreeme t or the other Transaction Documents referred
to in the Master Prepaid Lease.
For purposes of this Limited Power of ttorney, the following capitalized terms shall
have the following meanings:
"Collocation A�reement" shall mean an a reement, including master leases, between any
Company or Tower Operator, on the o hand, and a third party, on the other hand,
pursuant to which such Company or To er Operator, as applicable, rents or licenses to
such third party space at any wireless communications site (including space on a
communications tower), including al amendments, modifications, supplements,
assignments, guaranties, side letters and o her documents related thereto.
"Ground Lease" shall mean the groun lease, sublease, easement, license or other
agreement or document pursuant to hich any Company holds a leasehold or
subleasehold interest, leasehold or suble sehold estate, easement, license, sublicense or
other interest in any wireless communic tions site, together with any extensions of the
term thereof(whether by exercise of any r ght or option contained therein or by execution
of a new ground lease or other instru ent providing for the use of such wireless
communications site), and including 11 amendments, modifications, supplements,
assignments, guarantees, side letters and o her documents related thereto.

"Management Agreement" shall mean the Management Agreement dated as of
November 30, 2012, among Tower Oper tor, the Companies party thereto and the other
parties thereto.
"Master Prepaid Lease" shall mean the aster Prepaid Lease dated as of November 30,
2012, among the Companies party thereto, T-Mobile USA, Inc., Tower Operator and the
other parties thereto.
Tower Operator hereby agrees to use this Limit d Power of Attorney in accordance with and
subject to the terms and conditions of the Master repaid Lease and the Management Agreement,
and acknowledges that this Limited Power f Attorney only applies to those wireless
communications sites subject to such agreements.
This Limited Power of Attorney may not be used by Tower Operator to execute on behalf of any
Company any of the following:
• any document that provides for the acquisition of a fee simple interest in real property or
the purchase of assets by Tower Operat r in the name of such Company or any of its
affiliates;
• any document that provides for the incurr nce of indebtedness for borrowed money in the
name of such Company or any of its affili tes;
• any doc.ument that is between or among ower Operator or any of its affiliates, on the
one hand, and such Company or any of its affiliates, on the other hand;
• any document that waives, terminates, amends or exercises (or purports to waive,
terminate, amend or exercise) any right e pressly granted to and reserved for the benefit
of such Company or any of its affilia es under the Master Prepaid Lease and the
Transaction Documents referred to in the aster Prepaid Lease; or
• any document that settles or compromise any dispute and the settlement or compromise
thereof involves an admission of any vi lation of law or admission of wrongdoing by
such Company or any of its affiliates.

'This Agreement("Agreement")is entend in by and between The CITY OF ZEPHYRHILLS,a
municipality of the State of Florida,whose address is S 35 Eighth Street,Zephryhills,FL 33540-4312 (the
"Owne� and APT Tampa/Orlando, inc., its succ and assi�s ("APT'"). providing for the granting
and leasing of cer�in property interests on the follow' terms and conditions:
1. APT shall have �e right to utiliu on the Owaer's property located at
T. Zephyrhills, Florida
in the Cotmty of Pasco, and more particularly d 'bed on Exlubit"A" attached hereto ("Owner's
Property'7 together with a non-exclusive right f access to Owner's Property as well as Owner's
consent and pecmission for APT to connect suc electricity,telephone and other utilides as may be
ne�essery for the purpose of testing a temporary mmunications facility(the"Temporary Facility").
Such Temporary Facility shall be described on bit"B"attached hereto.
2. This Agreement shall commence on the esrli of thirty (30) days following execution of this
Agrecment by both patties or the day APT be ' operation of the Temporary Facility on Owner's
Property ("Commencement Datd� and shall co ' ue month to month thereafter until such time as

3. Owaer and APT agroe that Owner and APT in the process of negotiating a pennanent Site �

foot self supporting tower. Upon execution o a permanent Site Agreement and complerion of
construction of the wwer,this Agceement shall ' ate and the nlationship shall be governed by the
permanent Site Agr�eement.
4. APT shall pay Owner the sum of per month, plus
applicable sales tax,for the rights enumerated in ' Agrament Such sum shall be payable monthly,
in advance,beginning on the Commencement and on the first day of each month thereaftar. If
the Commencement Date is on a day other th the Srst day of the month, then such sum shall be
prorated for the remainder of said month.
5. The following covenants and egreements are co 'tions of this Agreement and are acl�owledged and
ageed to by APT and Owner.
A. APT agrces to repair at its sole cost and e nse any damage to Owner's Property caused by APT
in connection with the location, operati maintenance of, and reraoval of the Temporary
Facility, promptly but in no event later th thirty (30) days after receipt of written notice of
damage by Owner.
B. Owner reserves the right and privilege to Owner's Property affected by this Agreement for
noimel purposes provided such use will n t interfere with the use or occupation of Owner's
Property by APT or APT's operations ereon� and provided also that except in cases of
emcrgency Owner shall not have access to e Temporary Facility anless accompanied by APT
personnel.
C. Owner agrees to cooperate with APT in its efforts to connect the Temporary Facility to electric,
telephone, or other necessary utility servi at APT's sole cost and expeuse. Payment for said
services to the Temporary Facility shall be 's sole responsibility.

E. RADON GAS:Radon is a natu�ally occucrin radioactive gas that,whcn is has accumulated in a '

time. Levels of radon that exceed federal ao state guidelines have been found in buildings in
Florida. Additional information regard'mg rad n testing may be obtained from your county public
health authority.
F. APT shall pay all petsonal property taxes ass agaiast the APT Facilities and ad valoc+em taxes
assessed against the Project Site,commencing' calendar year 1998 and continuiag thereafter for
the Initial Term of the Lease and any reaewals enof.
6. UTILITIES. Payment for electric service aad for te ephaae or other communication services to the APT
Facilities shall be APTs responsbility. Owner to cooperate with APT in its efforts w connect the
APT Facilities to existing utility service at APTs .

subject to APTs interest in the Project Site as set forth in this Agreement. The Project Site is depicted and legally
descri�ed on said Exhibit "B", attached hereto. All im rovements made to the Project Site pursuant to this
Agreecnent shall be known hereafter as the"APT Facilitie ".
2. TERM. The term of this Agreement shall be five (5) and a fraction years, with the first year commencing
on the date APT begins construction of the APT Facilities "Commencement Date")and terminating on the 31'�day
of December following the fifth annual annive�sary of the Commencement Date (the "Initial Term"), unless
othen�vise teRninated as provided in Paragraph 9. APT hall have the right to extend the tertn of this Agreement
for four(4)successive five(5)year periods(the"Renew I Terms") on the same terms-and conditions as set forth
herein. This Agreement shall automatically be extended r each successhre Renewal Term on such same terms
and condi6ons, unless APT notifies Owner in writing of intention not to renew�prior to commencement of the
succeeding Renewal Term.
3. RENT.
A. For the Initial Term, APT shall pay to ner annual rent in the amount o
("RenY') in quarterly paym nts of
on the first day of January, April, July and.October, toget er with any applicable sates tax. If the obligation to pay
Rent commences or ends on a day other than the first d of the quarter, then Rent shall be prorated on the basis
of a ninety(90)day quarter and shall be delivered within 0 business days from the Commencement Date.
B. For any Renewal Term, APT shall pay ent in the amount of Rent to be paid during the previous
term(whether the fnitial Term or a Renewal Term), incre sed by an amount equal to a percentage of the Rent to
be paid during such previous term, which percentage in rease shall be computed and established for the entire
cunent Renewal Tenn at the beginning of each such R newal Term by multiplyjng the number of years in the
previous term(whether the Initial Term or Renewal TeRn times
C. Rent shall be paid electronically via el ctronic wire transfer, direct deposit or other paperless
means into a bank account to be designated by Owne�. Owne� may from time to time, designate another bank
account for the deposit of Rent provided the request is made in writing and received by APT at least sixty (60)
days in advance of any Rent payment date.

placed on the Project Site or OwnePs Property as a resul of its work on the Project Site.
APT, its agents and contractors, a�e he�eby g nted the �ght, at APTs sole cost and expense, to enter
upon the Owners Property and oonduct such studies a APT deems necessary to determine the Project Site's
suitability for APTs intended use. These studies may in lude suroeys, soil tests,environmental evaluations, radio
wave p�opagation measurements, field strength tests and such other analyses and studies as APT deems
necessary o� desirable. Owner shall cooperate with A T and execute all documents required to pertniE APTs
intended use of tfie Project Site in compl'�ance with zonin , land use.building and any other applicable regutations,
whether local, state or federat in nature. Owner hereb appoints APT as its agent and at�omey-in-hact for the
limited purpose of making such tilings and taking such a 'ons as a�e necessary to obtain any desired zoning, land
use approvals, building pennits and/or any other applica le permits and approvals.
5. UTILITIES. Payment for electric service and fo telephone or other communicaticn services to the APT
Facilibes shall be APTs responsibil'ity. Owner agrees cooperate wifh APT in its efforts to connect the APT
Facilities to exisbng udlity service at APTs expense.
6. REMOVAL OF APT FAClUT1ES. All personal property and trade fixtures of APT shall be removed by
APT upon the tertnination of this Ag�eeme�t Within thi (30)days of the expiration or eartier termination of this
Agreement, APT shall retum the P�oject Site to the con ition existing at the time of this AgreemenYs execution,
reasonable wea�and tear and toss by casualty, condem ation and other causes beyond APTs control excepted.
Notwithstanding the foregoing, upon expiration or earlier termina6on of this Agreement, APT shall not�be required
to remove any foundation more than two(2)feet below g de level.
7. INSURANCE. APT shall maintain commercial eneral liability insuraace insuring APT against liability for
bodily injury, death or damage to personal property a�s ng out of use of the Project Site by APT, with combined
single fimits of Owner shall maintain oommerc.ial general liability
insurance insuring Owner agai�st liabitity for bodity inju , death or damage to personal property arising out of its
ow�ership, use and management of fhe Project Site an Owners Property by Owner and Owners agents, with
combined single limits of . My policy �equired to be obtained by
any party hereto pursuant to this Paragraph shall contain a waiver of subragadon in favor of the othe�pariy hereto,
to the extent required under Paragraph 10, Indemnity.
8. CONDITlON OF PROPERTY. Owner�epresent that the Owners Property and all improvements thereto,
are in compliance with all building, life/safety, and the� laws, ordinances, rules and regulafions of any
governmental or quasi-govemment authority.
9. TERMINATION. This Agreement may be teRni ated by APT at any time, in its sole discretion, by givi�g
written notice thereof to Owner not less than 30 days prior o the Commencement Date. Further,this Agreement may
be terminated by AP'T immediately, at any 6me, upon gi ing written �otice to Owne�, if: (a) APT cannot obtain al{
govemmental certificates, permits, licenses or ott�er pprovals (collectively, "Approval") required and/or any
easements required from any third par(y; or(b)any Appro al is canceled, terminated,expires or lapses; or(c)Owner
fails to deliver any non�iisturbance agreement or subordin tion agreement required by APT;cr(d)Owner breaches a
representation or warranty contained in fhis Agreeme�t; o {e) Owner fails to have proper ownership of the owners
Property and/or the Project Site and/or authority to enter i to this Agreement; or(fl APT detennines that the Owners

holds title to the Owners Property. Such termination shall no constitute a waiver of APTs rights under Paragraph 15
of this Agreement
10. INDEMN/TI! Owner and APT each indemnify th other against, and hold the other harmless from any
and ail costs (including reasonable attomey's fees and xpenses) and claims, actions, damages, obliga6ons,
1"�abil'fies and liens which arise out of(a) the breach of this Agreement by the indemn'ifying party; and (b) the use
and/or ocxupancy of the Project Site, or the balance of th Owrners Property, by such indemnifying party. This
indemnity shall nct apply to any claims, actions, dama es, obiigations, liabilities and liens arising from any
negligent or intentional misconduct of the indemnified party nd shall survive the terminabon of this Agreement.
11. HAZARDOUS SUBSTANCES. Owner represen that Owner has no knowledge of any substance,
chemical, or waste on the Owner's Property that is iden� as hazardous, toxic or dangerous in any applicable
federal, state or local law, ordinance, rule or regulation ("Hazardous Substances'). Owner shall hold APT
harmless from and indemnify APT against any damage, loss, expense, response costs, or {iability, including
consultants' fees and any legal and court costs and atto eys' fees resulting from the presence of Hazardous
Substances on, under or around the Owner's Property or sulting irom Hazardous Substances being generated,
stored, disposed of, or transported to, on, under, or aro nd the Owners Property as long as the Hazardous
Substances were not generated, stored, disposed of, r transported by APT or its employees, agents or
oontractors.The terms of this paragraph shall survive the e piration or ea�lier tennination of this Agreement
12. CASUALTY/CONDEMNATION. If any portion of e Owners Property, Project S'ite or the APT FaGliaes is
damaged by any casualty and such damage adve�sely a APTs use of the Project Site or the APT Facili�es,or
if a condemning authority takes any portion of the Owners roperty and such taking adversely a�APTs use of
the Project Site or the APT Facilities, this Agreement shall terminate as of the date of the casualt�r or the date on
which title vests in the condemning authcrity,as the case y be if APT gives written notice of the same within thirty
(30)days atter APT receives notice of such casually or tak ng. The parties shall be entitled to make claims in any
condemnation proceeding for value of their respective inte ts in the Project Site(which for APT may include,where
applicable, the value of the APT Facil'itiies, moving expens s, prepaid rent, and business dislocation and relocation
damages). Sale of all or part of the Project Site to a purch ser with the power of eminent domain in the face of the
exercise of the power shall be treated as a haking by conde nation.
13. WA11/ER OF OWNER'S LIEN. To the extent pe itted by law, Owner hereby waives any and all lien
rights it has or may have, statutory or othervvise, concemi g the APT Facilities or any portion thereof which shall
be deemed personal property for the purposes of this greement, regardless of whether or not the same is
deemed real or personal property under applicable law.
14. QWET ENJOYMENT. APT, upon payment of the Rent, shall peaceably and quietly have, hold and enjoy
the Project Site. If, as of the date of execution of this A reement or hereafter, there is any mortgage, or other
encumbrance affecting Owners Property, then Owner ag ees to obtain from the holder of such encumbrance a
Subordination, Non-Disturbance and Attomment Agreem nt pursuant to the terms of which APT shall not be
disturbed in its possession, use and enjoyment of the P ject Site. Owner shall not cause or permit any use of
Owners Property which interferes with or impairs the qu lity of the communication services being rendered by
APT from the Project Site. Except in cases of emergency, Owner shall not have access to the Project Site unless
accompanied by APT personnel.
15. DEFAL/LT. Except as expressly limited herein, wner and APT shall each have such remedies for the
default of the other party hereto as may be provided at I w or equity following written notice of such default and
failure to cure the same within thirty{30)business days.
Upon default by Owner and upon written notice to Owne and subject to all applicable cure periods provided to
Owner in this Agreement ( and if no such notice and cure pe�iod is provided, following thirty (30) days written

16. M/SCELLANEOUS.
A Owner represents and warrants that Owner has full authority to enter into and sign this Agreement
and has gocd and marketable title to the Owners Property.
B. APT represents and warrants that it is d ly authorized to do business in Fiorida and that the
undersigned signatory for APT is fully authorized by APT to e ber intio this Agreement on behalf of APT. �
C. This Agreement supersedes a{I prior dis ussions, negotiations and agreements between the
parties hereto and contains all agreements and unders ndings between the Owner and APT regarding the
subject matter of this �qreement This Agreement may nly be amended by a writing signed by both parties.
Exhibits"A"through"C"are hereby incorporated into this reement by reference.
D. This Agreement may be signed in counterp rts by the parties hereto.
E. The tertns and conditions of this Agree ent shall extend to and bind the heirs, personal
representatives,successors and assigns of Owner and A .
F. The prevailing parly in any action or p ing to enforce the terms of this Agreement shall be
entitled to receive its reasonable attomeys' fees and other reasonable enforcement costs and expenses from the
non-prevailing party.
G. Simultaneously herewith or on or before e Commencement Date, Owner shall execute and
acknowledge and deliver to APT for recording a memoran um of this Agreement("Memorandum") in the form of
Exhibit "C". Owner hereby grants APT permission to nsert the effective date of this Agreement into the
Memorandum after execution of the Memorandum.
H. APT may assign this Agreement or suble the Project Site (in whole or in part) at any time and
from time to time without Owners consen� No assign ent or subletting shall release APT from any of the
obligations arising under this Agreement. ,
I. Notices shall be in writing and sent by Uni ed States Mail, postage prepaid, certified or registered
with retum receipt requested or by any nationally-rec:ogn' ed overnight courier service to the address set forth
beneath the signature of each party below. Any such noti shall be deemed given when deposited in the United
States Mail or delivered to such courier service.
J. This Agreement shall be construed in acco ance with the laws of the State of Florida.
K. Each party agrees to fumish to the other, ithin ten (10)days after request, such truthful estoppel
information as the other may reasonably request.
L. Owner and APT each represent that they have not been represented by a real estate broker or
other agent in this transaction. Each party shall indemni and hold the other party harmless from any claims for
commission, fee or other payment by such broker or any ot er agent claiming to have represented a party herein.
M. Tower shall be free of all material and m hanics liens.
N. The parties hereto warrant and represent each to the other, that the matters of fact contained
herein are true and accurate.

P. APT has the �ight but not the obligation from dme to time to pay any taxes, judgments, liens,
assessments and/or any other charges autstanding whic are levied upon Owner or the �wner's Property and
which are or in the future could become Ilens upon the ner's Property, in whote or in any part(individuaily and
collectively, `Liens"). In the event that APT satisfies or ys any such Liens, in whole or in part, APT shall have
the right but no duly to set off and offset any and a11 amou ts so paid against Rent and any other sums payable or
to become payable pursuant to the terms of this Agreeme ("Rent and Other Charges"). If APT elects to set off or
offset the amounts paid by APT against Rent and er Char+ges, immediately upon demand, Owner shall
reimburse APT for ali sums paid by APT which exceed uch Rent and Other Charges. in the event that APT
elects not t� set otf or offset the amounts paid by AP against Rent and Other Charges, immediatety upon
demand,Owner shaff reimburse APT for all amounts paid APT. APTs rights m satisty or pay liens(in whole or
in part}and then to set off and of�set as described in this ubparagraph include the right of APT to pay and set off
and offset any and ali attomey's fees incuRed by APT in nnection with making such payments and/or obtaining
such full or partial satisiac�ons.
Q. Calocatton As�reements. APT shalt permitted to enter into agreements wEth third pafies
wherein such third parties are permitted to co-locabe on th Communications Facility(a`Co-iocation AgreemenC).
The following shall apply with respect to any Co-location reement entered lnto by APT:
1. In the event that APT rmits a third a to co-locate on the Communications Facility, APT
shall pay to Owner of alf amounis ccllected as rent�under the terms
of such Co-location Agreement The e amounts shall be due and payable to Owner within
twenty {20) days after such amoun are coltected by APT. Fai{ure to make any such
payment to Owne�shall be considere a default under this qgreement and shall entitle Owner
to the same rights as in the event of a efault in the payment of Rent.
2. No Co-loca�on Agreement signed by AP7 shall extend beyond the Term of this Agreement
without the Owner's prior written nsent, which shall not be unreasonably withheld cr
delayed. If APT elects to extend this Agreement for one or more Renewal Terms, then, no
Calocation Agreement executed by PT shalE extend beyond such Tertn, as extended. In
the event that APT temninates thls greement prior to the end of either such period as
permitted under the terms of Paragra h 9,APT shall immediately assign any and all surviving
Co-location Agreements to Owner, w ich assignment shall be effective as of the termination
date of this Agreement

entered into by and between CITY OF ZEPHYRHILLS, a unicipality of the State of Florida, with an address of
5335 Eighth Street as'Owne�', and APT Tampa/Orlando, nc., a Delaware corporation, with an address of 8410

1. PREMISES. Owner and APT have entered int a Site Agreement for Land dated as of
. 1997 (together with any amend nts and modfications thereto, the'Slte AgreemenY),
whereby Owner has leased and APT has hired those rtain premises Pasco County, Florida, consisting of,
among other things, approximately 2,500 square feet of la d, as depicted and legally described on Exhlblt "A"
attached hereto and hereby incorporated into this Memoran um and certain easements(the"Project Slte").
2. TERM. The initial term of the Site Agree ent shall be a period of five (5) and a fraction years
commencing as of the °Commencement Date," as defin herein below, and-terminating on the 31st day of
December following the fifth (5th)annual anniversary of the Commencement Date unless otherwise terminated as
provided in the Site Agreement("Initlal Term').
3. RENEVIIAL OPTIONS. In addition to the I ibal Term and on and subject to the terms of the Site
Agreement, the Site Agreement tertn may be automaticall extended for four (4) consecutive periods of five {5)
years each. Each such extension shall be known hereina r as a"Renewal Term." Hereinafter, the Initial Term,
together with any and all Renewal Terms, shall be known a the"Term°of the Site Agreement.
4. COMMENCEMENT. The "Commencement ate" is the date on which AP7 begins construction of
the APT Facilities (as defined in the Site Agr ement). Accordingly, unless otherwise specifically
stated here: . the Commence ent Date shall be the date of APT's filing of a Notice of
Commencement in the public records of the county in whic the Project Site is located.

5. LEASE INCORPORATED. All of the te s, conditions, provisions and covenants of the Site
Agreement are hereby incorporated herein as if fully set f� h in this Memorandum. To the extent that any of the
terms hereof are inconsistent with the terms of the Site Agr ment, the terms of the Site Agreement shall control.
In the event that an inspection of or reference to the full t rms, conditions, provisions or covenants of the Site
Agreement is desired or necessary, a request for such ins 'on should be made to the Owner at the address set
forth above, stating the name and address of the person an /or entity reques�ng the inspection, and setting forth
the reason for the inspection. The Owner may pertnit or re se such inspection in its sole and absolute discretion.

structural integrity of the above mentioned tower. This analysis has been performed in accordance with the

3.1) Analysis Method
tnxTower (version 6.1.4.1), a commercially available analysis software package, was used to create a
three-dimensional model of the tower and calculate member stresses for various loading cases.
Selected output from the analysis is included in Appendix A.
3.2) Assumptions
1) The tower and foundation were built in accordance with the manufacturer's specifications.
2) The tower and foundation have been maintained in accordance with the manufacturer's
specification.
3) The configuration of antennas, transmission cables, mounts and other appurtenances are as
specified in Tables 1 and 2, and"Appendix B—Base Level Drawing".
4) When applicable, transmission cables are considered as structural components for calculating
wind loads as allowed by the standard.
5) All tower components are in sufficient condition to carry their full design capacity.
6) Serviceability with respect to antenna twist, tilt, roll, or lateral translation, is not checked and is
left to the carrier or tower owner to ensure conformance.
7) All antenna mounts and mounting hardware are structurally sufficient to carry the full design
capacity requirements of appurtenance wind area and weight as provided by the original
manufacturer specifications. It is the carrier's responsibility to ensure compliance to the
structural limitations of the existing and/or proposed antenna mounts. TEP did not perform a site
visit to verify the size, condition or capacity of the antenna mounts and did not analyze antennas
supporting mounts as part of this structural analysis report.
8) The following material grades were assumed:
a) Legs:ASTM A53-B-46
b) Bracing:ASTM A36
This analysis may be affected if any assumptions are not valid or have been made in error. Tower
Engineering Professionals should be notified to determine the effect on the structural integrity of the
tower.
