NOTICE OF DEED RESTRICTIONS: The undersigned unders ands that this permit may be subject to"deed"restrictions"
vhich may be more restrictive than County regulations. The u dersigned assumes responsibility for compliance with any
applicable deed restrictions.
UNLICENSED CONTRACTORS AND CONTRACTOR RES ONSIBILITIES: If the owner has hired a contractor or
contractors to undertake work,they may be required to be lice sed in accordance with state and local regulations. If the
' contractor is not licensed as required by law, both the owner and contractor may be cited for a misdemeanor violation
under state law If the owner or intended contractor are unc rtain as to what licensing requirements may apply for the
� intended work,they are advised to contact the Pasco County uilding Inspection Division—Licensing Section at 727-847-
' 8009. Furthermore, if the owner has hired a contractor or ontractors, he is advised to have the contractor(s) sign
' portions of the"contractor BIocK'of this application for which hey will be responsible. If you, as the owner sign as the
contractor,that may be an indication that he is not properly li ensed and is not entitled to permitting privileges in Pasco
:' County.
�, TRANSPORTATION IMPACT/UTILITIES IMPACT AND RES URCE RECOVERY FEES: The undersigned understands
that Transportation Impact Fees and Recourse Recovery Fee may apply to the construction of new buildings,change of
use in existing buildings, or expansion of existing buildings, a specified in Pasco County Ordinance number 89-07 and
90-07, as amended. The undersigned also understands,that such fees, as may be due,will be identified at the time of
permitting. It is further understood that Transportation Impac Fees and Resource Recovery Fees must be paid prior to
receiving a"certificate of occupancy"or final power release. I the project does not involve a certificate of occupancy or
final power release,the fees must be paid prior to permit iss ance. Furthermore, if Pasco County WateNSewer Impact
fees are due,they must be paid prior to permit issuance in acc rdance with applicable Pasco County ordinances.
CONSTRUCTION LIEN LAW(Chapter 713,Florida Statutes as amended): If valuation of work is$2,500.00 or more,I
certify that I, the applicant, have been provided with a co y of the "Florida Construction Lien Law—Homeowners
Protection Guide"prepared by the Florida Department of Agri ulture and Consumer Affairs. If the applicant is someone
other than the"owne�",I certify that I have obtained a copy of e above described document and promise in good faith to
deliver it to the"owner"prior to commencement.
CONTRACTOR'S/OWNER'S AFFIDAVIT: I certify that all th information in this application is accurate and that all work
will be done in compliance with all applicable laws regulating onstruction,zoning and land development. Application is
hereby made to obtain a permit to do work and installatio as indicated. I certify that no work or installation has
commenced prior to issuance of a permit and that all work ill be pertormed to meet standards of all laws regulating
construction, County and City codes, zoning regulations, an land development regulations in the jurisdiction. I also
certify that I understand that the regulations of other govermm �t agencies may appiy to the intended work,and that it is
my responsibility to identify what actions I must take to be in c mpliance. Such agencies include but are not limited to:
- Department of Environmental Protection-Cypress Bayheads, Wetland Areas and Environmentally Sensitive
Lands,Water/Wastewater Treatment.
- Southwest Florida Water Management Distri t-Wells, Cypress Bayheads, Wetland Areas, Altering
Watercourses.
- Army Corps of Engineers-Seawalis,Docks,Navig ble Waterways.
- Department of Health & Rehabilitative Services Environmental Health Unit-Wells, Wastewater Treatment,
Septic Tanks.
- US Environmental Protection Agency-Asbestos a atement.
- Federal Aviation Authority-Runways.
I understand that the following restrictions apply to the use of II:
- Use of fill is not allowed in Flood Zone"V"unless xpressly permitted.
- If the fill material is to be used in Flood Zone "A", it is understood that a drainage plan addressing a
"compensating volume"will be submitted at time of permitting which is prepared by a professional engineer
licensed by the State of Florida.
- If the fill material is to be used in Flood Zone " " in connection with a permitted building using stem wall
construction,I certify that fill will be used only to fil the area within the stem wall.
- If fill material is to be used in any area, I cert fy that use of such fill will not adversely affect adjacent
, properties. If use of fill is found to adversely aff t adjacent properties,the owner may be cited for violating
the conditions of the building permit issued unde the attached permit application, for lots less than one (1)
acre which are elevated by fill,an engineered drai age plan is required.
If I am the AGENT FOR THE OWNER,I promise in good fait to inform the owner of the permitting conditions set forth in
this affidavit prior to commencing construction. I understand that a separate permit may be required for electrical work,
plumbing, signs, wells, pools, air conditioning, gas, or other installations not specifically included in the application. A
permit issued shall be construed to be a license to proceed ith the work and not as authority to violate,cancel,alter,or
set aside any provisions of the technical codes,nor shall issu nce of a permit prevent the Building Official from thereafter
requiring a correction of errors in plans,construction or violati ns of any codes. Every permit issued shall become invalid
unless the work authorized by such permit is commenced wi hin six months of permit issuance, or if work authorized by
the permit is suspended or abandoned for a period of six(6) onths after the time the work is commenced. An extension
may be requested, in writing,from the Building Official for a eriod not to exceed ninety(90)days and will demonstrate
justifiable cause for the extension. If work ceases for ninety( 0)consecutive days,the job is considered abandoned.

This Agreement("Agnement")is entered in by and between The CTTY OF ZEPHYRHILLS,a
municipality of the State of Florida,whose address is S 35 Eighth Strcet,Zephryhills,FL 33540-4312 (the
"Owner")and APT Tempe/Orlando, ine., its successo and assigns ("APT'"),providing for the granting
and leasing of ccrtain propaty interests on the follo ' tertns and conditions:
1. APT shall have �e rigf►t to udliu on the Owner's property located az
T. Zephyrhills, Florida
in the Co�mty of Pasco, and more particularly d 'bed on Exh�'bit"A" aaached hcreto ("Owner's
Property") together with a non-exclusive right f access w Owner's Prnpeity as well as Owner's
consent and permission for APT to connect suc electricity, telephone and other utilities as may be
necessary for the purpose of testing a temporary unicatioas faciliry(the"Temporary Facility").
Such Temporary Facility shall be described on ibit"B"attached hereto.
2. T6is Agreement shall commence on the earli of thirty (30) days following execution of this
Agreement by both parties or the day APT be ' operation of the Temporary Facility on Owner's
PropcKy ("Cammencement Datd� and shall co tinue month to month thereafter until such time as

3. Owner and APT agree that Owner aad APT in the process of negotiating a permanerrt Site �
Agreement for the lease of certain property 1 at 6217 8'h Street, Zephyrhills, Florida for the
purpose of installing,removing,maiataining end �erating a communications facility,including a 197
foot self supporting tower. Upon execution f a permanent Site Agreement end compledon of
consWction of the tower,this Agreement shall ' ate and the nlationship shall be governed by the
permanent Site Agreement.
4. APT shall pay Owner the swn of per month, plus
applicable sales tax,for the rights enumerated in ' Agrecmen� Such sum shall be payable monthly,
in advance,beginning on the Commencement and on the first day of each month thereafter. If
the Commeacement Date is on a day other the Srst day of the month, then such sum shall be
prorated for the remainder of said month.
5. The following covenants and agc+eements are co ditions of this Agnement and are aclmowledged and
agreed to by APT and Owner:
A. APT agrees to repair at its sole cost and e any damage to Owner's Property caused by APT
in connectioa with th� locstion, operati mainbenance of, and removal of the Temporary
Facility, promptiy but ia no event later t thirty (30) days after receipt of written notice of
damage by Owner.
B. Owner nserves the right and privilege to Owner's Property affected by this Agreement for
noimal purposes provided such use will ot interfere with the use or occupation of Owner's
Properly by APT or APT's operations ereon, and provided also that �xcept in cases of
emergency Owaa shall not have access the Temporary Facility unless accompanied by APT
personnel.
C. Owner agrees to cooperate with APT in i efforts w connect the Temporary Facility to electric,
telephone, or other necessary u61ity servi at APT's sole cost and expense. Payment for said
services to the Temporary Facility shall be PT's sole responsibility.

F. APT shall pay all personal property taxes ass against the APT Facilities aad ad valorem taxes
assessed sgainst the Project Site�commencing in calendar year 1998 and continuing thereafter for
the Initiel Term of the Lease and any rtnewals thereof.
6. UTILI77ES Paymea�t for electric service and for ephone or other communication services to the APT
Facilities shall be APTs responsbility. Ouvner to cooperate with APT in its efforts W connect the

properiy interests on the following tertns:
For good and valuable consideration, the �eceip and sufficiency of which is hereby acknowledged and
agreed, the parties hereto agree as follows:
1. PROPERTY. The property interests hereby lea ed and granted by Owner (individualty and collectively,
the"Project Site")shall include the following:

FL 33540, in the County of Pasco,and legally described n Exhibit"A"attached hereto,which OwnePs Property is
subject to APTs interest in the Project Site as set forth i this Agreement. The Project Site is depicted and legaily
descrit�ed on said Exhibit "B", attached hereto. Ail i rovements made to the Project Site pursuant to this
Agreevnent shall be known hereafter as the"APT Faciliti °.
2. TERM. The term of this Agreement shali be fiv (5) and a fraction years, with the first year commencing
on the date APT begins construction of the APT Facilitie ("Commencement Date")and terminating on the 31"day
of December following the flfth annual anniversary o the Commencement Date (the "Initial Term"), unless
otherwise terminated as provided in Paragraph 9. APT hall have the right to extend the term of this Agreement
for four(4�successive five(5)year periods(the"Rene I Terms") on the same terms�and conditions as set forth
herein. This Agreement shall automatically be extend for each successive Renewal Term on such same tertns
and conditions, unless APT no6fies Owner in writing of its intention not to renew prior to commencement of the
succeeding Renewal Term.
3. RENT.
A. For the Initial Term, APT shall pay to ner annual rent in the amount o
("RenY') in quarterly pay ents of
on the first day of January, April, July and October, tog ther with any applicable sales tax. If the obligation to pay
Rent commences or ends on a day other than the first d y of the quarter, then Rent shall be pro�ated on the basis
of a ninety(90)day quarter and shall be delivered within 20 business days from the Commencement Date.
B. For any Renewal Tertn, APT shall pay ent in the amount of Rent to be paid during the previous
term (whether the Initial Term or a Renewal Term), inc ased by an amount equal to a percentage of the Rent to
be paid during such previous term, which percentage i crease shall be computed and established for the enti�e
current Renewal Term at the beginning of each such enewal Tenn by multiplying the numbe� of years in the
previous term(whether the Initial Term or Renewal Te )times
C. Rent shall be paid electronically via lectronic wire transfer, direct deposit or other paperfess
means into a bank account to be designated by Owne . Owner may from time to time, designate another bank
account for the deposit of Rent provided the request i made in writing and received by APT at least sixty (60)
days in advance of any Rent payment date.

required by APT (�rollectively, the "Gomrriunications Fa 'lity", which Communications Facility. without limitation,

Owner shail provide APT with twenty-four(24)hou�,sev n(7)day a week,year,around access to the Project Site.
APT shall pay aN personal property taxes assessed ag inst the APT Faalities and ad valorem taxes assessed
agai�st the P�oject Site, commenang in cale�dar year 998 and oontinuing thereafter for the Initial Term of the �
�ease and any renewals thereof. Owne� shail timely y all real propeity faxes and assessments against the
Owners Property, but not the �roject Site. APT shall not allow any construction or materialmen's lie�s to be
placed on the Project Sfte or Owners Property as a resu t of its worlc on the Project Site.
APT, its agents and oontractors, a�e hereby g nted the right, at APTs sole cost and expense, to enter
upon the Owner's Property and conduct such studies s APT deems necessary to determine the Project Site's
suitabi(ity for APTs inte�ded use. These studies may in ude surveys, soif tests.environmental evaluations, radio
wave propagation measurements, field strength tests and such other analyses and studies as APT deems
necessary or desirable. Ow�er shail cooperate with T and execute ail documents required to pertnit APTs
intended use of the Project Site in compliance with zoni g, land use, buiiding and any other applicable regulations,
whether local, state or federal in nature. Owner hereb appoinfs APT as its agent and attcmey-in-fact for the
limited purpose of maki�g such filings and taking such a 'ons as a�e necessary to obtain any desired zoning,land
use approvals, building pennits and/or any other applica !e permits and approvals.
5. UTIUTIES. Payment for elecaic service and f r telephone or other oommunication services to the APT
Facili6es shal{ be APTs responsibility. Owner agrees to cooperate with APT in its efforts to connect the APT
Facilities to existing util'�r service at APTs expense_
6. REMOVAL OF APT FACIUTIES. All persona property and trade fixtures of APT shal{ be removed by
APT upon the tertnination of this Ag�eemenL Within thi (30) days of the expiradon or eariier teRnination of this
Agreement, APT shall retum the Project Site to the co dition existing at the time of this AgreemenYs execution,
�easonable wea�and tear a�d loss by casualty, conde nation and other causes beyond APTs control excepted.
Notwithstanding the foregoing, upon expiration or ea�fie tertnination of this Agreement,APT shall not�be required
to remove any foundation more than two(2)feet below rade level.
7. 1NSURANCE. APT shall maintain commercial eneral liability insurance insuring APT against liability for
bodily injury, death or damage to personal property ari ing out of use of the Project Site by APT, with combined
single limits of Owner shall maintain oommercial general liability
insurance insuring Owner against liability far bodily inju , death or damage to personal property arising out of its
ownership, use and management of the Project Site a d Owne�s Property by Owner and Owners agents, with
combined single {imits of . Any policy required to be obtained by
a�y party hereto pursuant to this Paragraph shall co�tai a waiver of subrogation in favor of the other pa�ty hereto,
to the extent required under Paragraph 10, lndemnity.
8. CONDITION OF PROPERTY. Owne�represe ts that the Owners Properfy and all improvements thereto,
a�e in campliance with all buildi�g, lifelsafety, a�d othe� laws, ordinances, rules and regulations of any
govemmental o�quasi-govemment authority.
9. TERM/NAT/ON. This Agreement may be t inated by APT at any time, in its sole discretion, by giving
written notice thereof to Owner not less than 30 days pri r to the Commencement Date. Furthe�,this Agreement may
be terminated by AP� immediately, at any time, upon iving written notice to Owne�, if: (a) APT cannot obtain all
govemmental ce�tificates, permits, licenses or otfier approvals (collectively, "Approval") required and/or any
easements required from any third party; or(b)any App oval is canceled, tesminated,expires or tapses; or(c)Owner
fails to deliver any non�isturbance agreement or suborcl na6on agreement required by APT;cr(d)Owner breaches a
representation or warranty co�tained in this Agreement; or(e) Owner fails to have proper ownership of the Owners
Property and/or the Project Site and/or authority to ente into this Agreement; or(�APT detertnines that the Owners

10. INDEMN/Tl! Owner and APT each indemnify th other against, and hold the other harmless from any
and all costs (including reasonable attomey's fees and xpenses) and claims, ac�tions, damages, obligations,
liabil'�ties and liens which arise out of(a)the b�ach of thi Agreement by the indemn'ifying party; and (b) the use
and/or occupancy of the Project Site, or the balance of Owners Property, by such indemnifying party. This
indemn'ity shall not apply to any claims, acGons, dama es, obligatlons, liab(IiUes and liens arising from any
negligent or intentional misconduct of the indemnified party and shall survive the termination of this Agreement
11. HAZARDOUS SUBSTANCES. Owner represe ts that Owner has no knowledge of any substance,
chemical, or waste on the Owners Property that is identl as hazardous, toxic or dangerous in any applicable
f�ederal, state or local law, ordinance, rule or regulati ("Hazardous Substances"). Owner shall hoid APT
harmless from and indemnify APT against any damage loss, expense, response costs, or liability, including
consultants' fees and any legal and court costs and a meys' fees resuldng from the presence of Hazardous
Substances on, under or around the Owners Property or esulting from Hazardous Substances being generated,
stored, disposed of, or transported to, on, under, or a und the Owne�'s Property as long as the Hazardous
Substances were not generated, stored, disposed of, r transported by APT or its employees, agents or
contractors.The temns of this paragraph shail survive the xpiration ar ea�lier tertnination of this Agreemen�
12. CASUALTY/CONDEMNATION. If any portion of e Oumers Property, Project Site or the APT Facii'�ties is
damaged by any casualty and such damage adversely a APTs use of the Project Site or the APT Facilities, or
if a condemning authority takes any portion of the Owners Property and such taking adversely affects APTs use of
the Project Site or the APT Facilities, this Ag�eement sha I tertninate as of the date of the casualhr or the date on
which title vests in the condemning autfioriiy,as the case y be if APT gives Hrritten notice of the same within thirty
(30)days after APT receives notice of such casualty or ta 'ng. The parties shall be entitled to make claims in any
condemnation proceeding for value of their respective int ts in the P�oject Site(which for APT may include,where
applir,�ble, the value of the APT Facil'ities, moving expen , prepaid rent, and business dislocation and relocation
damages). Sale of all or part of the Project Site to a pu aser with the power of eminent domain in the face of the
exercise of the power shall be treated as a taking by conde nation.
13. WAIVER OF OWNER'S LlEN. To the extent rmitted by law, Owner hereby waives any and all lien
rights it has or may have, statutory or otherwise, conce ing the APT Facilides or any portion thereof which shall
be deemed personal property for the purposes of this greement, regardless of whether or not the same is
deemed real or personal property under applicable law.
14. QUIET ENJOYMENT. APT, upon payment of th Rent, shall peaceably and quietly have, hold and enjoy
the Project Site. If, as of the date of execution of this greement or hereafter, there is any mortgage, or other
encumbrance affecting Owners Property, then Owner a rees to obtain from the holder of such encumbrance a
Subordina�on, Non-Disturbance and Attomment Agree ent pursuant to the terms of which APT shall not be
disturbed in its possession, use and enjoyment of the P ject Site. Owner shall not cause or permit any use of
Owners Property which interferes with or impairs the q ality of the communication services being rendered by
APT from the Project Site. Except in cases of emergen , Owner shall not have access to the Project Site unless
accompanied by APT personnel.
15. DEFAULT. Except as expressty limited herein, Owner and APT shall each have such�remedies for the
default of the other party hereto as may be provided at aw or equity following written notice of such default and
failure to cure the same within thirty(30)business days.
Upon default by Owner and upon written notice to Own r and subject to all applicable cure periods provided to
Owner in this Agreement ( and if no such notice and ure period is provided, following thirty (30) days written

16. MISCELLANEOUS.
A Owner represenffi and warrants that Owne has full authority to enter into and sign this Agreement
and has good and marketable title to the Ow�ers Properly.
B. APT represents and warrants that ft is d ly aut�orized bo do business in Florida and that the
undersigned signatory far APT is fully authorized by APT to e ter intio this Agreement on behalf of APT.
C. This Agreement supersedes all prior dis ssions, nego�ations and agreements beiween the
parties herebo and contains all agreements and unders ndings between the Owner and APT regarding the
subject matter of this qqreement This Agreement may nly be amended by a writing signed by both parties.
Exhibits"A"through"C"are hereby incorporated into this A reement by reference. �
D. This Agreement may be signed in counte arts by the parties hereto.
E. The terms and conditions of this Ag ment shall extend to and bind the heirs, personal
representatives,suxessors and assigns of Owner and AP .
F. The prevailing party in any action or pr ing to enforce the terms of this Agreement shall be
entitled to receive its reasonable attomeys'fees and othe reasonable enforoement costs and expenses from the
non-prevailing party.
G. Simultaneously herewith or on or before the Commencement Date, Owner shall execute and
acknowledge and deliver to APT for recording a memora dum of this Agreement("Memorandum") in the form of
Exhibit "C". Owner hereby grants APT permission to insert the effective date of this Agreement into the
Memorandum after execution of the Memorandum.
H. APT may assign this Agreement or subl t the Project Site (in whole or in part) at any time and
from time to time without Owners consent. No assign ent or subletting shall release APT from any of the
obligations arising under this Agreement ,
I. Notices shall be in writing and sent by U ited States Mail, postage prepaid, certified or registered
with retum receipt requested or by any nationaliy-recog ized ovemight courier service to the address set forth
beneath the signature of each party below. Any such no ce shall be deemed given when deposited in the United
States Mail or delivered to such courier service.
J. This Agreement shall be construed in a rdance with the laws of the State of Florida.
K. Each party agrees to fumish to the other, within ten (10) days after request, such truthful estoppel
information as the other may reasonably request.
L. Owner and APT each represent that the have not been represented by a real estate broker or
' other agent in this transaction. Each party shall indemn and hold the other party harmless from any claims for
commission,fee or other payment by such broker or any ther agent claiming to have represented a party herein.
M. Tower shall be free of all material and m chanics liens.
N. The parties hereto warrant and represe t, each to the other, that the matters of fact contained
herein are true and accurate.

P. APT has the right but not the obiigation m time to �me to pay any taxes, judgments, liens,
'�assessments and/or any other charges outstanding whic are levied upon Owner or the Owner's Property and
whlch are or in�e fuWre could become liens upon the ner's Property, in whote or in any part(individually and
collectively, "Liens'). In the event that APT satisfies or s any such Liens, in whole or in part, APT shall have
the right but no duty to set off aad offset any and al1 amou ts so paid againat Rent and any other sums payable or
to bec:ome payable_pursuant to the terms of this Agreemen ("Rerrt and Other Charges'). If APT elects ta set oif or
ofFset the amounts paid by APT against Rent and Oth r Chargea, immediately upon demand, Owner shall
reimburse APT for ail sums paid by APT which exc�ed uch Rent and Other Charges. In the event that APT
elects not to set off or offset the amounts paid by AP against Rent and Other Charges, immediately upcn
demand.Owner shaif reimburss APT for all amounts paid APT. APTs rights to satisty or pay Ifens(in whole or
in part)and then to set off and oftset as described in this ubparagraph include the right of APT to pay and set off
and offset any and all attomay's fees incuRed by APT in nneation with mawng such payments and/or obtaining
such full or partial satisfac�ons.
Q. Co-location As�reemsnts. APT shalt permitted to enter into agreements with third parties
whe�in such third parties are permitted to oo-locabe on t Communications Facility (a"Co-toca�on AgreemenY).
The following shall app{y with respect to any Co-locablon reement entered inbo by APT:
1. In the event that APT rmits a third a to co-locate on the Communications Facility, APT
shall pay to Owner of all amounts collected as rent•under the terms
of such Co-location Agreemen� The e amourrts shall be due and payable to Owner within
iwenty {20) days after such amou are coltected by APT. Failure to make any such
payment to Owner shall be considere a default under this agreement and shall entitle Owner
to the same rights as in the event of default in the payment of Rent
2. No Co-loca�on Agreement signed b AP7 shall extend beyond the Term of this Agreernent
without the Owne�s pricr written nsent, which shall not be unreasonably withheld or
delayed. If APT elects to extend thi Agreement for one or more Renewai Terms, then, no
Calocativn �greement executed by APT shafl extend bByond such Tertn, as extended. In
the event that APT terminates this Agreement prior to the end of either such period as
permitted under the temns of Parag ph 9, APT shall immediately assign any and all surviving
Co-location Agreements to Owner, ich assignment shall be effective as of the tennina6on
date of this Agreement

MEMORANDUM OF SITE AGR EMENTlLEASE FOR LAND
THIS MEMORANDUM OF SITE AGREEMENT/ EASE FOR LAND ( "Memorandum') is made and
entered into by and between CITY OF ZEPHYRHILLS, a municipality of the State of Florida, with an address of
5335 Eighth Street as'Owner, and APT Tampa/Oriando Inc., a Delaware corporation, with an address of 8410
W. Bryn Mawr, Suite 1100, Chicago, IL 60631-3486,"AP .
1. PREMISES. Owner and APT have entered i to a Site Agreement for Land dated as of
. 1997(together with any amend ents and modfications thereto, the"Site AgreemenY),
whereby Owner has leased and APT has hired those rtain premises Pasco County, Florida, consisting of,
among other things, approximately 2,500 square feet of I nd, as depicted and legally described on Exhlbk "A"
attached hereto and hereby incorporated into this Memora dum and certain easements(the'Project Slte').
2. TERM• The initial term of the Site Agre ment shall be a period of five (5) and a fraction years
commencing as of the °Commencement Date," as de ned herein below, and tertnina6ng on the 31st day of
December following the fifth(5th)annual anniversary of e Commencement Date unless otherwise terminated as
provided in the Site Agreement("Inittal Term"). ,
3. RENEVIIAL OPTIONS. In addition to th Initial Term and on and subject to the tertns of the Site
Agreement, the Site Agreement term may be automati Ily extended for four (4) consecutive periods of five (5)
years each. Each such extension shall be known herein fter as a "Renewal Term.° Hereinafter, the Initial TeRn,
" together with any and all Renewal Terms, shall be known s the"Term"of the Site Agreement.
4. COMMENCEMENT. The "Commencemen Date" is the date on which APT begins construction of
the APT Facilities (as defined in the Site A reement). Accordingly, unless otherwise,specifically
stated here: . the Commenc ment Date shall be the date of APTs filing of a Notice of
Commencement in the public records of the county in whi h the Project Site is located.

Mobite Lessor"}, having a maiIing address of 1 920 S.E, 38th Street; Bellevue, Washington
98Q06, and CCTMU LLC, a L}elaWare limited 1 ability company ("Crawn"), having a mailing
address of 2000 Carporate Drive, Canonsburg,Pe sylvania 15317.
l. The City of Zephyrhills and APT T palOrlanda ("4riginal T-Mobile Tenant")
entered inta that certain Agreement dated Nove ber 24, 199�, a memorandum af which was
recorded in Book 3850, Page 1189 i� the Public ecords of Pasco County, Florida, for certain
real groperty as described on Exhibit A atta.ched hereto and incarparated herein by reference
(the"Land"}.
2. T-Mobile Lessor and Crown are partie to {a} a Master Prepaid Lease (the "1VIYL")
and (b) a Management Agreement (the "MA"), e ch with an effective date of November 30,
2012, pursuant to which T-Mobile Lessor (as s ccessor to Original T'-Mobiie Tenant) has
granted to Crown and Crawn has accepted, either{ ) a leasehald ar sub-leasehald interest in the
Land, together with the telecommunications tower 1 cated theretrn, and such other improvements
as more fuliy set forih in the MPL or the MA, as pplicable (coliectively, the "Site"}, or {z} an
exclusive right ta operate, manage and administer he Site, in either case, subject ta the terms,
conditions and reservaiions in the MPL ar the MA, s applicable.
3. �'he MPL and the MA each have a term hat comrrtenced <>n Nc�vcmber 30, 20 t 2 and
shall terminate or .expire, with respect to the Site on the Site Expirati�n Date or 'I'echnical
Closing I�ate, as appiicable, and as deterrriined in a cordance with the MPL and the MA, but in
no event later than December 31,2049.

j � 4. Crown has an option to purchase T-M bile Lessor's right, title and interest in the Site
in accordance with Section 20 of the MPL.
5. Unless otherwise defined herein, capi lized terms shall have the meaning set forth in
the MPL. The MPL and the MA and any an all amendments thereto contain terms and
conditions in addition to those set forth in this Me orandum. This Memorandixm is not intended
to amend or modify the terms and conditions o the MPL or the MA or of any amendments
thereto. The parties agree that the terms and con itions of the MPI.. and the MA, as applicahle,
shall govern the relationship of the parties under t is Memorandum and the MPI,and the MA are
each incorporated herein by referenee. In the ev nt of a conflict or inconsistency between the
terms of the MPL or the MA and this Memoran um, the applicable terms of the MPL and the
MA shall govern and control.
6. This Memorandum shall not be amen ed, supplemented or modified in any respect,
except pursuant to written agreement duly execut by the parties;provided,however, if the term
of both the MPL and MA shall terminate or ex ire with respect to the Site, the parties shall
execute and file a revocation of or amendment to is Memorandum to evidence such termination
or expiration. If either party fails to timely e ecute a revocation of or amendment to �his
Memorandum promptly after the expiration or te ination of both the MPL and MA, then the
other par�y shail have the right to execute such r vocation or amendment as attorney in fact for
such failing party.
7. T-Mobile Lessor granted to Crown a Power of Attorney dated November 30, 2012
related to the leasing, management and operati n of the Site, which Power of Attorney was
recorded as Instrument Number E2013105967 in e aforesaid recording office.

1) INTRODUCTION
This tower is a 190-ft self-support tower designed by almont Microflect in January of 1998. The tower was
originally designed for a wind speed of 105 mph per EI IA-222-F for the appurtenances listed in Table 3. The
tower has been modified per reinforcement drawings pr pared by Tower Engineering Professionals in July of
2013. TEP visited the site in November of 2013 to p rform a post modification inspection. All information
provided to TEP was assumed to be accurate and compl te.
2)ANALYSIS CRITERIA
The analysis has been performed in accordance wit the ANSI/TIA-222-G-2-2009 Structural Standard for
' Antenna Su ortin Structures and Antennas–Addend m 2 using a 3-second gust wind speed of 106 mph with
no ice and 60 mph under service loads with the following design criteria:
1) Type of Analvsis: Rigorous Structural Ana ysis
' 2) Classification of Structure: Class II
Definition: Structures used for services th due to height, use or location represent a significant
hazard to human life and/or damage to prop rty in the event of failure and/or used for services that
may be provided by other means.
3) Exposure Cateaory: Exposure C
Definition: Open terrain with scattered obst uctions having heights generally less than 30-ft. This
category includes flat, open country, grassla ds and shorelines in hurricane prone regions.
4) Topographic Cateaory: Category 1
Definition: No abrupt changes in general t pography, e.g. flat or rolling terrain, no wind speed-up
consideration shall be required.
' 5) Earthquake Category: Not Considered
Commentary: Earthquake effects may be ig ored per this standard for site locations where Ss does
not exceed 1.0. (Pasco County Max Ss= 0.10).

three-dimensional model of the tower and alculate member stresses for various loading cases.

3.2) Assumptions
1) The tower and foundation were built in accordance with the manufacturer's specifications.
2) The tower and foundation have been maintained in accordance with the manufacturer's
specification.
3) The configuration of antennas, transmission cables, mounts and other appurtenances are as
specified in Tables 1 and 2, and"Appendix B—Base Level Drawing".
4) When applicable, transmission cables are considered as structural components for calculating
wind loads as allowed by the standard.
5) All tower components are in sufficient condition to carry their full design capacity.
6) Serviceability with respect to antenna twist, tilt, roll, or lateral translation, is not checked and is '
left to the carrier or tower owner to ensure conformance.
7) All antenna mounts and mounting hardware are structurally sufficient to carry the full design
capacity requirements of appurtenance wind area and weight as provided by the original
manufacturer specifications. It is the carrier's responsibility to ensure compliance to the
structural limitations of the existing and/or proposed antenna mounts. TEP did not perform a site
visit to verify the size, condition or capacity of the antenna mounts and did not analyze antennas
supporting mounts as part of this structural analysis report.
8) The following material grades were assumed:
(a) Legs:ASTM A53-B-46
(b) Bracing:ASTM A36
This analysis may be affected if any assumptions are not valid or have been made in error. Tower
Engineering Professionals should be notified to determine the effect on the structural integrity of the
tower.

1) If the load differs from that described in Tables 1 and 2 of this report, "Appendix B—Base Level
Drawing" or the provisions of this analysis are found to be invalid, another structural analysis
should be performed.
