("Contractor"). <br /> In consideration of the mutual covenants contained herein; together with other good and <br />' valuable consideration,�the adequacy, sufficiency�and receipt of which is hereby�acknowledged, <br /> and intending to be legally bound hereby,the parties agree as follows: <br />�� 1. SERVICES. TERM. The term of th'is Agreement shall commence on 01.27.2017 and continue <br /> through 02.28.2017 `provided, however, this Agreement shall automatically terminate <br /> upon. the sale by Owner of the Premises or upon the termination for any reasonr of the <br /> Management Contract beiween Owner and Manager: <br /> Either party hereto may at any time during the Term and without cause; terminate�this <br /> Agreement upon thirty (30) days advance written notice to the other party. If, in the soie <br /> judgment of Owner or Manager, Contractor fails to perform its duties under this Agreement, <br /> Owner or Manager may provide Contractor with seven days notice citing the� defects in <br /> Contractors performance, and if Contractor has not cured said.defects within the notice period <br /> then this contract shall terminate and Contractor will be entitled only to a proration of its fees <br /> through the date of termination; less any damages, losses, costs or expenses incurred by Owner or <br /> Manager as the result of Contractor's defects in performance. .` _ ' , _ ,_. <br /> 3.
