MIS EL EO <br /> C LAN US. <br /> (a) In the event that any action, suit, or other proceeding is instituted to remedy, prevent, <br /> or obtain relief from a breach of this Agreement or arising out of a breach of this Agreement, <br /> andlor to: contest the validity hereof, the prevailing, party shall recover all of such party's <br /> attorneys' fees incurred in,each and every+ such action, suit or other proceeding, including <br /> -attorneys' fees in all administrative hearings and appeals. <br /> (b) The rights and duties arising under this Agreement shall be governed by the laws of <br /> the State in which the Premises is located,without regard to conflicts of law principles. Any legal <br /> proceedings undertaken with respect to this Agreement shall be prosecuted in any court of <br /> competent jurisdiction in the county in which the Premises is located. <br /> (c) Contractor warrants and guarantees materials and labor provided by Contractor to <br /> Owner hereunder against defects in materials and workmanship for a period of one year following <br /> the date of completion thereof.
