might exercise, and I understand that anything my attorney-in-fact may do in the exercise of such <br /> rights and powers is fully binding upon me. <br /> 11. Invest the proceeds of any redemptions or sales and any other of my <br /> money, in bonds, shares of stock and other securities as my attorney-in-fact shall think fit. <br /> 12. Vote at all meetings of stockholders of any company and otherwise act as <br /> my attorney-in-fact or proxy with respect to my shares of stock or other securities or investments <br /> that now or hereafter belong to me, and appoint substitutes or proxies with respect to any of <br /> those shares of stock. <br /> 13. Participate with any other person, trust or business entity in a trust or <br /> business entity (for example, a corporation, partnership or limited liability company) and shall <br /> have and exercise all the powers of management and participation in the management necessary <br /> and incidental to a membership in such entity. My attorney-in-fact may at any time participate in <br /> the formation of any such entity. My attorney-in-fact shall have the power to make contracts and <br /> have dealings with itself as an owner in such entity without there being applied rules prohibiting <br /> a fiduciary from contracting or dealing with itself as a fiduciary of other properties. <br /> My attorney-in-fact shall never be liable for a decision to invest all or any part of <br /> my property in any type of trust or business entity which provides additional protection of my <br /> assets or which provides for the convenient management of jointly owned family property <br /> (including property held by one or more trusts for members of the family). This will be so even <br /> though restrictions on transfer and liquidation may cause the ownership interest to have a fair <br /> market value which is less than the fair market value of the assets contributed to the entity. <br /> With regard to any contract, agreement, undertaking, covenant or representation, <br /> entered into or made by, or on my behalf by my attorney-in-fact, any rights, liabilities or <br /> obligations created by virtue of such contract, agreement, undertaking, covenant or <br /> representation will be solely the rights, liabilities and obligations of mine. Any such contract, <br /> agreement, undertaking, covenant or representation will not bind, or inure to the benefit of, my <br /> attorney-in-fact in my attorney-in-fact's personal or individual capacity. <br /> 14. Execute on my behalf any tax return and act for me in any examination, <br /> audit, hearing, conference or litigation relating to taxes, including authority to file and prosecute <br /> refund claims (for any year), and enter into any settlements. <br /> 15. Sell, rent, lease for any term, or exchange any real estate or interests in it <br /> for such considerations and upon such terms and conditions as my attorney-in-fact may see fit, <br /> and execute, acknowledge and deliver all instruments conveying or encumbering title to real <br /> property, including the execution and delivery of contracts to sell, options to purchase, grants of <br /> easements, or licenses on or over real property, mortgages and conveyances. The powers <br /> conferred upon my attorney-in-fact extend to all of my right, title and interest in (i) current or <br /> subsequently acquired homestead property and (ii) property in which I may have an interest <br /> jointly with any other person, whether in an estate by the entirety, joint tenancy or tenancy in . <br /> common. <br /> 16. Prosecute, defend and,settle all actions or other legal proceedings touching <br /> my estate or any part of it or touching any matter in which I may be concerned in any way. <br /> 3. <br />
