OSHA regulations require that "all employers provide information to their employees about the hazardous <br /> chemicals to which they are exposed". Provide a list and MSDS (Material Safety Data Sheets) for all of the <br /> hazardous chemicals known by your firm to be present on this project created by your scope of Work. Label <br /> all hazardous chemicals properly. The label will list the contents of the container, appropriate hazard <br /> warnings and name and address of the manufacturer, importer, or other responsible party. Provide a <br /> material safety data sheet for each hazardous chemical present at the job site. Hazardous communications <br /> programs and safety data sheets will be located at the construction trailer. <br /> ARTICLE 10 <br /> DISPUTE RESOLUTION: It is mutually agreed that all disputes between Contractor and Subcontractor arising in <br /> connection with this Agreement that may involve disputes between Contractor and Owner, shall, at the sole election of <br /> Contractor, be resolved in accordance with the dispute resolution provisions of the principal contract between Contractor <br /> and Owner. All disputes between Contractor and Subcontractor arising in connection with this Agreement, that do not <br /> involve disputes between Contractor and Owner, shall, at the sole election of Contractor, be subject to binding arbitration <br /> in accordance with the Construction Industry Rules of the American Arbitration Association. This binding arbitration shall <br /> take place in Tampa, Florida. In any dispute resolution proceedings arising out of or relating to this Agreement, the <br /> prevailing party shall be entitled to an award of its costs and reasonable attorneys' fees, including all such costs and <br /> attorneys'fees incurred on appeal. <br /> ARTICLE 11 <br /> DELAY: Subcontractor shall be responsible for any damages for delay attributable to its Work. A reasonable time <br /> extension will be provided to Subcontractor for delays beyond its control. Subcontractor agrees to make no claim for <br /> damages or loss for delay in performance of the Work occasioned by any acts and.specifically agrees that such damages <br /> or loss as shall, be fully compensated for by an extension of time to complete the performance of the Work. Sub- <br /> Contractor shall be responsible for any damages suffered by the Owner and Contractor arising out of defective work <br /> performed-by Sub-Contractor or any other material breach of this Agreement by the Sub-Contractor. <br /> ARTICLE 12 <br /> TERMINATION FOR CONVENIENCE: Contractor reserves the right-to terminate this Agreement at any time, for <br /> Contractor's convenience, by providing no less than seven (7) calendar days written notice to the Subcontractor. In the <br /> event this Agreement is terminated for Contractor's convenience, Subcontractor shall be entitled to payment for all work <br /> performed through the date of termination. However, Subcontractor shall not be entitled to any additional compensation <br /> from the Contractor, including, without limitation, lost overhead or profit on Work not performed by the Subcontractor. <br /> a <br /> ARTICLE 13 <br /> ENTIRE AGREEMENT: This Agreement constitutes the entire understanding of the parties relating to the Work and <br /> supersedes any prior proposals or agreements, written or oral. This Agreement cannot be changed or modified orally.
