DocuSign Envelope ID:EF61 ASEF-61D294ME-931D0-FE91 C2318334 2 of 3 <br /> U <br /> Sblar ArrayInstallation U N P R I-1 <br /> SOLAR ENERGY SPECIALISTS <br /> DUTIES OF SUNPRO <br /> •Sunpro shall obtain all county and city permits necessary for the system to be installed. <br /> • Furnish current general liability and worker's compensation insurance upon request. <br /> • Install System to comply with all applicable codes and wind zone requirements, including 180 mph <br /> wind zone. <br /> •Sunpro shall remove all construction debris and leave the project in a broom clean condition. <br /> •Once homeowner has paid in full, Sunpro will issue all product&labor warranties and a power production <br /> guarantee to the Owner based on shade analysis performed at the time of the system installation. <br /> Sunpro will also complete the Monitoring system if applicable and will assist the Owner with entering into an <br /> Interconnect Agreement between Owner and the applicable utility company. <br /> OWNER <br /> •The Owner will have no control over or charge of installation means, methods,techniques, sequences, <br /> procedures, or for safety precautions and programs in connection with the installation <br /> of the System, since these are solely Sunpro's responsibility. <br /> •Owner is responsible for obtaining any approvals necessary from their Homeowners Association. <br /> •Owner will provide access point for Enphase envoy to connect to home internet service through a wired <br /> connection.This is typically done through the home's router. Owner will provide WIFI internet access to take <br /> advantage of Enphase's monitoring system. <br /> •Owner recognizes that Sunpro Solar is not qualified to offer any tax or legal advice. Owner should <br /> consult with a CPA or a qualified tax advisor to ensure owner receives any local, state or federal incentives <br /> that may be available. <br /> • Owner acknowledges that the federal incentive for costs associated with qualified solar property is in the <br /> form of a nonrefundable TAX CREDIT. <br /> UNKNOWN CONDITIONS <br /> Sunpro is not responsible for conditions that are encountered at the installation site which are concealed physical conditions or <br /> unknown physical conditions of an unusual nature, which differ naturally from those ordinarily found to exist. Sunpro is not <br /> responsible for existing electrical service deficiencies that mayor may not be code compliant. Existing electrical service <br /> components, including but not limited to, breaker boxes/panels, disconnects, meters, fuse boxes, wiring, conduit and all other <br /> necessary components to energize an existing structure are not the responsibility of Sunpro. At the sole discretion of Sunpro, <br /> Sunpro may cancel this Contract due to (i) any conditions encountered that impact the performance, installation or code <br /> requirements of the System's installation, or(ii) any other conditions that impact the safe and effective installation of the System. <br /> ARBITRATION AND LEGAL <br /> Any controversy or claim arising out of or relating to this Contract, or the breach thereof, shall be settled by arbitration <br /> administered by the American Arbitration Association under its Construction Industry Arbitration Rules, and judgment on the <br /> award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. In the event of any arbitration or <br /> litigation relating to this Contract, the prevailing party shall be entitled to reasonable attorney fees, costs and expenses. If any <br /> amounts due under this contract are not paid when due, any such unpaid balances shall be charged interest at the rate of 1 1/2 <br /> %per month which is an annual percentage rate (APR) of 18%per year. <br /> CLASS ACTION WAIVER <br /> Arbitration shall proceed solely on an individual basis without the right for any Claims to be arbitrated on a class action basis or <br /> on bases involving claims brought in a purported representative capacity on behalf of others.The arbitrator's authority to resolve <br /> and make written awards is limited to Claims between Owner and Sunpro alone.
