Zephyr Storage LP <br /> 217 South Erwin St. 400 Clematis St. <br /> Cartersville, Georgia 30120 West Palm Beach, Florida 33401 <br /> Subcontract Price: <br /> Seven Thousand One Hundred Dollars And Zero Cents ($7,100.00) <br /> THIS Subcontract, made and entered into this March 16th,2020, by and between J. Raymond Construction Corp. (hereinafter <br /> "Contractor")and ACS Fire & Security(hereinafter"Subcontractor"). <br /> WITNESSETH: <br /> 1.The Subcontractor hereby agrees with Contractor to furnish all labor, material, taxes, equipment, supervision, and other <br /> items necessary to complete the scope of work("work") indicated in Exhibit"A".This"work"includes any additional work necessary and <br /> customary to make this project complete in accordance with the Contract Documents for the Subcontract Price indicated herein. <br /> See Exhibit"B"for enumeration of Contract Documents, Exhibit"C"for samples of Waiver and Release of Lien upon Progress/Final and <br /> Application for Payment/Schedule of Values, Exhibit"D"for Sub-subcontractor Form, Sample Insurance Certificate, Insurance Tracking <br /> Information and Subcontractor Information Form. Other Contract Documents: Initial Construction Schedule which may be sent under <br /> separate cover. <br /> 2. Prior to commencement of work, Subcontractor and any approved sub-subcontractors shall submit an original "project <br /> specific" certificate of insurance with Contractor named as holder and additional insured of said certificate and in accordance with all <br /> insurance requirements of this Agreement. Contractor must receive the Federal Tax I.D. number for Subcontractor and approved sub- <br /> subcontractors. Subcontractor must provide to Contractor and Contractor receive the attached Exhibit "D" — Sub-Subcontractor Form <br /> listing sub-subcontractors or any other entities that Subcontractor may hire. All approved sub-subcontractors must also submit all <br /> insurance information as required herein. Contractor reserves the right to reasonably reject any proposed sub-subcontractor. <br /> Subcontractor is required to have and to provide to Contractor evidence of that it possesses all licenses and permits that are necessary <br /> or otherwise required of Subcontractor to lawfully perform the work. This requirement applies to, and includes sub-subcontractors and <br /> all other entities that Subcontractor may hire. Subcontractor shall submit all shop drawings, submittal data, brochures and samples to <br /> Contractor and as many duplicate copies as Contractor may require and no later than ten (10) days after the Subcontract Date. The <br /> correctness of all measurements, coordination with other trades and materials, including field measurements, shall be the responsibility <br /> of Subcontractor, unless such responsibility is assumed by Contractor in writing. Subcontractor shall immediately review the Contract <br /> Documents and report any discrepancies to Contractor. Failure to perform this review in a timely manner shall result in a waiver of any <br /> and all claims by Subcontractor to the extent of any additional costs that could have been avoided by an immediate review of these <br /> documents by Subcontractor. <br /> 3. Subcontractor represents and agrees that it has carefully examined the Contract Documents relevant to the work and is <br /> thoroughly familiar with said plans and specifications and that the methods, sequences, and procedures described therein or <br /> reasonably inferred as necessary for said work are agreed upon and correct and sufficient to perform the work specified or reasonably <br /> inferred; that it has adequately investigated the nature and conditions of the Project site and locality; has familiarized itself with <br /> conditions affecting the difficulty of the work; and has entered into the Subcontract based on its own examination, investigation, and <br /> evaluation and not in reliance upon any opinions or representations of Contractor. Contractor shall have the right and power at all times <br /> to order the work objected to be removed or replaced or (at Contractor's sole option, if acceptable to the Owner) to receive from the <br /> Subcontractor in payment, a sum of money equivalent to the difference in value of the work performed and that required by the plans <br /> and specifications, drawings and details. <br />
