<br />IiC. MISCEI..LA.NEOUS
<br />9.01 In the event that the Contractor. becoll\t9s involved in any administrative
<br />proceedinq, litigati'On, arbitrati'On, 'Or any other proceedinq for the resolution of a
<br />dispute with the owner of the Project concerninq or re.lating in whole or' in part to the
<br />w'Ork being done on the Project as its relates to the Subcontract Work or the
<br />Subc'Ontract'Or's perf'Ormance of the Suboontract Work, the Contract'Or shall. qive the
<br />Subcontractor notice there'Of. 'l'hereupon, the Subcontractor shall have the oppornlni.ty to
<br />be represented by its own counsel at is expense in the said pr'Oceeding. Whether or not
<br />the Subc'Ontractor supplies it ONn counsel, it shlll,11 be bound by the outcome of the said
<br />pr'Oceedinq and any judg:men t, verdict, award or. decis.i,'On shall be bi.nding upon the
<br />Subcontract'Or.
<br />9.02 Disp,.ltes "Thich m.ay ari.se hereunder between the Contractor and the
<br />Subcontractor sha.Il n'Ot interfere with the di1iqent perfo:r:mance by the Subcont,ractor of
<br />the Subc'Ontr.act Work.
<br />9.03 Except as otherwise limi.t.ed in Secti.on 6.04, ab?Ve, the Cont:r.act'Or and the
<br />Subcontraoto:t:, and their heirs, executors, administ:t:ators, successors and assigns shall be
<br />bound and benefited by the c'Ovenants herein contaj.ned.
<br />9.04 This Subcontract is not intended to create any third party beneficiary rights
<br />in any party n'Or to create a contractual relationship between the parties hereto and any
<br />third parties; and the riqhts and p:r.ivileqes of this Subcontract sha.ll inur.e only to the
<br />benefit 'Of the par-ties hereto and, subject to the restrictions on assiqnment by
<br />Subcontractor stated above, their respective successors and assigns.
<br />9.05 Subcontra.ct'Or aqrees t'O reim.bl.lrSe t.he Con tract'Or, the o~.,ner. or the Architect
<br />for any and all Joeqa.l eKpenSe!!!l which a:r.e i.ncur.red because of a di.spu,te between the
<br />Subc'Ontra.ctor or a.nyparty claiming under. or in behalf of the Subcontractor., 1I,nd the
<br />C'Ontracto.r.
<br />9.06 This Agree-.rnent shall constitute the entire agreement between the part.ies and
<br />all pr.i_or negotiations are fM!!rged .into this Agreement. Any amendment, chanqo.":! or addit.ion
<br />to this Agreement shall be made 'Only in writinq I\\nd siqnedby both par.ties.
<br />9.07 The due date for receipt 'Of payments by Cont:ractor from thE! owner of the
<br />Project is ten days after tho.":! recei.pt and appr.'Oval by owner of a requisi ti'On for payment
<br />from the C'Ontract'Or.
<br />9.09 If any pr'Ovision o.f this s1..tbcontract. shall be held invalid, i t5 invalidity
<br />shall not affect any 'Other provisi'Ons of this subc'Ontract that can be qiven effect wi.thout
<br />the invalid provision, a.nd for this pu:rpose the provisions of this subc'Ontract. are he.r.eby
<br />declared t'O be severable.
