Buyer agrees to pay Seller or Seller's agent immediately upon <br />completion of the work as defined in this contract. <br />Buyer is responsible as to the location of the fence. Buyer(s) holds Seller harmless <br />from any liability caused by an error in the location of the installed fence. <br />Under no circumstances does USA Steel Fence company have any <br />responsibility concerning property lines or in any way guarantee their <br />accuracy. <br />Buyer(s) shall inform Seller of all UNDERGROUND OBSTRUCTIONS, whether <br />natural or man made, in writing and also by physically marking them on the <br />property. The Contract price is based upon only those underground <br />obstructions disclosed by Buyer(s)as per above. Buyer(s) agrees to hold Seller <br />harmless to any damage caused to any underground obstructions (examples: <br />plumbing, wiring. sprinkler systems, septic systems etc.) If Seller encounters <br />underground obstructions which Buyer(s) have failed to inform seller of, <br />including rock, etc., (whether previously known or unknown by Buyer(s)), <br />Seller shall have the option to terminate this contract and be paid by Buyer(s) <br />for the installation of the fence up to the point of termination, or to continue <br />the work after re-negotioation of the Contract Price with the Buyer(s). <br />All materials will remain the property of Seller until all invoices pertaining to this job <br />are paid in full. Seller has the express consent of buyer to enter the property <br />and remove any portion of the fence if not paid. <br />A cancellation fee based upon 10% of the Contract Price will be charged and will be <br />deducted from the Down Payment upon notice to the Seller of the Buyer(s) <br />intent to cancel this contract prior to commencement of work by Seller. <br />A late payment charge of 1-1/2% per month, (18% per annum) will be added to any <br />balance remaining unpaid 30 days after due date. <br />The Buyer(s) agree they will pay all costs of collection, including (but not limited to) <br />reasonable attorneys fees, in the event that payment(s) are not timely paid. <br />The Buyer agrees that the venue for any legal action will be Manatee County Florida, <br />or at a place of the Seller's choosing.. <br />Buyer(s) is liable for all damages to materials delivered to the job site whether <br />incorporated in the fence or not, unless damage is caused by Seller's <br />negligence. <br />The duties and obligations of the Buyer(s) shall bind his heirs, personal <br />representatives, successors, and assigns. <br />This contract may be assigned by the Seller, without notice to the Buyer(s), and when <br />assigned shall be free from any defense, counterclaim, or cross claim by <br />Buyer(s).
