<br />ATTACHMENT <br /> <br />Bid/Contract Documents <br />(Plans, timelines, cost breakdowns and specifications included in bid packages to become part of the <br />Agreement) <br /> <br />ARTICLE XIII <br /> <br />CHANGES IN THE WORK <br /> <br />13.1 Owner, without invalidating the Agreement, may order changes in the Work consisting of <br />additions, deletions, or modifications, the Project Sum and the Project Construction Timeline being <br />adjusted accordingly. All such changes in the Work shall be authorized by written change order signed <br />by Owner and Contractor. <br />13.2 The Project Sum and the timeline (as referenced in Section 2.2.4 of the Agreement) may <br />be changed only by change order mutually acceptable to Owner and Contractor. <br />13.3 The cost or credit to Owner from a change in the Work shall be mutually acceptable to <br />Owner and Contractor and shall be specified in the change order. <br /> <br />ARTICLE XIV <br /> <br />WARRANTY / CORRECTION OF WORK <br /> <br />14.1 Contractor warrants to Owner that all materials and equipment incorporated in the Project <br />will be new unless otherwise directed by Owner, and that all Work will be of good quality performed in <br />a good and workmanlike manner, free from faults and defects and in strict conformance with the <br />Contract Documents. Contractor shall promptly, and at its expense, correct any Work that fails to <br />conform to the foregoing warranty where such failure to conform appears during the progress of the <br />Work. In addition, Contractor shall, at its expense, remedy any defects due to faulty materials, <br />equipment or workmanship which appear within a period of one year from the date of final payment for <br />the Project, or within such longer period of time as may be prescribed by law, or by the terms of any <br />other warranty (including any manufacturer's warranty) or other applicable special guarantee required by <br />the Contract Documents or otherwise existing. The provisions of the Article shall apply to Work done <br />by Subcontractors, as well as to Work done by direct employees of Contractor. <br /> <br />ARTICLE XV <br /> <br />TERMINA TION BY CONTRACTOR <br /> <br />15.1 If, through no fault of Contractor, Owner fails to issue payment pursuant to the provisions <br />of Article III of the Agreement within 30 days of receipt by Owner of a complete and correct Request <br />For Payment form (along with all required supporting documentation), Contractor may, upon seven days <br />written notice to Owner, if such the amount owed is not paid within such seven day period, terminate the <br />Agreement and recover from Owner payment for all Work executed and properly invoiced or otherwise <br />performed. <br /> <br />128770 <br />Form <br />4400158 <br />5/04 <br /> <br />GC <br /> <br />
