EXHIBIT B <br /> WORK LETTER <br /> All terms herein that are defined in the body of the Lease to which this Exhibit is attached the <br /> meanings provided for them in the body of the Lease. T'he Term "Tenant's Work" shall mean any work <br /> performed by Tenant,whether Tenant's Initial Work or work subsequent thereto. <br /> SECTION I. DELIVER OF PREMISES BY LANDLORD <br /> 1. Except as may be otherwise specifically set forth in this Lease, Tenant shall take the <br /> Premises in an "as is" condition and all work to be performed at the Premises shall be performed by <br /> Tenant at Tenant's expense. <br /> 2. Landlord does not warrant any information Landlord may have furnished or will furnish <br /> Tenant regarding the Premises. It shall be TenanYs responsibility to verify existing field conditions of the <br /> Premises. Tenant's failure to verify the existing conditions of the Premises shall not relieve Tenant of any <br /> expenses or responsibilities resulting from such failure, nor shall Landlord have any liability or <br /> obligations to Tenant arising from such failure. <br /> 3. All Work to be performed by Tenant shall be subject to Landlord's advance written <br /> approval and shall be subject to Landlord's criteria which Landlord has or will furnish Tenant. <br /> 4. If any of the Landlord Work described above is not already in place, and Tenant wishes <br /> to perform such work, Landlord, at Landlord's option, may agree to Tenant performing the work. Tenant <br /> shall not perform any such work unless it has received prior written consent from Landlord. <br /> SECTION II. TENANT'S WORK <br /> 1. Tenant shall be responsible for all work, construction and installation in the Premises. <br /> Tenant's Work shall be at Tenant's sole cost and expense, but subject to application of the Tenant <br /> Improvement Allowance. Prior to commencing Tenant's Work, Tenant shall submit to Landlord, for <br /> Landlord's review and approval,drawings and specifications prepared by a licensed architect approved by <br /> Landlord for Tenant's Work(which approval shall not be unreasonably withheld or delayed), showing all <br /> aspects of such work. Notwithstanding the review and approval by Landlord of Tenant's drawings and <br /> specifications, Landlord shall have no responsibility or liability in regard to the safety, sufficiency, <br /> adequacy or legality thereof and Tenant shall be solely responsible for the compliance of such plans and <br /> specifications (and improvement constructed as a result thereo�with all applicable laws and regulations, <br /> the architectural completeness and sufficiency thereof and other matters relating thereto. <br /> 2. Subject to Landlord's approval, and provided Tenant's proposed contractor(s)or <br /> subcontractor(s)meet all of Landlord's requirements, Tenant shall have the right to retain its own <br /> contractor(s)or subcontractor(s)to perform Tenant's Work within the Premises. <br /> 3. Tenant shall be responsible for applying for and obtaining all permits required for Tenant <br /> to perform Tenant's Work or to operate within the Premises, including without limitation the fmal <br /> certificate of occupancy or its equivalent, and for obtaining the final fire inspection approval after <br /> installation of its fixtures,furniture and equipment. <br />
