<br /> 1. PREMISES. Owner and APT have entered into a Site Agreement for Land dated
<br /> as of November 24, 1997, (together with any amend ents and modifications thereto, the "Site Agreement"),
<br /> whereby Owner has leased and APT has hired those rtain premises in Pasco Counry, Florida, consisting of,
<br /> among other things, approximately 539 square feet f land, as depicted and legally described an Exhlbit"A"
<br /> attached hereto and hereby incorporat into this Memo andum and certain easer�ents(the"ProJect Site") � t-

<br /> 2. TERM. The initial term of the Site Agr ement shaN be a period of flve (5) and a fraction years �.�A�
<br /> commencing as of the "Commencement Date," as d fined herein below, and terminating on the 31st day of
<br /> December following the 5fth (5th)annual anniversary of e Commencement Date unless otherwise terminated as �+�-A
<br /> provided in the Site Agreement("Initial Term°). �0�

<br /> 3. RENEWAL OPTIONS. In addition to Initial Term and on and subject to the terms of the Site �
<br /> Agreement, the Site f\yreement term may be automati Ily extended for four(4) consecutive periods of five (5) l��
<br /> years each. Each such extension shall be known herei after as a "Renewal Term." Hereinafter, the Initial Term,G�
<br /> together with any and all Renewal Terms,shall be know as the"Term"of the Site Agreement.
<br /> 4. COMMENCEMENT. The"Commencemen Date" is the date on which APT begins construction of C��
<br /> the APT Facilities (as defined in the Site Agr ment). Accordingly, unless otherwise specifically d+��
<br /> stated here: February 23, 1998, the Commencement ate shall be the date of APT's filing of a Notice of ,e"p
<br /> Commencement in the public records of the county in w ich the Project Site is Iocated. "����'
<br /> 5. LEASE INCORPORATED. All of the te ms,conditions, provisions and covenants of the Site
<br /> Agreement are hereby incorporated herein as if fully set forth in this Memorandum. To the extent that any of the
<br /> terms hereof are inconsistent with the terms of the Site greement,the tertns of the Site Agreement shall control. _
<br /> In the event that an inspeotion of or reference to the full erms, conditions, provisions or covenants of the Site �
<br /> Agreement is desired or necessary,a request for such i spection should be made to the Owner at the address set
<br /> forth above, stating the name and address of the perso and/or entity requesting the inspection, and setting forth
<br /> the reason for the inspection. The Owner may permit o refuse such inspection in its sole and absolute discretion.
