<br />conditions of the site and surrounding area; (ii) the nature, location, and character of the general area in which the Project is
<br />located including without limitation, its climatic conditions, available labor supply and equipment costs; and (iii) the quality and IEEE[

<br />manner and within the cost andtime frame required bythe Contract Documents. In connection with the foregoing, and having I
<br />carefully examined all Contract documents as aforesaid, and having visited the site, the Contractor acknowledges and declares .
<br />that it has no knowledge of any discrepancies, omissions, ambiguities, or conflicts in the Contract documents and that if it I o
<br />becomes aware of any such discrepancies, omissions, ambiguities or conflicts, it will promptly notify Owner and Architect of ,
<br />such fact. Further, Contractor recognizes the extradegree of care required under the urban site construction circumstances I S2 I
<br />with respect to safety, protection of pedestrians, cleanliness of the site, health, the other laws, and protection of existing utilities, ,
<br />adjacent street and property. In arriving at the Contract sum and Contract time, Contractor has, as an experienced and prudent o
<br />Contractor, exercised its best judgement and expertise to include the impact of such circumstances upon the Contract sum,
<br />and the Contract time. r
<br />21.17 The Contract documents include all items necessary for the proper execution and completion of the Work by the r E40
<br />Contractor. The Work shall consist of all items specifically included in the Contract documents as well as all additional items of
<br />work which are reasonably inferable from that which is specified i n order to complete the Work in accordance with the Contract j m
<br />documents. The Contract documents are complementary and what is required by any one Contract document shall be as I I
<br />binding as if required by all. Any differences between the requirements of the drawings and the specifications or any differences I I
<br />noted within the drawings themselves or the specifications themselves have been referred to the Owner and Architect by ,
<br />Contractor prior to the submission of bids and have been clarified by an addendum issued to al I bidders. If any such differences I I I
<br />or conflicts were not called to the Owner's and Architect's attention prior to submission of bids, the Architect shall decide which Mpg
<br />if the conflicting requirements will govern based upon the most stringent of the requirements, and, subject to the approval of the
<br />Owner, the Contractor shall perform the Work at no additional cost and/or timeto the Owner in accordance with the Architect's
<br />decision.
<br />21.18 In connection with the foregoing, Contractor shall be solely responsible for locating (and shall locate prior to performing I
<br />any work) all utility lines, telephone company lines and cables, sewer lines, water pipes, gas lines, electrical line, induding,
<br />without limitation, all buried pipelines and buried telephone cables and shall perform the Work in such a manner so as to avoid I
<br />damaging any such lines, cables, pipes, and pipelines.
<br />21.19 All warranties shall include labor and materials and shall be signed by the manufacturer or subcontractor as the case
<br />may be and countersigned by the Contractor. All warranties shall be addressed to the Owner and delivered to the Owner upon l (�
<br />completion of the Work and before or with the submission of request for all final payment.

<br />3 21.25 Gov .rning Law, This Contract will be governed by, construed, and enforced in accordance with the laws of the State of
<br />Florida. Any action brought to interpret, enforce, or construe and provision of this Contract must be commenced and maintained
<br />in the Twelfth Judicial Circuit Courtin Manatee County, Florida or if the court lacks or declines jurisdiction, in the United States
<br />District Court for the middle District of Florida. All parties irrevocably consent to ijurisdiction n v n n r n p y th s and venue and agree of to
<br />transfer or remove any action commenced in accordance with this Paragraph.
<br />21.26 Attorneys Fees. If there is any litigation between Seller and Buyer to enforce or interpret any provisions or rights of this
<br />Contract, the unsuccessful party, as determined by the court, shall be responsible for all costs, legal fees, and expenses
<br />(through trial and appeal), including, but not limited to, reasonable attorneys' fees incurred by the successful party.
<br />21.27 In the event the Work involves an existing location which is being kept open while being remodeled or involves an
<br />expansion to an existing store, Contractor shall ensure free and clear pedestrian access to Owner's existing store. Contractor
<br />shall use its best efforts to not interrupt the continued operation of the business of Owner sothat Owner can operate as
