<br />Lessee's negligence or the negligence of Lessee's invitees, clients <br /> <br />or guests. <br /> <br />exterior <br /> <br />3. Repairs. <br />and interior <br /> <br />The Lessee shall be responsible for all <br />repairs, maintenance and repairs of all <br /> <br />cooling, heating, plumbing and electrical systems, all roofs, <br /> <br /> <br />windows, gutters and down spouts and all other repairs to the <br /> <br /> <br />property of any kind or nature, including parking lot maintenance. <br /> <br /> <br />4. Alterations. The Lessee is specifically authorized <br /> <br /> <br />to make such changes to the premises as are reasonably necessary to <br /> <br /> <br />convert the use of the property to that of a medical dialysis <br /> <br /> <br />facility. Upon termination of the Lease all improvements are to be <br /> <br /> <br />left in place. <br /> <br /> <br />5. Insurance. Utilities. Taxes and Other Charges. Lessee <br /> <br /> <br />shall be responsible for all utilities supplied to the premises and <br /> <br /> <br />shall pay all taxes levied on the premises. The first and last <br /> <br /> <br />years' taxes shall be prorated based on legal possession. Lessee <br /> <br /> <br />shall pay for all necessary permits, licenses and occupational <br /> <br /> <br />taxes. Lessee shall provide full casualty insurance naming Lessor <br /> <br /> <br />as an insured for the full replacement value and shall provide <br /> <br /> <br />liability average with Lessee as an insured in an amount of at <br /> <br /> <br />least $250,000.00 per person and $500,000.00 per occurrence. <br /> <br /> <br />6. Subleasing and Assignment. The Lessee is authorized <br /> <br /> <br />to sublease or assign the premises for use as a medical dialysis <br /> <br /> <br />facility but may not sublease or assign for any other use without <br /> <br />written permission from Lessor. This Lease is contingent upon <br /> <br />Lessee negotiating a lease, sublease or assignment with CDC. <br /> <br />2 <br />
