<br /> conditions,plans,specifications and contract documents,and in the event of any doubt or questions arising respecfing the same,the decision
<br /> of the Architect or Engineer shail be final and conciusive
<br /> 5. Suppiier admits that said p{ans and specifications are suf�icient�or their intended purpose and that the work can be successfully and
<br /> complet2ly executed in aecordance therewith,without any additional cost to Cantractor or the Owner
<br /> 6. No changes in tha work or adjustments to coniract price shall be made unless previously approued in writing by Contractar
<br /> 7 Suppliar wiil promptly begin said work as soon as requ2sted by Confractor and wi#i carry fotward and compEete ihe work as rapidly as
<br /> Confractor may judge that the progress af the project will permit. Should Supplier neglect to prosecute the work properly,or fail to perforr:f any
<br /> pravision of this cantract,Contractor,after 48 hours notice to Supplier,may,without prejudice fo any other remedy he may have,make good the
<br /> daficiencies and may deduct the cost ihereof from any payments due Supplier,or,at its optian,Contractor may terminate this eontract and take
<br /> possession of all materials,tools and appliances and finish ihe wark by such means as it see fit. If the unpaid balance of the contract price
<br /> exceeds the expense of finishing the work,such excess shalf be paid to Suppiier,if such expense exceeds the unpaid balance,Supplier shall
<br /> pay the difference to Contractor
<br /> 8 Supplier shai!not cause any unnecessary hindrance or delay to other contractors or subcontractors on said project,end shali be r�spansibfe
<br /> for all damages done to the work of such other contractors or subcontractors by his emplayees. Suppiier shait cooperate with Contractor and
<br /> ati other conYractors and subconfractors an the projeci to avoid compfications end ensure first class workmanship in every respect.
<br /> 9 Supplier shall at his expense appty for and obtain a!i necessary permits(uniess otherwise stated in the specifications}and shall canform
<br /> strictiy to a{!sppiicable codes, rules,faws and ordinances including attached Exhibit B(Compliance with Immigration Laws)
<br /> 10 Should the praper,workmanlike,and�ccurate pesfiormance of any work under this contract depend in any way upon the like performance of
<br /> any work by another contractor or subcorttractor on said project,Supplier agrees to use ail means necessary to discaver any defecfs in such
<br /> other's work and reporf the same in writing to ConVactor before proceeding with his work which is so dependert;an�Contractor sha!!have a
<br /> reasonable time to remedy such defects.
<br /> 11 Should Contractor discontinue the erection of said project an account of the Owner or their agents failing to comply wifh their contract with
<br /> Contractor or for any other cause net the fauit of Contractor,then Supplier shal!upon written order,discontinu�work for such time as may be
<br /> required by such cause,and shall not proceed again until requested by Contractor,but shoufd such suspension be continued artd the project
<br /> nof be compfeted by Contractor,Supplier shai!be entiited to payment only for so much as said work as he performed or finished,at such pnce
<br /> as said work is worth in proportion to the total work to be done under this contract,at ihis contraci price This Psavisien shali not preveni the
<br /> Supplier from claiming any damages which he might have against the Owner by virtue of such s�spension or cancellation. Shauld Suppiier be
<br /> d°�ayad on accaunt o€material te be fumishe�by Contractor,or any other deisy caused by Contractor,the same shall not be grounds for
<br /> SuppEier to claim damages or extra compensat�on.
<br /> 12. During progress of the wark Supplier shall reexecute any work that faiis to conform#o fhe requirements of the pEans and specification,a�d
<br /> Supplier snall remedy any defects due to faulty materials or workmanship which appear within a period of one year c>r as atherwise sp2cified
<br /> frcm the date af comp#etion of the project.
<br /> 13 Supplier shall com�ly with all safery r2quiremenfs,statutory or atherwise,Stafe and Federaf,applicable to his work, including the Contract
<br /> Work Hours and Safety Standar�s F,ct and regulations thereunder,and sha(l indemniFy and hoid Contra�or harmfess for any Eoss incurred as a
<br /> result of Supplier's faiiure to compEy with any such safety requirement.
<br /> 14 Supplier shatl fully indemnify snd save fhe Contractor harmless from any and al!loss,damages,claims,actions and a!1 legal and other
<br /> expenses relafing to Ehe defense thereof,2!ising diractly or indirectfy out o�the acts or omissions of the Suppii2r,its agents,empioyees,
<br /> ass�gns,suppliers or subcor,tractors.
<br /> 15 Supplier shall when r2quested by Con#ractor, repor;th°general progress of the wark at the proie�t or elsewhere,and he shaf(furnish a
<br /> competent represer,tative who is to be kept constantly on the grounds whiie the Suppiier's work is in progress to represent Supplier for the
<br /> purnose of recei�ing nofices,orders and instructions
<br /> 1 o Supplier shail furnish to Contractar,on request,waivers of lien for a{I of his laborers and ma#erial men prior to each rnonth's payment and
<br /> in the event Supp{ier does not pay its material men cr laoorers,Contractor is authorize8 to make payments directly to such material mer�or
<br /> laborers ar.d ceduct such payments from amounts due to Supplier
<br /> 17 Supplier shall maintain i�surance during the progress of the work covering 1)Warkmen's Compensation and Occupaficn2l Diseases.2)
<br /> Emoloyer's Liabilify with limits of at leas.$25,OCO.OQ per accid2nt;3} Comprehensive General Liability,including Prcducts,Contractu�l,and
<br /> Protactive coverages,with limits of a:feast$i40,000 00 per persan,$Z00,000 00 per accident for bodily irjury,and$100,OdQ 00 p2r accident
<br /> far properfy damages;4}Automobile Liability,covering owned and naowned vehicfes,with limits of at least

<br /> Certificates of insurance evidencing the above required coverages.
<br /> 18 Contractor agrees fo pravide ufilities to the project;said utilities must be extended by Supplier a:his expense for h�s use. Supplier shaii
<br /> provide at this o��n�n expense ail ladders,scafrolding, impiements,equipment,apparatus,moEds,models, hoist�:ng and al!aiher things necessary
<br /> far the due performance of his phase of Ehe�NOrk.
<br /> 19 Suppiier agrees to maintain that pari of the projecf upan which he is working reasonab(y clean at all times,and if Supplier faiis to c(ean up
<br /> fcRhwith a`ier receiving natice from Contractar so to do,Contracter may clean up the said premises and deduet the ccst of said clean-up from
<br /> any paymenfs due Supplier or othervvise recover the cost of said clean-up from Supplier
<br /> 20 Supplier shall not assign this co�tracf without the prior written consenf of CantracTor
<br /> 21 Contracfor sha!i have the right at any time to reGuire Supplier to fumish band covering the faith�ful performance of this cantract. Unless
<br /> otherw�is2 agreed,the premium for such bond snall he p�id by Contractor If a bond is requir2d by Contractor su6sequent to the signing of this
<br /> agreement,and supplier is thzn unabie to procure such bond,this contract may at the option of Contractor be cance!!ed forth�,vifhout Cor�fractor
<br /> being liable for damages to Supplier thereof
<br /> 22. Supplier and his employees shafl not be deemed er cons;rved fo be employees of Contractor and shall not be entitied to any benefits of
<br /> Contractor's employees such as Workmen's Compensatiort,Unempioyrrtent Compensation,group insurance,vacation or pens�on rights.
<br /> 23 Supplier shall 8e fu(ly responsible for the¢ayment,respecfing his employees of all state and federa4 taxes for unemploym�nt insu;ance and
<br /> sacia!security benefits,now or heceafter imposad,and to compfy with all related requiremerts,artd shaEi ind2mnify and save Con,ractor
<br /> harmiess with respect thereto
