In the event of a default by Tenant under this Lease,the Free <br /> Rent shall be revoked, and in addition to any other remedies set forth in the Lease, the Free Rent shall <br /> become immediately due and payable to Landlord. <br /> "Operating Expenses" means all costs and expenses incurred, paid or payable by Landlord in <br /> connection with the management, operation, maintenance, repair and replacement of the Shopping Center <br /> and its Common Areas, and include,without limitation and without duplication,the aggregate of: <br /> (a) the total annual costs and expenses of insuring . the Shopping Center, <br /> improvements and other Common Areas in such manner and form,with such companies and such <br /> coverage and in such amounts as Landlord from time to time determines; <br /> (b) cleaning, snow removal, garbage and waste collection and disposal, the costs of <br /> security and supervision, the wages and salaries of on-site management, administration and other <br /> personnel, and/or an equitable allocation of wages and salaries of off-site personnel where they <br /> are employed to perform services for the Shopping Center together with other properties <br /> including benefits, travel and other expenses related thereto, and any associated costs thereof, <br /> parking lot maintenance and repair(including periodic sweeping and restriping), landscaping and <br /> irrigation, and the cost of all Utilities consumed in the operation of the Shopping Center; <br /> (c) the cost of managing and administering the Shopping Center, including any <br /> management fees payable to Landlord's property manager; <br /> (d) all ta�ces and assessments which may be levied or assessed by any lawful <br /> authority against the land or buildings comprising the Shopping Center, or relating to Landlord's <br /> personal property located in the Shopping Center, including, without limitation, assessments for <br /> water, sewer, drainage or other public improvements and other governmental impositions of any <br /> kind or nature, whether general or special, levied, assessed, charged or imposed by any lawful <br /> taxing authority, whether federal, state, county, municipal, school or otherwise, against or upon <br /> the land and improvements of the Shopping Center. Taxes shall also include, without limitation, <br /> any tax or excise on rents, gross receipts ta�c, transaction privilege ta�c or other tax, however <br /> described, which is levied or assessed by any federal, sta.te or local government against Landlord <br /> in respect to the Rent or other charges reserved under this Lease or as a result of Landlord's <br /> receipt of - <br /> 2 <br /> Tenant <br /> Landlord / <br />
